Agreement Increasing the Social Capital of the National Bank of Foreign Trade and Reforming Article 7 of its Organic Regulations

This agreement increases the authorized social capital of the National Bank of Foreign Trade, National Credit Institution, Development Banking Institution to 30,000,000,000.00 Mexican pesos, represented by 198,000,000 Series A certificates and 102,000,000 Series B certificates, each with a nominal value of 100.00 pesos. It also establishes the subscribed and paid-up capital at 23,259,105,800.00 Mexican pesos and mandates the registration of these modifications in the Public Commerce Registry. The agreement entered into force the day following its publication in the Official Gazette of the Federation on September 25, 2017.

ACUERDO by which the increase in social capital of the National Bank of Foreign Trade, National Credit Institution, Development Banking Institution is ordered and the first paragraph of Article 7 of the Organic Regulations of the Society is reformed.

At the margin, a seal with the National Coat of Arms, which says: United Mexican States.- Ministry of Finance and Public Credit.

AGREEMENT BY WHICH THE INCREASE IN SOCIAL CAPITAL OF THE NATIONAL BANK OF FOREIGN TRADE, NATIONAL CREDIT INSTITUTION, DEVELOPMENT BANKING INSTITUTION IS ORDERED AND THE FIRST PARAGRAPH OF ARTICLE 7 OF THE ORGANIC REGULATIONS OF THE SOCIETY IS REFORMED.

JOSÉ ANTONIO MEADE KURIBREÑA, Secretary of Finance and Public Credit, based on articles 31, fractions VII and XXXIV of the Organic Law of the Federal Public Administration; 30 and 38 of the Credit Institutions Law, in exercise of the powers conferred upon me by article 6o., fraction XXI of the Internal Regulations of the Ministry of Finance and Public Credit, and

CONSIDERING

That the Honorable Congress of the Union, through a decree published in the Official Gazette of the Federation on January 20, 1986, issued the Organic Law of the National Bank of Foreign Trade.

That the Ministry of Finance and Public Credit issued the Organic Regulations of the National Bank of Foreign Trade, National Credit Institution, Development Banking Institution, published in the Official Gazette of the Federation on April 2, 1991 and reformed through Agreements published in the same official medium on March 14, 1996, September 10, 2009, and August 25, 2015.

That the Board of Directors of the National Bank of Foreign Trade, National Credit Institution, Development Banking Institution, in its session held on April 28, 2016, agreed to propose to the Ministry of Finance and Public Credit to increase the social capital of the Institution to be fixed at $30,000,000,000.00 (thirty billion pesos 00/100 M.N.) and authorize the increase to paid-in capital to be at $21,559,105,800.00 (twenty-one billion five hundred fifty-nine million one hundred five thousand eight hundred pesos 00/100 M.N.), as well as propose to the Ministry of Finance and Public Credit to modify Article 7 of the Organic Regulations of the National Bank of Foreign Trade, National Credit Institution, Development Banking Institution.

That the Board of Directors of the National Bank of Foreign Trade, National Credit Institution, Development Banking Institution, in its session held on February 24, 2017, agreed to propose to the Ministry of Finance and Public Credit to carry out the modification of the amount of subscribed and paid-up capital in the amount of $23,259,105,800.00 (twenty-three billion two hundred fifty-nine million one hundred five thousand eight hundred pesos 00/100 M.N.), represented by 153,510,099 (one hundred fifty-three million five hundred ten thousand ninety-nine) equity contribution certificates of Series "A" with a nominal value of $100.00 (one hundred pesos 00/100 M.N.) each and 79,080,959 (seventy-nine million eighty thousand nine hundred fifty-nine) equity contribution certificates of Series "B" with a nominal value of $100.00 (one hundred pesos 00/100 M.N.) each.

That since it corresponds to the Ministry of Finance and Public Credit to issue, subject to what is provided in the Credit Institutions Law and the Organic Law of the National Bank of Foreign Trade, the Organic Regulations of said National Credit Institution in which the bases according to which its organization and functioning will be governed are established, has seen fit to issue the following:

SINGLE.- The first paragraph of Article 7 of the Organic Regulations of the National Bank of Foreign Trade, National Credit Institution, Development Banking Institution is reformed, to remain in the following terms:

"ARTICLE 7.- The authorized social capital of the National Bank of Foreign Trade, National Credit Institution, Development Banking Institution, is $30,000,000,000.00 (THIRTY BILLION PESOS 00/100 M.N.). Said authorized social capital will be represented by 198,000,000 (ONE HUNDRED NINETY-EIGHT MILLION) equity contribution certificates of Series "A" with a nominal value of $100.00 (ONE HUNDRED PESOS 00/100 M.N.) each and by 102,000,000 (ONE HUNDRED TWO MILLION) equity contribution certificates of Series "B", with a nominal value of $100.00 (ONE HUNDRED PESOS 00/100 M.N.) each.

TRANSITORY

ARTICLE ONE.- This Agreement will enter into force the day following its publication in the Official Gazette of the Federation.

ARTICLE TWO.- In accordance with what is established in the last paragraph of article 30 of the Credit Institutions Law, the modifications to the Organic Regulations of the National Bank of Foreign Trade, National Credit Institution, Development Banking Institution, shall be registered in the Public Commerce Registry.

ARTICLE THREE.- The authorized social capital of the National Bank of Foreign Trade, National Credit Institution, Development Banking Institution, is $30,000,000,000.00 (THIRTY BILLION PESOS 00/100 M.N.), and the subscribed and paid-up social capital is $23,259,105,800.00 (twenty-three billion two hundred fifty-nine million one hundred five thousand eight hundred pesos 00/100 M.N.),
