This agreement amends Article 7 of the Organic Regulations of the National Bank of Foreign Trade (Bancomext) to increase its authorized social capital to $45,000,000,000.00 MXN, represented by 297 million Series A and 153 million Series B contribution certificates. The paid-in capital is set at $30,470,105,800.00 MXN. The agreement entered into force the day after its publication in the Official Gazette of the Federation on March 27, 2020.

AGREEMENT MODIFYING ARTICLE 7, FIRST PARAGRAPH OF THE ORGANIC REGULATIONS
OF THE NATIONAL BANK OF FOREIGN TRADE, NATIONAL CREDIT CORPORATION, DEVELOPMENT BANKING
INSTITUTION, TO INCREASE ITS SOCIAL CAPITAL.
ARTURO HERRERA GUTIÉRREZ, Secretary of Finance and Public Credit, based on the
articles 31, fractions VII and XXXII of the Organic Law of the Federal Public Administration;
30, second and last paragraphs and 38, first paragraph of the Credit Institutions Law, in the exercise of the powers conferred upon me
by article 6o., fraction XXI of the Internal Regulations of the Ministry of Finance and Public Credit, and
CONSIDERING
That the Honorable Congress of the Union, through a decree published in the Official Gazette of the Federation on January 20,
1986, issued the Organic Law of the National Bank of Foreign Trade.
That the Ministry of Finance and Public Credit issued the Organic Regulations of the National Bank of
Foreign Trade, National Credit Corporation, Development Banking Institution, published in the Official
Gazette of the Federation on April 2, 1991 and reformed through Agreements published in the same official
medium on March 14, 1996, September 10, 2009, August 25, 2015 and September 25,
That based on articles 38, first paragraph and 42, third paragraph, fraction XIII of the Credit
Institutions Law, the Board of Directors of the National Bank of Foreign Trade, National Credit
Corporation, Development Banking Institution, in its ordinary session 1719 held on March 7, 2019,
agreed to propose to the Ministry of Finance and Public Credit to increase the social capital of the Institution to
be fixed at $45,000,000,000.00 (forty-five billion pesos 00/100 M.N.) and authorize the
increase in paid-in capital to be $30,470,105,800.00 (thirty billion four hundred seventy million
one hundred five thousand eight hundred pesos 00/100 M.N.), as well as propose to the Ministry of Finance and Public
Credit to modify Article 7 of the Organic Regulations of the National Bank of Foreign Trade, National
Credit Corporation, Development Banking Institution.
That the National Bank of Foreign Trade, National Credit Corporation, Development Banking
Institution, through letter DF/057/2019 dated March 29, 2019, requested this Ministry to modify the
Organic Regulations of the Corporation in order to consider the increase in social capital, in accordance with the
proposal approved by the Board of Directors of said corporation, which is based on the provisions of
articles 38, first paragraph and 42, third paragraph, fraction XI of the Credit Institutions Law.
That since, based on article 38, first paragraph of the Credit Institutions Law and
7°, second paragraph of the Organic Regulations of the National Bank of Foreign Trade, National Credit
Corporation, Development Banking Institution, it corresponds to the Ministry of Finance and Public Credit
to issue, subject to the provisions of the Credit Institutions Law and the Organic Law of the Bank
National of Foreign Trade, the Organic Regulations of said National Credit Corporation in which
the bases according to which its organization and operation will be governed are established, it has been deemed appropriate
to issue the following:

National of Foreign Trade, National Credit Corporation, Development Banking Institution, to
increase its social capital.

SOLE.- Article 7, first paragraph of the Organic Regulations of the National Bank of
Foreign Trade, National Credit Corporation, Development Banking Institution, is reformed, to read as follows:
"ARTICLE 7.- The authorized social capital of the National Bank of Foreign Trade, National Credit
Corporation, Development Banking Institution, is $45,000,000,000.00 (forty-five billion
pesos 00/100 M.N.). Said authorized social capital will be represented by 297,000,000 (two hundred ninety-seven
million) Series A "A" contribution certificates with a nominal value of $100.00 (one hundred
pesos 00/100 M.N.) each and by 153,000,000 (one hundred fifty-three million) contribution certificates
of Series "B", with a nominal value of $100.00 (one hundred pesos 00/100 M.N.) each.

TRANSITORY PROVISIONS
ARTICLE ONE.- This Agreement must be published in the Official Gazette of the Federation and
registered in the Public Commerce Registry.
ARTICLE TWO.- This Agreement will enter into force the day following its publication in the
Official Gazette of the Federation.
ARTICLE THREE.- The
National Bank of Foreign Trade, National Credit Corporation,
Development Banking Institution, in terms of the applicable legal provisions, will proceed to carry out
the necessary acts to comply with this Agreement.
ARTICLE FOUR.- The authorized social capital of the National Bank of Foreign Trade, National
Credit Corporation, Development Banking Institution, is $45,000,000,000.00 (forty-five billion
pesos 00/100 M.N.), and the subscribed and paid-in social capital is $30,470,105,800.00 (thirty billion
four hundred seventy million one hundred five thousand eight hundred pesos 00/100 M.N.).
