Agreement Modifying Various Provisions of the Organic Regulations of the National Savings and Financial Services Bank, National Credit Society, Development Banking Institution

This agreement amends the Organic Regulations of the National Savings and Financial Services Bank to reflect its renaming as the Bank of Wellbeing (Banco del Bienestar) and updates its social capital to $1,947,025,000.00 MXN following a $200,000,000.00 MXN capital increase. The modifications revise Articles 1, 2, 3, 4, 5, 7, 26, and 32, and add Article 23 Bis to align the institution's internal governance with the Organic Law of the Bank of Wellbeing. The agreement entered into force the day after its publication in the Official Gazette of the Federation on June 30, 2020.

AGREEMENT BY WHICH VARIOUS PROVISIONS OF THE ORGANIC REGULATIONS OF THE

NATIONAL SAVINGS AND FINANCIAL SERVICES BANK, NATIONAL CREDIT SOCIETY, DEVELOPMENT

BANKING INSTITUTION ARE MODIFIED.

ARTURO HERRERA GUTIÉRREZ, Secretary of Treasury and Public Credit, based on the

articles 31, fractions VII and XXXII of the Organic Law of the Federal Public Administration; articles 30,

second and last paragraphs and 38 first paragraph of the Credit Institutions Law, in exercise of the

powers conferred upon me by article 6, fraction XXI of the Internal Regulations of the Ministry of Treasury and

Public Credit, and

CONSIDERING

That the Honorable Congress of the Union, through a Decree published in the Official Gazette of the Federation on June 1,

2001, issued the Organic Law of the National Savings and Financial Services Bank.

That the Ministry of Treasury and Public Credit issued the Organic Regulations of the National Savings

and Financial Services Bank, National Credit Society, Development Banking Institution, published

in the Official Gazette of the Federation on November 29, 2001 and reformed through Agreements published

in the same official medium on September 17, 2004, March 6, 2009, November 24, 2009,

October 28, 2010, January 21, 2011, June 10, 2011, August 25, 2015 and September 23

That based on what is provided in articles 22 fraction XXI of the Organic Law of the Bank of

National Savings and Financial Services, 38 and 42 fraction XIII of the Credit Institutions Law, the Board

of Directors of the Institution in its meeting number 121 held on March 15, 2019, approved proposing to the

Ministry of Treasury and Public Credit a contribution of resources for the National Savings and

Financial Services Bank, National Credit Society, Development Banking Institution, up to the amount

of $2,700 ' 000,000.00 (TWO BILLION SEVEN HUNDRED MILLION PESOS 00/100 M.N.).

That prior verification of the sufficiency of budgetary resources and in compliance with the

provisions contained in the Federal Budget and Fiscal Responsibility Law and its

Regulations, the Ministry of Treasury and Public Credit approved the increase in social capital by the amount

of $200 ' 000,000.00 (TWO HUNDRED MILLION PESOS 00/100 M.N.), to strengthen the Bank, so that

the social capital of the Institution would go from $1,747,025,000.00 (ONE BILLION SEVEN HUNDRED FORTY SEVEN

MILLION TWO HUNDRED TWENTY-FIVE THOUSAND PESOS 00/100 M.N.), to 1,947 ' 025,000.00 (ONE BILLION NINE HUNDRED FORTY-SEVEN

MILLION TWO HUNDRED TWENTY-FIVE THOUSAND PESOS 00/100 M.N.).

That as a result of the "DECREE by which various provisions of the Organic Law of the Bank of

National Savings and Financial Services are reformed and added", published in the Official Gazette of the

Federation on July 19, 2019, the denomination of the Organic Law of the Bank of National Savings

and Financial Services was reformed, to remain as "Organic Law of the Bank of Wellbeing", as well as the

articles 1; 2, fractions I and III; 3, first and second paragraphs; 4; 7, fractions III, VII, X and XI; 8, fractions II,

XII and XIII; 8 Bis, first and third paragraphs; 17, fraction I; 25, first paragraph; 36, last paragraph, and the

fractions XII, XIII, XIV, XV and XVI were added to article 7; the fractions XIV, XV and XVI to article 8, and an article 25 Bis;

it is necessary for the proper fulfillment of its object, to reform its Organic Regulations, which

contemplates the bases according to which its organization, functioning and powers of the

administration, control and oversight bodies are governed.

That the Board of Directors of the now Bank of Wellbeing National Credit Society, Institution of

Development Banking, approved in its meeting number 125 held on August 23, 2019, proposing to the

Ministry of Treasury and Public Credit to modify the Organic Regulations of the Institution, in concordance

with the aforementioned decree, as well as as a consequence of the authorized social capital contribution.

That since it corresponds to the Ministry of Treasury and Public Credit to issue or modify with

regard to what is provided in the Credit Institutions Law and in the Organic Law of the Bank of Wellbeing, the

Organic Regulations of said Institution, I have deemed it appropriate to issue the following:

AGREEMENT BY WHICH VARIOUS PROVISIONS OF THE ORGANIC REGULATIONS

OF THE NATIONAL SAVINGS AND FINANCIAL SERVICES BANK, NATIONAL

CREDIT SOCIETY, DEVELOPMENT BANKING INSTITUTION ARE MODIFIED

SINGLE. The denomination of the Organic Regulations of the National Savings and Financial Services

Bank, National Credit Society, Development Banking Institution is reformed, to remain as

"Organic Regulations of the Bank of Wellbeing, National Credit Society, Development

Banking Institution", as well as articles 1, 2, 3, 4, 5, 7, 26 and 32 and article 23 Bis is added, to

remain as follows:

Chapter I

Of the Institution

Article 1.- The Bank of Wellbeing, National Credit Society, Development Banking Institution,

is constituted in accordance with the Credit Institutions Law and its own Organic Law, with legal personality

and own assets.

Article 2.- The purpose of these Organic Regulations is to establish the bases according to which

the organization, functioning and powers of the administration, control and

oversight bodies of the Institution will be governed.

For the purposes of these Regulations, the following shall be understood:

Organic Law: The Organic Law of the Bank of Wellbeing;

Organic Regulations: The Organic Regulations of the Bank of Wellbeing,

National Credit Society, Development Banking Institution.

Institution: The Bank of Wellbeing, National Credit Society, Development Banking

Institution;

Article 3.- The Institution will provide its services subject to the objectives and priorities of the

National Development Plan, the National Development Financing Program, and the programs

related to the sector that the Plan itself establishes to promote and finance the activities and the sector

entrusted to it in its own Organic Law.

Article 4.- The Institution must perform social banking functions, for which it will have as

its object to promote and facilitate savings, access to financing on equitable terms, financial

inclusion, the use and promotion of technological innovation in order to ensure better

conditions for the members of the Sector, the gender perspective and investment among the members

of the Sector referred to in article 2, fraction IV of its Organic Law, offer instruments and

financial services of first and second tier among them, channel financial and

technical support necessary to promote the use of financial products and services that address the

needs of the Sector and that promote the adoption of business models and innovative financial technologies that impact the healthy development of the Sector, and in general, that the activity

of the Institution contributes to economic development at the national and regional level, provide

technical assistance and training to the members of the Sector, as well as disperse the resources

destined to subsidies and programs subject to operational rules of the departments and entities.

Article 5.- The domicile of the Institution shall be Mexico City.

Chapter II

Of Social Capital

Article 7.- The social capital of the Bank of Wellbeing, National Credit Society, Institution of

Development Banking is $1,947 ' 025,000.00 (ONE BILLION NINE HUNDRED FORTY-SEVEN

MILLION TWO HUNDRED TWENTY-FIVE THOUSAND PESOS 00/100 M.N.). The paid social capital is the amount of $1,947 ' 025,000.00

(ONE BILLION NINE HUNDRED FORTY-SEVEN

MILLION TWO HUNDRED TWENTY-FIVE THOUSAND PESOS 00/100 M.N.).

Such social capital will be represented by 128 ' 503,650 (ONE HUNDRED TWENTY-EIGHT MILLION

FIVE HUNDRED THREE THOUSAND SIX HUNDRED FIFTY) equity contribution certificates of Series

"A", with a nominal value of $10.00 (TEN PESOS 00/100 M.N.), each one and by 66,198,850 (SIXTY-SIX

MILLION ONE HUNDRED NINETY-EIGHT THOUSAND EIGHT HUNDRED FIFTY) equity contribution certificates of

Series "B", with a nominal value of $10.00 (TEN PESOS 00/100 M.N.) each

one.

Article 23 Bis.- The General Director, as well as officials of the two hierarchical levels

below this, may issue certifications of the documents existing in the archives of the directorates

under their charge.

Chapter IV

Of the Assemblies of the Holders of

Equity Contribution Certificates of Series "B"

In any case, the assembly may be convened at any time by the holders of equity contribution certificates

of series "B", representing at least one third of the social capital of

said series, by the president of the

Board of Directors, by the General Director, by the Councilors of series "B" or by the Comptroller of the same series.

Once the amount of the operating surplus is fixed and the amount corresponding to be paid for the

respective tax is separated, the balance shall be applied as follows:

TRANSITORY

ARTICLE FIRST.- This Agreement shall enter into force the day following its publication in the

Official Gazette of the Federation.

ARTICLE SECOND.- In accordance with what is established by the last paragraph of article 30 of the Law

of Credit Institutions, the Bank of Wellbeing, National Credit Society, Development Banking

Institution, must register in the Public Commerce Registry the modifications that by virtue of this

agreement are made to its Organic Regulations.
