The Agreement increases the social capital of Sociedad Hipotecaria Federal, Sociedad Nacional de Crédito, Institución de Banca de Desarrollo to $15,150,000,000.00 MXN and amends Article 7 of its Organic Regulations to reflect this amount. The capital is represented by 9,999 Series A and 5,151 Series B equity contribution certificates, each with a nominal value of $1,000,000.00 MXN. The modifications must be registered in the Public Commerce Registry, and the Agreement enters into force the day after its publication in the Official Journal of the Federation.

ACUERDO by which the increase of social capital of Sociedad Hipotecaria Federal, Sociedad Nacional de Crédito, Development Banking Institution is ordered and the first paragraph of Article 7 of the Organic Regulations of the Society is reformed.

AGREEMENT BY WHICH THE INCREASE OF SOCIAL CAPITAL OF SOCIEDAD HIPOTECARIA FEDERAL, SOCIEDAD NACIONAL DE CRÉDITO, INSTITUTION OF DEVELOPMENT BANKING IS ORDERED AND THE FIRST PARAGRAPH OF ARTICLE 7 OF THE ORGANIC REGULATIONS OF THE SOCIETY IS REFORMED.
JOSÉ ANTONIO GONZÁLEZ ANAYA, Secretary of Finance and Public Credit, based on articles 31 fractions VII and XXXIV of the Organic Law of the Federal Public Administration; 30 and 38 of the Credit Institutions Law and in exercise of the powers conferred upon me by article 6o. fraction XXI of the Internal Regulations of the Ministry of Finance and Public Credit, and
CONSIDERING
That the Honorable Congress of the Union, by decree published in the Official Journal of the Federation on October 11, 2001, issued the Organic Law of Sociedad Hipotecaria Federal.
That the Ministry of Finance and Public Credit issued the Organic Regulations of Sociedad Hipotecaria Federal, Sociedad Nacional de Crédito, Institution of Development Banking, published in the Official Journal of the Federation on April 9, 2002 and reformed through Agreements published in the same official medium on January 24, 2005, January 7, 2011 and August 25, 2015.
That it corresponds to the Ministry of Finance and Public Credit to issue, subject to what is provided in the Credit Institutions Law and in the Organic Law of Sociedad Hipotecaria Federal, the Organic Regulations of said National Credit Institution, Institution of Development Banking, in which the bases according to which its organization and functioning will be regulated are established.
That on October 27, 2014, the Board of Directors of Sociedad Hipotecaria Federal, Sociedad Nacional de Crédito, Institution of Development Banking, in accordance with article 38 of the Credit Institutions Law, agreed to propose to the Ministry of Finance and Public Credit the increase of the social capital of Sociedad Hipotecaria Federal, Sociedad Nacional de Crédito, Institution of Development Banking, in $500,000,000.00 (five hundred million pesos 00/100 M.N.), to be fixed at the amount of $11,300,000,000.00 (eleven billion three hundred million pesos 00/100 M.N.).
That on August 21, 2015, the Board of Directors of Sociedad Hipotecaria Federal, Sociedad Nacional de Crédito, Institution of Development Banking, in accordance with article 38 of the Credit Institutions Law, agreed to propose to the Ministry of Finance and Public Credit the increase of the social capital of Sociedad Hipotecaria Federal, Sociedad Nacional de Crédito, Institution of Development Banking, up to $2,500,000,000.00 (two billion five hundred million pesos 00/100 M.N.), of which on December 10, 2015, $2,250,000,000.00 (two billion two hundred fifty million pesos 00/100 M.N.) were received by said Institution, to be fixed at the amount of $13,550,000,000.00 (thirteen billion five hundred fifty million pesos 00/100 M.N.).
That on November 7, 2016, the Board of Directors of Sociedad Hipotecaria Federal, Sociedad Nacional de Crédito, Institution of Development Banking, in accordance with article 38 of the Credit Institutions Law, agreed to propose to the Ministry of Finance and Public Credit the increase of the social capital of Sociedad Hipotecaria Federal, Sociedad Nacional de Crédito, Institution of Development Banking, up to $3,800,000,000.00 (three billion eight hundred million pesos 00/100 M.N.), of which on December 30, 2016, $1,600,000,000.00 (one billion six hundred million pesos 00/100 M.N.) were received by said institution, to be fixed at the amount of $15,150,000,000.00 (fifteen billion one hundred fifty million pesos 00/100 M.N.).
That Sociedad Hipotecaria Federal, Sociedad Nacional de Crédito, Institution of Development Banking, based on articles 38 and 42, fraction XI of the Credit Institutions Law, has requested this Ministry to modify the Organic Regulations of the Society, in order to consider the mentioned increase in social capital, therefore I have deemed it appropriate to issue the following:
AGREEMENT BY WHICH THE INCREASE OF SOCIAL CAPITAL OF SOCIEDAD HIPOTECARIA FEDERAL, SOCIEDAD NACIONAL DE CRÉDITO, INSTITUTION OF DEVELOPMENT BANKING IS ORDERED AND THE FIRST PARAGRAPH OF ARTICLE 7 OF THE ORGANIC REGULATIONS OF THE SOCIETY IS REFORMED.
SINGLE.- The first paragraph of Article 7 of the Organic Regulations of Sociedad Hipotecaria Federal, Sociedad Nacional de Crédito, Institution of Development Banking is reformed, in the following terms:
" Article 7.- The social capital of the Society is $15,150,000,000.00 (FIFTEEN BILLION ONE HUNDRED FIFTY MILLION PESOS 00/100 M.N.). Said social capital will be represented by 9,999 (NINE THOUSAND NINE HUNDRED NINETY-NINE) equity contribution certificates of Series "A", with a nominal value of $1,000,000.00 (ONE MILLION PESOS 00/100 M.N.) each, and by 5,151 (FIVE THOUSAND ONE HUNDRED FIFTY-ONE) equity contribution certificates of Series "B", with a nominal value of $1,000,000.00 (ONE MILLION PESOS 00/100 M.N.) each.

TRANSITORY
FIRST.- This Agreement will enter into force the day following its publication in the Official Journal of the Federation.
SECOND.- In accordance with what is established in the last paragraph of article 30 of the Credit Institutions Law, the modifications to the Organic Regulations of Sociedad Hipotecaria Federal, Sociedad Nacional de Crédito, Institution of Development Banking, shall be registered in the Public Commerce Registry.
THIRD.- The paid capital of Sociedad Hipotecaria Federal, Sociedad Nacional de Crédito, Institution of Development Banking upon the entry into force of these Organic Regulations amounts to the sum of $15,150,000,000.00 (FIFTEEN BILLION ONE HUNDRED FIFTY MILLION PESOS 00/100 M.N.), which will be distributed in $9,999,000,000.00 (NINE BILLION NINE HUNDRED NINETY-NINE MILLION PESOS 00/100 M.N.), represented by 9,999 (NINE THOUSAND NINE HUNDRED NINETY-NINE) equity contribution certificates of Series "A", with a nominal value of $1,000,000.00 (ONE MILLION PESOS 00/100 M.N.) each, and $5,151,000,000.00 (FIVE BILLION ONE HUNDRED FIFTY-ONE MILLION PESOS 00/100 M.N.), represented by 5,151 (FIVE THOUSAND ONE HUNDRED FIFTY-ONE) equity contribution certificates of Series "B", with a nominal value of $1,000,000.00 (ONE MILLION PESOS 00/100 M.N.) each.
