AMENDMENTS IN CORPORATE GOVERNANCE REGULATORY FRAMEWORK
Please refer to BPRD Circular No. 5 of 2021 dated November 22, 2021 on Corporate Governance Regulatory Framework (CGRF).
It has been decided to revise the Regulation G-14 (2)(v) of CGRF prescribing parameters to determine category of banks/DFIs and maximum limits of Remuneration of Directors for attending a Board/ Committee Meeting, as below:
Category
Parameters to Determine Category
Maximum Limits of Remuneration for a Board/ Committee Meeting (per meeting)
First
Those banks/DFIs which have: Above Rs. 1 trillion Assets Size OR Above Rs. 5 billion after tax profit (As per last audited annual accounts)
Up to Rs. 1,200,000
Second
All other banks/DFIs which do not fall in the first category
Up to Rs. 750,000
All other instructions on the subject shall remain unchanged.
