Authorization for La Peninsular, Compañía General de Seguros, S.A. to Continue Operating as an Insurance Institution

The Secretariat of Finance and Public Credit authorizes La Peninsular, Compañía General de Seguros, S.A. to continue operating as an insurance institution with a social capital of 25,074,250.00 New Pesos. The authorization permits the entity to conduct life, accident, and health insurance, as well as damage insurance in civil liability, professional risks, maritime and transport, fire, automobile, and credit reinsurance lines. The institution must maintain its domicile in Mérida, Yucatán, and the authorization is intransmissible.

OFFICE LETTER granting authorization to La Peninsular, Compañía General de Seguros, S.A., to continue functioning as an insurance institution.

AUTHORIZATIONS TO INSURANCE INSTITUTIONS.- The administrative act under which that institution functions is adjusted.

LA PENINSULAR, COMPAÑIA GENERAL DE SEGUROS, S.A.

In view of the fact that this Department, through office letter 366-IV-4099 of this same date, approved the various reforms carried out in the sixth clause of its bylaws, with the aim of increasing its social capital to reach its current amount of N$25,074,250.00, contained in the testimony of Deed No. 43,370, executed on September 20 of last year, before the notary public Lic. Armando Gálvez Pérez Aragón, Public Notary No. 103, with practice in the Federal District, this same Secretariat, based on the provisions of Articles 5 and 7, fractions I, II and III, subsections a), b), c), e), f) and g) of the General Law of Insurance and Mutual Societies, as well as the Second Transitory Provision of the Decree that reforms, adds and repeals various provisions of said Legal Order, published in the Official Journal of the Federation on January 3, 1990, and considering what is provided in Article 6 of its Internal Regulations, has resolved to issue the following

AGREEMENT:

"AUTHORIZATION GRANTED BY THE SECRETARIAT OF FINANCE AND PUBLIC CREDIT ON BEHALF OF THE FEDERAL GOVERNMENT TO LA PENINSULAR, COMPAÑIA GENERAL DE SEGUROS, S.A., TO CONTINUE OPERATING AS AN INSURANCE INSTITUTION, UNDER THE FOLLOWING TERMS:

ARTICLE FIRST.- In exercise of the power conferred by Article 5 of the General Law of Insurance and Mutual Societies to the Secretariat of Finance and Public Credit, authorization is granted to La Peninsular, Compañía General de Seguros, S.A. to operate as an insurance institution.

ARTICLE SECOND.- The insurance institution is authorized to carry out life, accident and health insurance operations, as well as damage insurance, in the lines of civil liability and professional risks, maritime and transport, fire, automobiles, credit exclusively in reinsurance and miscellaneous.

ARTICLE THIRD.- The insurance institution shall be subject to the provisions of the General Laws of Insurance and Mutual Societies, of Commercial Societies, those that are applicable to it, and in particular, to the following bases:

I.- The name shall be "La Peninsular, Compañía General de Seguros", Anonymous Society.

II.- The social capital shall be N$25,074,250.00 (TWENTY-FIVE MILLION SEVENTY-FOUR THOUSAND TWO HUNDRED FIFTY NEW PESOS 00/100) National Currency.

III.- The corporate domicile shall be the City of Mérida, Yucatán.

ARTICLE FOURTH.- By its very nature, this authorization is intransmissible."
