Regulation to amend Regulation 44-102 respecting Shelf Distributions
The Minister of Finance approved the Autorité des marchés financiers' Regulation to amend Regulation 44-102 respecting Shelf Distributions to modernize prospectus delivery requirements. The amendment introduces Part 6A, which permits issuers and dealers to satisfy delivery obligations by providing electronic access to shelf prospectus supplements and base shelf prospectuses via SEDAR+ in most jurisdictions. It also establishes specific procedures for providing access, exemptions from physical delivery in British Columbia, Québec, and New Brunswick, and updated disclosure legends for marketing materials and standard term sheets.
