Board Resolution No. 79/2026

The Board of the Central Bank of Bolivia approves the rescheduling of four extraordinary credit contracts held by Yacimientos de Litio Bolivianos (YLB), granting a one-year extension to the grace period for principal and interest on contracts SANO 178/2011, 179/2011, and 169/2015, and a one-year extension to the interest-only grace period for contract SANO-DLBCI 006/2022. The resolution mandates that accrued interest from specified past periods be paid in a single lump sum alongside principal on fixed dates in June or September 2027, while maintaining the original interest rates and other financial conditions. The President of the Central Bank is authorized to sign the corresponding modifying contracts with YLB and the Ministry of Hydrocarbons and Energies.

SUBJECT: MONETARY OPERATIONS MANAGEMENT - APPROVE THE RESCHEDULING OF THE EXTRAORDINARY CREDIT CONTRACTS SANO NO. 178/2011, SANO NO. 179/2011, SANO NO. 169/2015, AND SANO-DLBCI NO. 006/2022.

HAVING SEEN:

Law No. 1670 of October 31, 1995, of the Central Bank of Bolivia (BCB) and its amendments.

Law No. 1705 of December 31, 2025, on the General State Budget – Management 2026.

The Regulation for the Approval of Credit(s) to National Strategic Public Enterprises within the framework of the General State Budget for management years 2010, 2011, 2012, 2013, 2014, and 2015, approved by Board Resolution No. 23/2011 of February 22, 2011, and its amendments.

The Regulation on Credits to National Strategic Public Enterprises within the framework of the General State Budget Laws, approved by Board Resolution No. 19/2016 of February 2, 2016.

The Statute of the BCB approved by Board Resolution No. 95/2022, of October 6, 2022.

The Extraordinary General Board Resolution RDG-No. 005/2026 of June 2, 2026, issued by the Board of Directors of the National Strategic Public Enterprise of Yacimientos de Litio Bolivianos – YLB.

Ministerial Resolutions No. 108-2026, No. 109-2026, No. 110-2026, and No. 111-2026, all dated June 3, 2026, from the Ministry of Hydrocarbons and Energies (MHE).

Report BCB-GOM-SOSP-DOSP-INF-2026-9 of June 8, 2026, from the Monetary Operations Management (GOM).

Report BCB-GAL-SANO-DLBC1-INF-2026-147 of June 8, 2026, from the Legal Affairs Management (GAL).

CONSIDERING:

That Law No. 1670 in its articles 1 and 44 establishes that the BCB is a state institution, of public law, autonomous in nature, of indefinite duration, with its own legal personality and assets, whose highest authority is its Board of Directors, which is responsible for defining its policies, specialized regulations of general application, and internal norms; as well as for establishing administrative, operational, and financial strategies of the BCB, approving their respective short and medium-term programs.

That the aforementioned Law, in letters a) and q) of its article 54, designates as attributions of the BCB Board of Directors, to issue norms and adopt general decisions that are necessary for the Issuing Entity to fulfill the functions, competencies, and powers assigned to it by the Law and those other ones indicated by the aforementioned Law and those that are necessary for the fulfillment of its functions. In its articles 57 and 59 letter e), it establishes that the President is the first executive authority of the BCB and exercises the legal representation of the BCB, without prejudice to powers of delegation according to the Law.

That Law No. 1705 in its article 9 authorizes the BCB to carry out the rescheduling of extraordinary credits granted under concessional conditions to National Strategic Public Enterprises, through Laws of the Plurinational State of Bolivia, based on the needs of each company and with the approval of the Head Sector Ministry, as applicable, maintaining the initial interest rate of the corresponding contracts. It also instructs the BCB and the companies to sign the respective addenda to instrument the modification of the conditions established in this provision.

That the BCB Statute in numbers 1) and 49) of its article 10 establishes that the Board of Directors of the Issuing Entity has the attributions to approve general decisions and issue norms that are necessary for the BCB to fulfill the functions, competencies, and powers assigned to it by the Law and other attributions that are necessary for the fulfillment of its functions. In numbers 4) and 13) of its article 34, it determines that the President of the BCB has the attributions to exercise the legal representation of the BCB without prejudice to its powers of delegation and to sign contracts and agreements that the Bank enters into, being able to expressly delegate this power.

That through note YLB-PEE-0681/2026, YLB has requested the modification of the financial conditions of the Contracts referred to previously in the framework of article 9 of Law No. 1705, of December 31, 2025, on the General State Budget Management 2026: according to the following detail: extension of the grace period for principal and interest, for a term of one (1) year, for the Credit Contracts SANO No. 178/2011, No. 179/2011, and No. 169/2015; and extension of the grace period for the payment of interest, for a term of one (1) year, for the Credit Contract SANO-DLBCI No. 006/2022; attaching for this effect the Extraordinary General Board Resolution RDG-No. 005/2026, issued by the Board of Directors of YLB, as well as technical and legal reports and other documentation for the signing of the Modifying Contracts.

That through the Extraordinary General Board Resolution RDG-No. 005/2026, issued by the Board of Directors of YLB, it is resolved to approve the modification of the Financial Conditions of Contracts SANO No. 178/2011 of May 13, 2011, modified by Contract SANO - DLBCI No. 18/2024 of June 10, 2024; SANO No. 179/2011 of May 13, 2011, modified by Contract SANO - DLBCI No. 19/2024 of June 10, 2024; SANO No. 169/2015 of May 18, 2015, modified by Contract SANO - DLBCI No. 21/2024 of June 10, 2024, and SANO - DLBCI No. 6/2022 of February 9, 2022, modified by Contract SANO - DLBCI No. 22/2024 of June 10, 2024.

That Ministerial Resolutions No. 108-2026, No. 109-2026, No. 110-2026, and No. 111-2026 of the MHE, resolve to approve the modification of the financial conditions of the aforementioned Contracts and order that the Vice Ministry of Alternative Energies of the MHE carry out the evaluation and periodic follow-up of the execution of resources and the fulfillment of the credit payment plan.

CONSIDERING:

That through report BCB-GOM-SOSP-DOSP-INF-2026-9, the GOM recommends that in accordance with the background exposed, the documentation presented, and in the framework of article 9 of Law No. 1705, it corresponds to elevate to the consideration of the Board of Directors, the request for modification of the financial conditions of the contracts signed with YLB approved by the Head Sector Ministry: consisting of the extension of the grace period for principal and interest for a term of one (1) year for Contracts SANO No. 178/2011, No. 179/2011, and No. 169/2015; and the extension of the grace period for the payment of interest, for a term of one (1) year, for the Credit Contract SANO-DLBCI No. 006/2022, maintaining the validity of the other financial conditions of the credits, noting that the exceptional extension of the grace period for one (1) year constitutes a measure of a transitory and limited nature, oriented to granting a temporal margin that allows evaluating and implementing actions linked to the operational and financial situation of the company, without modifying the structural conditions of the credits granted by the BCB.

That through report BCB-GAL-SANO-DLBCI-INF-2026-147, the GAL concludes that the rescheduling of the credits according to Contracts SANO No. 178/2011, No. 179/2011, No. 169/2015, and No. 006/2022 requested by YLB has been approved by the MHE as the head sector ministry and technically analyzed by the GOM, therefore, it is legally viable as it does not violate the current legal framework, corresponding to the Board of Directors of the BCB its approval in accordance with what is established in letters a) and q) of article 54 of Law No. 1670 and numbers 1) and 49) of article 10 of the BCB Statute. Likewise, by virtue of what is provided in article 59 letter e) of Law No. 1670 and article 34 numbers 4) and 13) of the BCB Statute, authorize the Acting President of the BCB to sign the corresponding modifying contracts.

THEREFORE, THE BOARD OF DIRECTORS OF THE CENTRAL BANK OF BOLIVIA RESOLVES:

Article 1.- Approve the rescheduling of Contract SANO No. 178/2011 of Granting of Extraordinary Credit under Concessional Conditions granted within the framework of the provisions of the General State Budget 2010 and Laws No. 50 and No. 62, modifying number 6.3 of clause sixth as follows:

"6.3. Term. The CREDIT is granted for a term of 23 (twenty-three) years, computable from the date of the first disbursement. The term includes a grace period for principal of 10 (ten) years (7 years from management 2012 - 2018 and 3 years from management 2024 - 2026), and interest of 6 (six) months (3 years and 6 months from management 2015 to June 10, 2018, and 3 years from management 2024 - 2026). The interest corresponding to the period from December 11, 2023 (inclusive) to June 10, 2027, will be honored in a single payment together with the capital on June 10, 2027."

Article 2.- Approve the rescheduling of Contract SANO No. 179/2011 of Granting of Extraordinary Credit under Concessional Conditions granted within the framework of the provisions of the General State Budget 2010 and Laws No. 50 and No. 62, modifying number 6.3 of clause sixth as follows:

"6.3. Term. The CREDIT is granted for a term of 23 (twenty-three) years, computable from the date of the first disbursement. The term includes a grace period for principal of 10 (ten) years (7 years from management 2012 - 2018 and 3 years from management 2024 - 2026), and interest of 6 (six) months (3 years and 6 months from management 2015 to June 10, 2018, and 3 years from management 2024 - 2026). The interest corresponding to the period from December 11, 2023 (inclusive) to June 10, 2027, will be honored in a single payment together with the capital on June 10, 2027."

Article 3.- Approve the rescheduling of Contract SANO No. 169/2015 of Extraordinary Credit under Concessional Conditions granted within the framework of Law No. 396 of August 26, 2013, on modifications to the General State Budget 2013, destined for the Second Phase of the Project "Integral Development of the Brine of the Salar de Uyuni - Industrial Plant Phase II (Production)", modifying number 6.3 of clause sixth as follows:

"6.3. Term. The CREDIT is granted for a term of 33 (thirty-three) years, computable from the date of the first disbursement. The term includes a grace period for principal and interest of 10 (ten) years (7 years from management 2016 - 2022 and 3 years from management 2024 - 2026). The interest corresponding to the period from June 24, 2023 (inclusive) to June 23, 2027, will be honored in a single payment together with the capital on June 23, 2027."

Article 4.- Approve the rescheduling of Contract SANO-DLBCI No. 006/2022 of Extraordinary Credit under concessional conditions in favor of Yacimientos de Litio Bolivianos - YLB destined for the Project: Third Phase Integral Development of the Brine of the

Salar de Uyuni - Industrial Plant, within the framework of article 33 of Law No. 211 of December 23, 2011 modified by article 9 of Law No. 396 of August 26, 2013, modifying number 6.3 of clause sixth as follows:

"6.3. Term and form of payment. The CREDIT is granted for a term of 23 (twenty-three) years, computable from the date of the first disbursement. The term includes a grace period for principal of 5 (five) years and interest of 3 (three) years for management 2024 - 2026. The interest corresponding to the period from September 7, 2023 (inclusive) to September 6, 2027, will be honored in a single payment together with the capital on September 6, 2027."

Article 5.- Authorize the Acting President of the BCB to sign the Modifying Contracts to Contracts SANO No. 178/2011, SANO No. 179/2011, SANO No. 169/2015, and SANO-DLBCI No. 006/2022 with YLB and the MHE under the terms established in this Resolution.

Article 6.- The Presidency and General Management are in charge of the execution and compliance of this Resolution.
