This directive permits scheduled banks in Bangladesh to pay an incentive bonus equivalent to a maximum of one month's basic salary to employees in a year where no bonus was previously payable, provided the bank reports an operational profit, maintains its regulatory capital without reduction (excluding adjustments for approved deferred tax/deferred revenue assets), and has not applied for new deferred payment facilities. This exception to the conditions outlined in BRPD-2 Circular No. 12 of December 9, 2025, is issued under Section 45 of the Bank Companies Act, 1991, and takes immediate effect.

Dear Sir,
Subject: Provision of Incentive Bonus for the Employees of Bank-Companies.
Reference is invited to BRPD Circular No. 12, dated 09 December 2025, on the subject cited above.
Through the aforementioned circular, instructions were provided to scheduled banks regarding the conditions to be complied with prior to providing incentive bonus (Incentive Bonus) for their employees/staff.
Now, in the interest of enhancing the morale of employees/staff working in the banking sector and maintaining a competitive environment among banks, it has been decided that if no incentive bonus is payable in any year according to the percentage specified in paragraph 2 of the aforementioned circular, the Board of Directors of the concerned bank-company may consider providing an amount equal to the basic salary of the maximum 01 (one) month as an incentive bonus in the considered year, subject to specific consideration. However, in such cases, the following matters must be ensured:
(a) The bank must report an operational profit for the considered year; (b) The bank's regulatory capital must not decrease compared to the previous year (excluding adjustments related to any delayed deferred tax/deferred revenue assets approved by Bangladesh Bank); (c) The bank must not have applied for any new deferred payment facilities.
Other instructions mentioned in BRPD Circular No. 12/2025 shall remain unchanged.
These instructions are issued under the powers conferred by Section 45 of the Bank Companies Act, 1991 (amended up to 2023).
These instructions shall take effect immediately.
