BRPD Circular Letter No. 43: Conducting Meeting in Hybrid Mode

The circular cancels previous directives (BRPD Circular Letters No. 09, 26, 34, and 12) that permitted hybrid or video conference meetings for bank boards and committees during the pandemic. It explicitly authorizes foreign directors of banks that are not wholly domestically owned to participate in Board of Directors and subsidiary committee meetings via online attendance. This directive is issued under Section 45 of the Companies Act, 1991, and takes immediate effect.

Dear Sir, Re: Conducting Meetings in Hybrid Mode.

Reference is made to the previously issued BRPD Circular Letters No. 09, 26, 34, and 12 dated March 23, 2020, May 17, 2020, June 30, 2020, and April 26, 2023, respectively. Through the aforementioned circular letters, necessary instructions were provided regarding the holding of various meetings, including those of the Bank's Board of Directors, Executive Committee, Audit Committee, and Risk Management Committee, via video conferencing and in a hybrid mode (where some members attend in person while the remaining members join via video conferencing), to prevent the spread of the coronavirus, reduce subsequent banking expenses, and ensure efficient use of electricity and fuel.

  1. In light of the significant reduction in the prevalence of the coronavirus in the country and the improvement in the nation's electricity and fuel situation, the aforementioned circular letters are hereby cancelled with the aim of maintaining the regular operations of banks properly.

  2. However, foreign directors of bank companies that are not 100% domestically owned may participate in the meetings of the Bank's Board of Directors and subsidiary committees by joining online.

  3. These instructions are issued under the authority granted by Section 45 of the Companies Act, 1991, and shall take immediate effect.
