CSA Notice of Publication: Amendments Relating to the Offering Memorandum Prospectus Exemption
The Canadian Securities Administrators have amended Regulation 45-106 to introduce new disclosure requirements for issuers engaged in real estate activities or operating as collective investment vehicles using the offering memorandum exemption. These changes aim to provide a clearer disclosure framework and enhanced, tailored information to investors while incorporating general streamlining measures based on stakeholder feedback. The amendments are expected to come into force on March 8, 2023, with a transition provision allowing issuers to continue using prior forms until amended.
