LEGAL NOTICE NO. 157 OF 2019 - THE COMPANIES (AMENDMENT) REGULATIONS, 2019

Further to our Circular Letter dated August 21, 2019 [Ref: CB-OIFI-2283/2019], kindly note the attached Companies (Amendment) Regulations which contain the revised Form 28 – Annual Return as well as the new Forms 36-46 listed below:

1. Form 28 - Annual Return of a Company for Profit incorporated, continued or amalgamated under the Act (as revised)
2. Form 36 - Return of Share Warrants and Bearer Share Warrants Issued by a Company - Section 33(4);
3. Form 37 - Notice to Holders of a Share Warrant or Bearer Share Warrant Issued by the Company - Section 33(6);
4. Form 38 - Notice of Bearer Shares, Bearer Share Certificates, Share Warrants and Bearer Share Warrants Issued by an External Company in Trinidad and Tobago - Section 333A(2);
5. Form 39 - Notice to Holders of Bearer Shares, Bearer Share Certificates, Share Warrants or Bearer Share Warrants issued by an External Company in Trinidad and Tobago - Section 333A(4);
6. Form 40 - Notice to Shareholders of the Company to Declare Non-Beneficial Ownership - Section 337B(2);
7. Form 41 - Declaration of Non-Beneficial Ownership - Section 337C(1);
8. Form 42 - Declaration of Beneficial Ownership - Section 337C(2) and (3);
9. Form 43 - Declaration by Shareholder/Former Shareholder of Change in Beneficial Interest in the Shares of a Company - Section 337C(4);
