Circular to Specialized Finance Companies in the Kingdom

Greetings,

In line with the Central Bank of Jordan's commitment to applying and consolidating corporate governance rules and foundations among specialized finance companies, please work on providing the Central Bank of Jordan with the following:

1. The attached declarations (Appendix No. (1) and Appendix No. (2)) signed by each person holding a seat on the Board of Directors and/or Senior Executive Management of the company for any member appointed by the company within two working days from the date of appointment, with this declaration kept by the company and a copy sent to the Central Bank accompanied by the following documents:

• Identity proof document.
• Curriculum Vitae.

2. Information regarding the Board of Directors, Senior Executive Management, and the Sharia Supervisory Board annually by a deadline of the 15th of January, and any amendments to them within two working days according to the attached forms [Appendix No. (3/A), Appendix No. (3/B), and Appendix No. (3/C)].

In this regard, we point out the necessity of providing us with the declarations mentioned in item (1) for members appointed after the issuance of the license decision, as well as the forms mentioned in item (2) for current members within two working days.

Appendix No. (1) Declaration of Board of Directors / Board of Members Members

1. Convicted of a misdemeanor involving loss of honor, morality, public decency, or trust, or any felony.
2. A member of the board of directors of any other finance company within the Kingdom or its General Manager, Regional Manager, or employee, unless the other company is a subsidiary of that company.
3. A member of the board of directors of a licensed finance company or its General Manager whose license was previously revoked or which was liquidated.

Appendix No. (2) Declaration of Senior Executive Management Members
