Clarification of the Text of the Second Resolution of Official Letter No. 06-C00-41100/69357 of December 15, 2017, Modifying QBE de Mexico's Insurance Authorization

The National Insurance and Bonding Commission (CNSF) corrects the corporate name of the Australian parent entity of QBE de Mexico Compañía de Seguros, S.A. de C.V. from "QBE Holdings (Americas) Pty, Limited" to "QBE Latin America Insurance Holdings Pty Limited, an institution of the exterior from Australia (formerly QBE Latin America Insurance Holdings, S.L., of the Kingdom of Spain)" in both the preamble and Article One of the original resolution. This clarification updates the legal reference to the holding company structure governing the authorized insurance institution.

At the margin, a seal with the National Coat of Arms, which reads: United Mexican States.- Ministry of Finance and Public Credit.- National Insurance and Bonding Commission.

CLARIFICATION TO THE TEXT OF THE SECOND RESOLUTION OF OFFICIAL LETTER NO. 06-C00-41100/69357 OF

DECEMBER 15, 2017, PUBLISHED IN THE FEDERAL OFFICIAL GAZETTE ON MARCH 15, 2018, BY WHICH THIS COMMISSION MODIFIED THE AUTHORIZATION GRANTED TO QBE DE MEXICO INSURANCE COMPANY, S.A. DE C.V., TO OPERATE AS AN INSURANCE INSTITUTION, ACCORDING TO THE FOLLOWING:

The Proemio says:

"AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT TO QBE DE MEXICO INSURANCE COMPANY, S.A. DE C.V., TO ORGANIZE AND OPERATE AS AN INSURANCE INSTITUTION

SUBSIDIARY OF QBE HOLDINGS (AMERICAS) PTY, LIMITED, OF AUSTRALIA , UNDER THE FOLLOWING

TERMS: "

It should read:

"AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT TO QBE DE MEXICO INSURANCE COMPANY, S.A. DE C.V., TO ORGANIZE AND OPERATE AS AN INSURANCE INSTITUTION

SUBSIDIARY OF QBE LATIN AMERICA INSURANCE HOLDINGS PTY LIMITED, FOREIGN FINANCIAL INSTITUTION, OF AUSTRALIA , (PREVIOUSLY QBE LATIN AMERICA INSURANCE HOLDINGS, S.L., OF THE KINGDOM OF

SPAIN)

UNDER THE FOLLOWING TERMS: "

Likewise, ARTICLE ONE says:

"ARTICLE ONE.- In exercise of the authority conferred by articles 5 and 33-C of the repealed General Law of Insurance Mutual Institutions and Societies on the Ministry of Finance and Public Credit,

and which from April 4, 2015, are conferred by articles 11 and 75 of the Law of Insurance and Bonding Institutions on the National Insurance and Bonding Commission, authorization is granted to QBE de Mexico Insurance Company,

S.A. de C.V., to operate as an insurance institution subsidiary of QBE Holdings (Americas) Pty

Limited, of Australia. "

It should read:

The foregoing, based on articles 11, 75, 369, fraction II, 370, last paragraph and 372, fraction XLI

of the Law of Insurance and Bonding Institutions, as well as articles 6 and 9 of the Internal Regulations of

the National Insurance and Bonding Commission.
