Draft Amendments to the Limited Liability Partnership Regulations, 2018

NOTIFICATION

S. R. O. 1099 (I)/2018.--The following draft amendments to the Limited Liability Partnership Regulations, 2018 (the Regulations) proposed to be made by the Securities and Exchange Commission of Pakistan, in exercise of the powers conferred by section 53 of the Limited Liability Partnership Act, 2017 (XV of 2017) are hereby published for eliciting public opinion thereon and notice is hereby given that comments, if any, received within fourteen days of the date of this notification will be taken into consideration by the Securities and Exchange Commission of Pakistan, namely:-

DRAFT AMENDMENTS

In the aforesaid Regulations,-

(a) regulation 10, shall be re-numbered as sub-regulation (1) and thereafter the following new sub-regulation (2) shall be inserted, namely:-

"(2) An LLP shall display certificate of incorporation at its registered office.";

(b) regulation 27, shall be renumbered as sub-regulation (1) and thereafter the following new sub-regulations shall be inserted, namely:-

"(2) An LLP shall maintain a register of partners with a statement of their ownership percentages and their associated voting rights at its registered office."; and

(c) regulation 28, shall be numbered as sub-regulation(1) and thereafter the following new sub-regulation (2) shall be inserted namely:-

"(2) An LLP shall keep copy of LLP Agreement including amended copies, if any, at its registered office.".
