Draft Financial and Corporate Service Providers (Fees) Rules, 2026

This draft document, out for public consultation, proposes new Financial and Corporate Service Providers (Fees) Rules, 2026, which would replace the 2024 rules (S.I. No. 109 of 2024). The draft rules revise the fee structure for financial and corporate service providers licensed under the Financial and Corporate Service Providers Act, 2020, by increasing certain application and annual fees and introducing new administrative fees for specific regulatory applications and approvals. An activity fee of one percent of the principal amount of new loans or loan increases would also be introduced for licensees providing money lending, payday and cash advance, or credit extension services, payable quarterly. The consultation period for these rules, which are slated to come into operation on January 1, 2027, concludes on September 25, 2026.

FOR CONSULTATION: Securities Commission of The Bahamas Draft Financial and Corporate Service Providers (Fees) Rules, 2026 Page 2 of 7 FINANCIAL AND CORPORATE SERVICE PROVIDERS ACT, 2020 (NO. 27 OF 2020) FINANCIAL AND CORPORATE SERVICE PROVIDERS (FEES) RULES, 2026 The Securities Commission of The Bahamas (“the Commission”), in its capacity as regulator of financial and corporate service providers has issued the draft Financial and Corporate Service Providers (Fees) Rules, 2026 (“the draft Rules”) for public consultation. The draft Rules can be found on the Commission's website at: scb.gov.bs/legislative-framework/consultation-documents/. Summary/Purpose The draft Rules are intended to revise the fees applicable to financial and corporate service providers licensed under the Financial and Corporate Service Providers Act, 2020. The draft Rules would replace the Financial and Corporate Service Providers (Fees) Rules, 2024 (No. 109 of 2024) and retain the existing framework governing application fees, annual fees and fees for the replacement or variation of a licence, while introducing certain amendments to the applicable fee structure. The Rules: (a) increase certain fees applicable to financial and corporate service providers registered under Financial and Corporate Service Providers Act, 2020; (b) introduce an activity fee applicable to licensees providing money lending, payday and cash advance or credit extension services; and (c) introduce administrative fees for specified regulatory applications and approvals. FOR CONSULTATION: Securities Commission of The Bahamas Draft Financial and Corporate Service Providers (Fees) Rules, 2026 Page 4 of 7 FINANCIAL AND CORPORATE SERVICE PROVIDERS ACT, 2020 (NO. 27 OF 2020) FINANCIAL AND CORPORATE SERVICE PROVIDERS (FEES) RULES, 2026 The Securities Commission of The Bahamas, in exercise of the powers conferred by section 29 of the Financial and Corporate Service Providers Act, 2020 (No. 27 of 2020), makes the following rules —

  1. Citation and commencement. (1) These Rules may be cited as the Financial and Corporate Service Providers (Fees) Rules, 2026. (2) These Rules shall come into operation on 1 January, 2027.
  2. Fees. (1) The fees set out in the Schedule and in these Rules shall — (a) apply in relation to the Act unless waived by the Commission; (b) be payable to the Commission; and (c) not be refundable. (2) The annual fees set out in the Schedule shall be payable on or before 31 January in each year. (3) Annual fees payable on the approval of an application to be licensed shall be pro￾rated from the date of the licence to the 31 December of that year.
  3. Fee for replacement or variation of a licence. A licensee who applies for — (a) a replacement of the licence issued by the Commission, shall pay at the time of application, a non-refundable fee of fifty dollars; (b) the variation of the licence issued by the Commission, shall pay at the time of application, a non-refundable fee of two hundred and fifty dollars.
  4. Fee for multiple licences. (1) Where an application is made for more than one licensed activity, the applicant shall pay in the case of an application for — (a) more than one corporate service activity, the highest prescribed application fee for which application is being made plus two hundred and fifty dollars for each additional corporate service activity; (b) more than one financial service activity, an application fee being the highest prescribed fee for which application is being made; and

(2) Where a licensee has been licensed for more than one activity, the licensee shall pay in the case of a licence for — (a) corporate services only, an annual fee being the highest prescribed fee for the activities licensed; (b) financial services only, an annual fee being the highest prescribed fee for the activities licensed; and (c) combined financial and corporate service activities, a combined annual fee as set out in (a) and (b) above. 5. Activity fee for money lending, payday and cash advance and credit extension services. (1) A person licensed to provide money lending, payday and cash advance or credit extension services shall, in addition to the annual fee set out in the Schedule, pay to the Commission a fee equal to one per cent of — (a) the principal amount of each new loan advanced by the licensee; and (b) each amount by which the principal of an existing loan is increased. (2) The fee payable under paragraph (1), in respect of all loans advanced and each amount by which the principal of an existing loan was increased during a quarter — (a) shall be payable quarterly, no later than the twenty-first day following the end of that quarter; and (b) may be charged by the licensee to the borrower as a fee for the loan or increase. 6. Revocation of S.I. No. 109 of 2024. The Financial and Corporate Service Providers (Fees) Rules, 2024 (S.I. No. 109 of 2024) are hereby revoked.
