INSTRUCTIONS APPLICABLE FOR THE COMPLETION OF THE APPLICATIONS RELATING TO
TRANSFER OF SECURITIES OF A PUBLIC COMPANY LISTED ON THE COLOMBO STOCK
EXCHANGE (CSE) OUTSIDE THE TRADING PROCEDURE
- The following instructions should be read in conjunction with Section 84 of the Securities and Exchange
Commission of Sri Lanka Act (SEC Act 2021), No. 19 of 2021. In terms of the SEC Act 2021, the approval
of the Commission shall be obtained where no express trading procedure has been adopted by the
Licensed Exchange.
- The approval of the Securities and Exchange Commission of Sri Lanka (SEC) is not required to transfer
securities pertaining to a conveyance of securities from an Administrator/Executor of an estate of a
deceased person.
- A duly completed off-the-floor transfer application along with the required documentary evidence shall be
submitted to the SEC through the respective Stock Broker or any other party deemed acceptable to the
SEC.
- All documentary evidence shall be certified copy or certified as a ‘true copy’ by an Attorney - at -Law. In
the case of the latter, it may be done by any officer authorized in that respect, provided that the SEC is
officially informed of such authorization and the name and designation of such person.
- If the off-the-floor transfer pertains to gifting of securities to a “relation” as defined in the section 84(3)
of the SEC Act 2021, the applicant is required to submit necessary documents through the Stock Broker
to confirm the relationship [e.g. the certified copy of birth certificate, marriage certificate, an affidavit to
that effect (where necessary) and any other requisite documentary evidence].
- Off-the-floor transfer of securities between an Individual CDS Account and a Joint CDS Account, between
Joint CDS Accounts (where the main account holder changes), shall be permitted only upon submission
of the requisite documents confirming the relationship and/or an affidavit to that effect (where necessary).
- Signature verification
A. In cases where the principal owner of securities changes (i.e. gifts, transfers between an Individual
CDS Account and a Joint CDS Account, between Joint CDS Accounts, the off-the-floor transfer
application form shall be signed in the presence of a Commissioner for Oaths. The attestation of the
signatures must be placed at the bottom of the off-the-floor transfer application, and the SEC must
be formally notified of the authentication, including the name, official designation, contact number
and email address of the person who attested the signatures.
B. The requirements relating to two-tier verification process for gift transfers
i. Affidavit from the transferor affirming:
a. he/she is gifting the securities willingly and without any coercion
b. the gift is not intended to avoid any sort of statutory obligations
c. a detailed description of the securities that are being transferred
The Affidavit must be signed in the presence of a Commissioner for Oaths. In addition, the full
name, contact number, and email address of the person who has attested the affidavit shall be
provided.
ii. With regard to gift transfers, if necessary, the SEC may request additional information for
verification purposes, as follows:
a. A Letter of Indemnity from the transferee/s, indemnifying the SEC against any potential
liabilities or claims arising from the gift transfer.
b. A Medical Certificate from an SLMC registered medical professional or any equivalent person,
as may be acceptable to the SEC, and
c. Depending on the circumstance, any other additional documents deemed necessary for the
verification of gift transfers.

8. In the case of applications made under Power of Attorney, a copy of the same which is duly certified
by an Attorney-at-Law must also be provided.
9. In cases where transferor and / or transferee is a corporate entity, the common seal of the company
should be affixed and attested as required by its Article of Association.
10. In any other event not mentioned above, copies of the requisite documentary evidence to substantiate
the exceptional circumstances should be attached to the application.
11. The SEC reserves right to request additional information or documents, in addition to the above
requirements, as deemed necessary for verification purposes.
