Form 2570 is the support used by financial entities, exchange operators, electronic clearing houses, securities depositories, markets, finance companies, settlement and clearing agents, the Ministry of Economy and National Social Security Administration (ANSES) –hereinafter also “entities”– to register before the Central Bank of the Argentine Republic (BCRA) the persons authorized to operate their current accounts and/or other accounts open at the BCRA. 1.1. Request for Forms The delivery of Form 2570 will be carried out by scheduling appointments to be requested from the electronic accounts department at ctas.ctes@bcra.gob.ar. Once the appointment is assigned, they will personally attend the BCRA, located at Reconquista Street No. 266 of the Autonomous City of Buenos Aires (CABA), 3rd floor, office 3310, to formalize its delivery. A maximum of two forms will be delivered per requesting entity, except for well-founded cases where signatories exceed the number provided in said forms. 1.2. Integration 1.2.1. Front side Each form may contain a roster of up to six authorized signatories to operate with current accounts and/or other accounts open at the BCRA. In each used box, the following information must appear: signature, first name/s and last name/s –as stated in the National Identity Document (DNI)– and position or functional role, for each of the members of the aforementioned roster. This clarifying information must be placed below the signature and may be recorded by any means, clearly, legibly, and in print-type lettering. When entities determine to identify their signatories by groups (e.g., A-B-C or I-II-III), the corresponding letter or number must be included within each box, clearly and legibly. Those boxes that remain blank must be crossed out or invalidated. Within the “Observations” section, the mode of signature usage (“Individual”: authorized to single signature; or “Joint”: requiring another signatory/s) will be specified, along with restrictions (“Joint and Indistinct” or “Joint by groups”: A+A/A+B/B+C, etc.) and any other consideration deemed appropriate (amount limits, powers, etc.). Within the upper right and lower left margins, the entity account number assigned by the BCRA must be included, except for ad referéndum registration requests (which will be detailed in point 1.5.1 at the end). Finally, the complete name of the entity must be placed, as stated in its bylaws and/or in the list relative to “Current and Special Accounts open at the BCRA in pesos and foreign currency” current at the time of submission, disseminated by the BCRA through Communication B. 1.2.2. Back side It must be integrated with the entity’s address, locality and province, postal code, telephone number and contact person (email address and extension number), which must be kept updated. Likewise, any entity whose head office is located in the interior of the country must additionally, if applicable, state the data pertaining to the branch located in CABA or in the zone closest to that city. Neither front nor back sides of Form 2570 will accept any type of amendments. 1.3. Certification 1.3.1. Certifying official/authority On the reverse side, a signature of an official or authority must be inserted without exception to certify that both the information and the signatures stamped on the front side are authentic. This signature will not be considered part of the roster of authorized signatories. In the case of banking entities, this authority must possess, at minimum, the category of general manager and a position superior to the authorized signatories on the front side, except when the entity’s highest authority is included in the roster, in which case it will sign both on the front side (integrating the signatory roster) and on the back side (certifying the contained information), being the only one who can present itself to itself. In the case of non-banking entities (exchange agencies, exchange houses, finance companies, etc.) and others, the form must be certified without fail by its highest responsible person. 1.3.2. Notarial certification Both the signature of the certifying official/authority and its position must be certified by a public notary and have their corresponding notarial action sheet. Likewise, the notary must state that the signatory (certifying official/authority) possesses sufficient powers for the act being performed. 1.4. 1.4.1. When the certifying official/authority possesses sufficient powers to carry out the designation of authorized signatories, such situation must be stated in the submission note that will be delivered along with Form 2570. It must include the following legend: “The undersigned hereby expressly states that they possess sufficient powers for the act being carried out.” On this occasion, the intervening public notary, in addition to certifying the signature and position of the signatory, must attest that they have reviewed the documentation supporting such powers. 1.4.2. In the remaining cases, the designation of signatories must be made with the intervention of each entity’s governing body (board of directors, board of administration, etc.), and must be recorded in minutes for submission to the BCRA or, alternatively, the entity may present the current powers of each authorized person, in which they are empowered to operate with the BCRA. All documentation presented to comply with the provisions of this point must be certified by a public notary. 1.5. Submission of the form 1.5.1. Registration in the “Register of Authorized Signatures” Its submission will be carried out personally at the Manager of Current Accounts, with a previously assigned appointment as indicated in the second paragraph of point 1.1. The Form/s 2570 must be accompanied by a submission note, in duplicate, addressed to the Manager of Current Accounts, with letterhead and complete name of the presenting entity, where the following data of the authorized signatories must be stated: i. full first name/s and last name/s –as stated in the DNI–; ii. position or functional role; iii. CUIL/CUIT (Individual/Corporate Taxpayer Identification Number); and iv. group (if applicable). The note must also inform the mode of signature usage. The information stated in the note must match that included in the Form/s. Additionally, the following documentation must be presented, with its validity stated at the date of submission: a) notarially certified copy of the corporate bylaws, with its corresponding notarial action sheet; b) notarially certified copy of the minutes issued by the entity’s governing body, or resolution, stating the designation of its highest authorities –and their distribution of positions– with its corresponding notarial action sheet; Version: 1st. c) simple copy of the entity’s CUIT certificate; and d) current powers of the authorized officials in the roster –only in those cases where they are presented as attorneys-in-fact–, certified by a public notary, with its corresponding notarial action sheet. The submission note must be signed by the same certifying official/authority established in point 1.3.1., and intervened by a public notary under the terms of point 1.3.2. In the case of opening accounts for new financial or exchange entities, the forms will be received ad referéndum pending the issuance of Communication B informing their authorization to operate as such, and may only be used to verify signature concordance in those presentations related exclusively with necessary management to initiate their operations. The note referred to in this point must be signed using the model indicated in point 1.7.1. 1.5.2. Update of the register Any subsequent modification of the authorized signatory roster must be communicated immediately to the Manager of Current Accounts, with partial additions and/or deletions not being accepted. To this effect, new Form 2570 must be delivered adjusted to the provisions of point 1.5.1., and the submission note must include the instruction to cancel the signatures registered at the time of the update request. In the case of banking entities, upon the addition or deletion of any of their authorities with general manager category or higher, they must inform it immediately to the Manager of Current Accounts, through a note to which will be attached a notarially certified copy of the minutes issued by the entity’s governing body, or resolution, stating such circumstance. The remaining entities must do likewise in the case of addition or deletion of their highest authority. Likewise, all documentation (powers, minutes, etc.) that has been presented by the entity, within the framework of compliance with these regulations, must be kept updated. Periodic update of Form 2570 is recommended to avoid inconveniences with signature comparison. Nevertheless, when the aforementioned manager considers there are sufficient reasons, its renewal may be requested. 1.5.3. Special cases 1.5.3.1. Registration or update of signatures for the payment of social security benefits on behalf of ANSES The Form/s 2570 that is/are presented must comply with the provisions of points 1.5.1. and 1.5.2., adding those complementary requirements indicated in the consolidated text on Payment of Social Security Benefits on behalf of ANSES regarding the minimum number of signatures required for the submission of tax returns and the designation of responsible and delegated officials. The note referred to in this point must be signed using the model indicated in point 1.7.3. 1.5.3.2. Registration or update of signatures to operate with BCRA regional agencies The Form/s 2570 that is/are presented for this purpose by entities as they may determine must comply with the provisions of points 1.5.1. and 1.5.2., and must additionally present, in this case, two sets of each form, which will be of equal tenor and for a single effect. The note referred to in this point must be signed using the model indicated in point 1.7.4. 1.6. General provisions 1.6.1. The BCRA does not provide the information contained in the Register, even to the same entity, due to the high confidentiality that appointments made for the authorized signatory roster hold. 1.6.2. Signature records will become effective from the start of operations on the first business day following the date when the Manager of Current Accounts grants its approval by signing and stamping the agent in charge and generating the corresponding electronic file. 1.6.3. Signatures registered in the Form/s 2570, with the exception of special cases (point 1.5.3.), will authorize the following operations: fund movements in current, sight and/or other accounts open at the BCRA; opening and closing of accounts; and performing any further administrative acts necessary for the performance of their duties. These signatures are independent of those that integrate the authorized signatures books of financial entities (Section 2.). 1.7. Note templates 1.7.1.
