International Business Companies (Amendment) Act, 2026

This Act amends the International Business Companies Act, 2016 by modifying section 134 to substitute the words "nine months of" with "30 days from", and revising section 150 to require disclosure of the nominee status of directors and the identity of their nominators. New subsection (1B) defines "nominee" and "nominator," mandating that identity details for individuals include name, address, date of birth, nationality, and national identity number or equivalent, while bodies corporate must provide name, address, date and place of incorporation or registration, and incorporation or registration number. Sections 346 and 352 are amended to require the name and date of appointment of each company's current directors, with compliance for section 150 amendments required by 31 December, 2026, and the sections 346 and 352 changes taking effect from 1 January, 2027.

Amendment of section 134 of the International Business Companies Act, 2016 (Act 15 of 2016) 2. Subsection (1) of section 134 of the International Business Companies Act, 2016 (Act 15 of 2016) (hereinafter referred to as “the principal Act”) is amended, by repealing the words “nine months of” and therefor substituting the figures and words “30 days from”. Amendment of section 150 3. Section 150 of the principal Act is amended — (a) in subsection (1) — (i) by repealing the word “and” in paragraph (d); (ii) by inserting after paragraph (d), the following paragraphs — “(da) the nominee status of any director or alternate director; (db) the identity of the nominator where the director or alternate director is a nominee; and”; (b) by inserting after subsection (1A) the following subsection — “(1B) For purposes of this section, — (a) “nominee” means a person that routinely exercises the functions of a director in a company on behalf of and subject to the direct or indirect instructions of the nominator; (b) “nominator” means a person that issues instructions, directly or indirectly to a nominee to act on behalf of the nominator in the capacity of a director; (c) the identity of a nominator that is — (i) an individual shall include his or her name, address, date of birth, nationality and national identity number or equivalent (if any); (ii) a body corporate shall include its name, address, date of incorporation or registration, place of incorporation or registration and incorporation or registration number.”. Amendment of section 346 4. Section 346 of the principal Act is amended in subsection (2), by repealing paragraph (g) and therefor substituting the following paragraph — “(g) notwithstanding the provisions of subsection (5) of section 152 and subject to subsection (4) of this section, the name and date of appointment of each company’s current directors; and”. Amendment of section 352 5. Section 352 of the principal Act is amended in subsection (1), by inserting after paragraph (f), the following paragraph — “(fa) notwithstanding the provisions of subsection (5) of section 152 and subject to subsection (4) of section 346, the name and date of appointment of the company's current directors;”. Transitional provision 6.(1) Every company shall comply with the provisions of paragraphs (da) and (db) of subsection (1) of section 150 of the International Business Companies Act, 2016 (Act 15 of st 2016) by 31 December, 2026, as amended by this Act. (2) The provisions of paragraph (g) of subsection (2) of section 346 and paragraph (fa) of subsection (1) of section 352 of the International Business Companies Act, 2016 (Act 15 of st 2016), as amended by this Act, shall take effect from the 1 day of January, 2027.
