Letter modifying the terms of the authorization for Briq Fund, S.A.P.I. de C.V. to organize and operate as a Collective Financing Institution

The National Banking and Securities Commission modifies the fifth and eighth bases of the authorization granted to Briq Fund, S.A.P.I. de C.V. to organize and operate as a Collective Financing Institution. The entity's corporate purpose is updated to align with the activities and services specified in Articles 15, 16, and 19 of the Law for the Regulation of Financial Technology Institutions. The authorization stipulates that the institution's operations, organization, and services, including debt, capital, and co-ownership or royalty financing, must comply with the aforementioned Law, general rules issued by the Commission, Bank of Mexico provisions, and other applicable regulations.

We refer to the writing and documentation presented at this National Banking and Securities Commission ("Commission") on June 4, 2026, through the authorized institutional email autorizacionfintech@cnbv.gob.mx, in accordance with what is provided in the "Agreement establishing administrative measures for the continuity of the activities of the National Banking and Securities Commission in the attention of matters processed before it, during the health contingency caused by COVID-19", published in the Official Gazette of the Federation ("DOF") on July 15, 2020, by virtue of which Briq Fund, S.A.P.I de C.V., Collective Financing Institution ("Briq" or "Entity"), submitted the protocolization of the Ordinary and Extraordinary General Shareholders' Meeting held on May 7, 2026, regarding the modification of its corporate purpose. Therefore, in attention to your writing, based on articles 11,

16 and 19 of the Law for the Regulation of Financial Technology Institutions, the FIFTH and

EIGHTH bases of the authorization granted to Briq, to organize and operate as a collective financing institution, through letter P116/2021, dated May 20, 2021, published in the Official Gazette of the Federation on December 26, 2023, are modified, to remain in the following terms:

Its corporate purpose will correspond to the activities indicated in article 15 of the

Law for the Regulation of Financial Technology Institutions and will carry out the operations and the

provision of services established in articles 16, fractions I, II and III and 19,

fractions I, II, III, IV, VI, VII, VIII, IX, X, XI of the aforementioned Law for the Regulation of

Financial Technology Institutions.

EIGHTH.-

The services consisting of collective financing of debt, capital and of

co-ownership or royalties that the institution provides by virtue of this authorization, as well

as the other operations it carries out, as well as its organization and operation

generally, will be subject, in what is not expressly stated in this letter, to the Law

for the Regulation of Financial Technology Institutions, to the rules and provisions of

general character applicable to Financial Technology Institutions issued by the

National Banking and Securities Commission, to the provisions regarding its

operations issued by the Bank of Mexico and the other current norms and provisions

and those that are issued in the future by any competent authority, including those

related to operations with resources of illicit origin and terrorism financing,

which by their nature are applicable.

This letter is issued based on the legal provisions previously invoked, as well as in

exercise of the powers conferred on this Commission in articles 142 and 145, fraction IV, of the LRITF; 16,

penultimate paragraph, of the Law of the National Banking and Securities Commission; 3, fraction V, 4, fractions I,

paragraph B and II, paragraph B, numerals 5) and 32), 14, 19, fraction XVI, 45, fraction I and 64, first paragraph, of the

Internal Regulations of the National Banking and Securities Commission, published in the DOF on February 28,

2022; 1, fractions III and IX, and 3, fraction II and 9, fraction II of the Agreement by which the administrative units are organically attached

of the National Banking and Securities Commission, published in the DOF on April 18,

2022, last modified on May 14, 2026; as well as 1, fraction XII, 11, fraction IX,

numeral 10), and 37, fraction X, numeral 9), of the Agreement by which the President of the National Banking

and Securities Commission delegates powers to the Vice Presidents, General Directors and Coordinators of the

same Commission, published in the DOF on November 30, 2015 and last modified on May 14
