Letter modifying the terms of the authorization for Expansive Realty, S.A.P.I. de C.V. to organize and operate as a Collective Financing Institution

The National Banking and Securities Commission modifies the Fifth and Eighth clauses of the authorization granted to Expansive Realty, S.A.P.I. de C.V., to organize and operate as a Collective Financing Institution. The Fifth clause defines the entity's social object as activities under Article 15 of the Law for the Regulation of Financial Technology Institutions, specifically operations under Articles 16 (sections I and III) and 19 (sections I, II, III, IV, V, VI, VII, IX, X, and XI). The Eighth clause stipulates that debt and royalty collective financing services, along with general organization and operations, are subject to the aforementioned Law, general rules issued by the Commission, Bank of Mexico provisions, and other applicable regulations, including those regarding illicit funds and terrorism financing.

We refer to the writing and documentation presented at this National Banking and Securities Commission ("Commission") on May 27 of this year, through the institutional email autorizacionfintech@cnbv.gob.mx, in accordance with what is provided in the "Agreement establishing administrative measures for the continuity of the activities of the National Banking and Securities Commission in the attention of matters processed before it, during the health contingency caused by COVID-19", published in the Official Gazette of the Federation ("DOF") on July 15, 2020, by virtue of which Expansive Realty, S.A.P.I. DE C.V. ("Expansive" or "Entity") submitted the protocolization of the Extraordinary General Shareholders' Meeting held on May 19, 2026, due to the modification of its social object. Therefore, in attention to your writing, based on articles 11, 16, and 19 of the Law for the Regulation of Financial Technology Institutions, the FIFTH and EIGHTH clauses of the authorization granted to Expansive to organize and operate as a collective financing institution, through letter P125/2021, dated May 27, 2021, published in the Official Gazette of the Federation on April 6, 2023, are modified, to remain in the following terms:

Its social object will correspond to the activities indicated in Article 15 of the Law for the Regulation of Financial Technology Institutions and the operations and the provision of services established in Articles 16, section I and III; and 19, sections I, II, III, IV, V, VI, VII, IX, X and XI of the aforementioned Law for the Regulation of Financial Technology Institutions will be carried out.

EIGHTH.-

The services consisting of collective debt and royalty financing, which the institution provides by virtue of this authorization, as well as the other operations carried out, as well as its organization and operation in general, will be subject, in what is not expressly stated in this letter, to the Law for the Regulation of Financial Technology Institutions, to the general rules and provisions applicable to Financial Technology Institutions issued by the National Banking and Securities Commission, to the provisions regarding its operations issued by the Bank of Mexico and to the other current norms and provisions and those that are issued in the future by any competent authority, including those related to operations with resources of illicit origin and terrorism financing, which by their nature are applicable.

This letter is issued based on the legal provisions previously invoked, as well as in exercise of the powers conferred on this Commission by articles 142 and 145, section IV of the LRITF; 16, penultimate paragraph of the Law of the National Banking and Securities Commission; 3, section V, 4, sections I, subsection B and II, subsection B, numerals 5) and 32), 14, 19, section XVI, 45, section I and 64, first paragraph, of the Internal Regulations of the National Banking and Securities Commission, published in the DOF on February 28, 2022; 1, sections III and IX; 3, section II and 9 section II of the Agreement by which the administrative units of the National Banking and Securities Commission are organizationally attached, published in the DOF on April 18 2022, last modified on May 14, 2026; 1, section XII, 11, section IX, numeral 10 and 37, section X, numeral 9, of the Agreement by which the President of the National Banking and Securities Commission delegates powers to the Vice Presidents, General Directors and Coordinators of the National Banking and Securities Commission published in the DOF on November 30, 2015; last modified on May 14, 2026.
