Listed Companies (Code of Corporate Governance) Regulations, 2019
The Securities and Exchange Commission of Pakistan issued the 2019 Code of Corporate Governance Regulations to mandate enhanced board composition and governance standards for listed companies. The regulations enforce strict limits on directorships, require separation of the chairman and chief executive officer, mandate independent and female directors, and establish qualified audit committees alongside designated financial and compliance officers. Companies must adopt a comply-or-explain framework, implement comprehensive risk and ESG policies, complete director training programs by 2022, and ensure CEO-CFO endorsed financial reporting.
