The National Banking and Securities Commission modifies the capital social terms for Banco Regional, S.A., Institución de Banca Múltiple, Banregio Grupo Financiero, reducing the subscribed and paid capital to $5,281,359,870.00 while maintaining the authorized capital at $6,892,000,000.00. This adjustment reflects a decrease in social capital of $93,029,430.00 following the formalization of statutory reforms via public deed number 52,406 dated January 29, 2026. The institution is required to report the publication dates of this modification in the Official Gazette and two widely circulated newspapers within fifteen business days of receipt.

SUBJECT: THE TERMS OF THE AUTHORIZATION FOR THE ORGANIZATION AND OPERATION OF THAT ENTITY ARE MODIFIED.

Through office order 312-3/708623/2026 dated January 28, 2026, this Commission approved Banco Regional, S.A. Institution of Multiple Banking, Banregio Financial Group (Banregio) the reform to Clause Eighth of its bylaws, due to the reduction of its social capital by the amount of $93,029,430.00, leaving it in the total sum of $5,281,359,870.00, according to the draft minutes of the extraordinary general shareholders' meeting, which accompanied the document submitted on January 27, 2026.
With a submission presented on February 12, 2026, through the email address VPSupervisionGIFB@cnbv.gob.mx and, in compliance with the requirement contained in the office order referred to in the previous paragraph, Banregio presented a certified copy of public deed number 52,406 dated January 29, 2026, granted before the notary public Licentiate Héctor Mauricio Villegas Garza, public notary number 122 of the City of Monterrey and registered in the Public Registry of Commerce of that same city on February 1, 2026, in which the statutory modification in question was formalized.
For the above reasons, based on Article 8, last paragraph of the Credit Institutions Law (LIC), this Commission deems it appropriate to modify Base Fourth of the "Resolution authorizing the constitution and operation of a multiple banking institution to be named Banco Regional de Monterrey, S.A.", contained in office order 101.-1888 issued by the Ministry of Public Credit and Finance on November 19, 1993, published in the Federal Official Gazette on November 23, 1993, last modified by office order 312-3/66537/2018 issued by this authority on October 30, 2018 and published in the aforementioned Gazette on December 3, 2018, to read as follows:
"... FOURTH.- The authorized social capital of Banco Regional, S.A., Institution of Multiple Banking, Banregio Financial Group shall be $6,892,000,000.00 (six billion eight hundred ninety-two million pesos 00/100, national currency), of which, $5,281,359,870.00 (five billion two hundred eighty-one million three hundred fifty-nine thousand eight hundred seventy pesos 00/100, national currency) are subscribed and paid. ..."
Likewise, based on Articles 8, last paragraph and 97 of the LIC and 19 of the Law of the National Banking and Securities Commission, Banregio is required to inform this authority of the date of the publications carried out in the Federal Official Gazette and in two widely circulated newspapers of its social domicile, of this modification office order, within a period of fifteen business days counted from the date of said publications, which must be processed within fifteen business days subsequent to the date of receipt of this office order.
This office order is issued based on Articles 16, penultimate paragraph of the Law of the National Banking and Securities Commission; 14, 19, fraction X, 21, fractions I, subsection c), II and III and last paragraph, 44, fractions I and IV and 64, first paragraph of the Internal Regulations of the National Banking and Securities Commission.
