Modification of Authorization Terms for Vifaru, S.A. de C.V., Casa de Bolsa

The National Banking and Securities Commission modifies the Fifth Base of the authorization for Vifaru, S.A. de C.V., Casa de Bolsa to reflect a paid-in social capital of $741,324,000.00 MXN, resulting from a fixed non-withdrawable capital increase formalized by notarial deed on May 7, 2025. The entity is required to inform the authority of the publication dates in the Official Gazette and two widely circulated newspapers within ten business days of those publications, with such publications to be processed within fifteen business days of receiving this notice.

OFFICE through which the terms of the authorization for the organization and operation of Vifaru, S.A. de C.V., Brokerage House are modified.

SUBJECT: THE TERMS OF THE AUTHORIZATION FOR THE ORGANIZATION AND OPERATION OF SAID BROKERAGE HOUSE ARE MODIFIED.

We refer to Office No.: 312-1/9404/2025 dated April 14, 2025, through which this Commission took note of the reform to article seventh of the corporate statutes of Vifaru, S.A de C.V, Brokerage House (Vifaru CB), due to the increase in the fixed portion without right of withdrawal of its social capital by the amount of $14'656,000.00, to remain at the sum of $741'324,000.00, through the capitalization of the account for future capital increases, in terms of the Unanimous Resolutions Adopted outside of Shareholders' Meetings dated May 24, July 24, August 28, and September 24, all of the aforementioned years 2024. This is based on Article 115, last paragraph of the Securities Market Law (LMV).

Regarding this matter, and in compliance with the request contained in the office mentioned in the previous paragraph, Vifaru CB presented to this Commission on May 15, 2025, via the email VPSupervisionB@cnbv.gob.mx, an electronic copy of the first notarial testimony containing public deed 106,679 dated May 7, 2025, granted before the notary public Lic. Roberto Núñez y Bandera, Notary Number One of Mexico City, and registered in the Public Registry of Commerce of this same city on May 8, 2025, under electronic commercial folio 529293, with which the statutory modification in question was formalized.

Therefore, this Commission, based on Article 114, last paragraph of the LMV, has resolved to modify the Fifth Base of the "Authorization for the organization and operation of a Brokerage House Subsidiary to be named Itaú BBA México Casa de Bolsa, S.A. de C.V.", currently Vifaru CB, contained in Office No. P124/2014, issued by this authority on November 10, 2014, published in the Official Gazette of the Federation on December 3 of the same year, last modified by this Commission through Office No.: 312-1/42414/2024 dated July 8, 2024, published in the cited Journal on July 31, 2024, to read as follows:

"... FIFTH.- The amount of its paid-in social capital shall be $741,324,000.00 (seven hundred forty-one million three hundred twenty-four thousand pesos 00/100 M.N.). ..."

Likewise, based on Articles 114, last paragraph, 350, and 360 of the LMV and 19 of the Law of the National Banking and Securities Commission, this Commission requires Vifaru CB to inform this authority of the date of the publications of this present office carried out in the Official Gazette of the Federation and two newspapers of wide circulation at its social address, within a period of ten business days counted from the date of said publications, which must be processed within the fifteen subsequent business days from the date of receipt of this office.

This office is issued based on Articles 16, antepenultimate paragraph of the Law of the National Banking and Securities Commission; 14, 19, fraction X, 26, fractions I, subsection g), II, III, and last paragraph, 44, fractions I and IV, and 64, first paragraph of the Internal Regulations of the National Banking and Securities Commission.
