The National Retirement Savings System Commission modifies the investment regime for Specialized Investment Companies (SIEFORES), specifically introducing a definition for Foreign Debt Securities and updating credit rating requirements for linked structures. It prohibits Basic Pension Investment Companies from directly acquiring FIBRAs or equities, allowing FIBRA exposure only through vehicles, and restricts basic companies from investing in commodities-linked structures. The amendments also repeal the mandatory loss compensation formula for investment companies and establish phased effective dates, with most provisions entering into force the day after publication and specific rules applying from August 1, 2025.

MODIFICATIONS to the general provisions establishing the investment regime to which specialized investment companies of retirement savings funds must be subject

MODIFICATIONS TO THE GENERAL PROVISIONS ESTABLISHING THE INVESTMENT REGIME TO WHICH SPECIALIZED INVESTMENT COMPANIES OF RETIREMENT SAVINGS FUNDS MUST BE SUBJECT.
The Board of Directors of the National Commission for the Retirement Savings System, pursuant to articles 5, fraction II, 8, fraction IV, 43 and 47 of the Retirement Savings Systems Law, has seen fit to issue the following:
MODIFICATIONS TO THE GENERAL PROVISIONS ESTABLISHING THE INVESTMENT REGIME TO WHICH SPECIALIZED INVESTMENT COMPANIES OF RETIREMENT SAVINGS FUNDS MUST BE SUBJECT
CONSIDERATIONS
That with the objective of supporting financing for Mexican companies, it is specified that in the General Provisions on financial matters of retirement savings systems and in the criteria of the Risk Analysis Committee, guidelines applicable to Vehicles whose underlying assets are composed of Simplified Issuances or Mexican companies will be established, with the aim of fostering their access to the capital market under a framework of prudential risk management;
That to facilitate the adequate investment of Workers' resources during the accumulation and decumulation phases, adjustments are made to the limits of Investment Assets denominated in Foreign Currencies, with the objective of maximizing the replacement rate for Workers;
That in order to provide greater regulatory clarity and strengthen the applicable regulatory framework, the definitions applicable to Foreign Debt Securities and the obligations regarding the monitoring of investments in Structured Instruments are specified, as well as, for Basic Pension SIEFORES, participation in FIBRAs through Vehicles is allowed; it has been decided to issue the:
MODIFICATIONS TO THE GENERAL PROVISIONS ESTABLISHING THE INVESTMENT REGIME TO WHICH SPECIALIZED INVESTMENT COMPANIES OF RETIREMENT SAVINGS FUNDS MUST BE SUBJECT
SINGLE. MODIFICATIONS are made to: the Second Provision, fraction LXXVII, Fourth, Twentieth, Twenty-Fourth, fractions II and IV, and Annex S, and DEROGATION is made of: the second paragraph of the Eleventh Provision, of the "General Provisions establishing the investment regime to which specialized investment companies of retirement savings funds must be subject", published in the Official Gazette of the Federation on May 31, 2019, with its modifications and additions published in the same instrument on May 06, 2021, June 21, 2022, August 11, 2023, May 22, 2024, October 25, 2024 and August 01, 2025, to read as follows:
" SECOND. - For the purposes of these provisions, the following shall be understood:
I. to LXXVI. ...
LXXVII.
Foreign Debt Securities, as Investment Assets, whose nature corresponds to securities, titles or documents representing a debt owed by a third party, acquired directly or through Vehicles, as well as to Marketable Instruments, issued by Foreign Issuers, or whose titles represent rights of credit, collections or cash flows, that are issued directly, or through Vehicles whose underlying assets are said rights of credit, collections or cash flows, that come from a percentage greater than 20% from sources external to the national territory. Foreign Debt Securities shall not include Debt Instruments that expressly have the guarantee of the Federal Government of the United Mexican States and that are aligned with the objectives established in article 43 of the Law;

National Issuers and National Counterparties of the components of Structures Linked to Underlyings referred to in the Second Provision, fraction XXXIV, subsection b), must reach the minimum ratings established in Annexes A, B, C or D of these provisions. " ELEVENTH PROVISION.- When Investment Companies fail to comply with the investment regime authorized for reasons attributable to them or, in their case, to the Mandatories they have contracted, or due to inflows or outflows of resources, in accordance with the General Provisions on financial matters of the Retirement Savings Systems, and as a consequence thereof a write-down or loss is caused in the Total Asset of the Investment Company, in the Asset Managed by the Investment Company or in the Asset Managed by the Mandatory that it has contracted, as well as in any Investment Asset, the Administrator operating the Investment Company in question must compensate for the write-down in accordance with the formula provided in Annex O of these provisions or in accordance with the formula provided in Annex W of the General Provisions on financial matters of the Retirement Savings Systems, as applicable.

" TWENTIETH.- Basic Investment Companies referred to in the Eleventh Third Provision, fractions I to III, of these provisions, may acquire Structures Linked to Underlyings in accordance with the operational guidelines issued by the Commission. Basic Pension Investment Companies shall not invest in these assets when they are linked to Commodities. "

Basic Pension Investment Companies shall not acquire shares of National or Foreign Issuers referred to in this fraction. Likewise, they shall not acquire FIBRAs directly, they may only acquire FIBRAs through Vehicles. Basic Pension Investment Companies may only maintain in position the investment in individual shares of National Issuers, Foreign Issuers and direct FIBRAs that they have obtained through the transfer of resources from another Basic Investment Company, in accordance with what is provided in subsection b) of the second paragraph of the previous Thirteenth Provision.

IV. Investment in Debt Instruments, Foreign Debt Securities, Marketable Instruments, Structures Linked to Underlyings, and FIBRAs, as applicable, belonging to the same issuance, may be up to 35% of the total value of the respective issuance, together with what is invested by the other Investment Companies operated by the Administrator. Administrators must request that Mandatories, with the frequency determined by the Commission, send them the report of the investments in the assets referred to in this paragraph that they have carried out during the immediate previous period; in the event that the sum of the investments made by the Mandatories and those made by all Investment Companies operated by the same Administrator exceeds the limit provided in this fraction; the Investment Company must comply with what is provided in the general provisions on financial matters of the Retirement Savings Systems regarding the portfolio reconstruction of Investment Companies, issued by the Commission.
Investments made in Vehicles must observe what is provided in the previous paragraph. Likewise, for those Vehicles whose underlying assets are Simplified Issuances or Mexican companies, what is established in the General Provisions on financial matters of the Retirement Savings Systems and in the criteria approved by the Risk Analysis Committee shall be considered, attending exclusively to the interest of the Workers.

For the purposes of investment in Structured Instruments, compliance with what is provided in the General Provisions on financial matters of the Retirement Savings Systems regarding the authorization and monitoring of methodologies for measuring profitability and performance of said Instruments, due monitoring of net returns, risks and investment decisions, timely presentation of reports to the corresponding Committees and the Commission, as well as the definition of clear policies and procedures for the resolution of discrepancies between costs paid and those provided in the issuance documents of the Structured Instruments, shall be considered part of the investment regime. Non-compliance with the foregoing shall be sanctioned based on what is provided in article 100, fraction XIV of the Law.

TRANSITORY PROVISIONS
FIRST.- These general provisions shall enter into force on the next business day following their publication in the Official Gazette of the Federation, with the exception of the following:
I.
What is provided in the Twenty-Fourth Provision, fraction IV, second paragraph, regarding Vehicles whose underlying assets are Simplified Issuances or Mexican companies, shall enter into force until such time as what is applicable is established in the General Provisions on financial matters of the Retirement Savings Systems and in the criteria approved by the Risk Analysis Committee.
II.
What is provided in the Twenty-Fourth Provision, fraction IV, shall be applicable to Structured Instruments acquired from August 01, 2025. Investments in Structured Instruments acquired prior to the entry into force of these modifications and additions may be retained under the terms that were in force at the time of their acquisition in accordance with what is provided in the General Provisions establishing the investment regime to which specialized investment companies of retirement savings funds must be subject, with its modifications and additions published in the Official Gazette of the Federation on May 31, 2019, May 06, 2021, June 21, 2022, August 11, 2023, May 22, 2024, and October 25, 2024.
SECOND.- Likewise, with the entry into force of these provisions, any provision issued by the Commission that is contrary to this regulation is repealed.
