Agreement of the Board of
Government of this Commission is communicated.
The Federal Government, through the National Commission of Insurance and Sureties, prior to the Agreement of its Board
of Government, based on articles 2, fraction I, 17, 26 and 31, fraction VIII, of the Organic Law of the
Federal Public Administration; 4, section G, fraction III, 48 and 49 of the Internal Regulations of the Ministry of
Treasury and Public Credit; 11, 366, fraction VIII, 367, fractions I and II, 369, fraction II, 370, last paragraph,
372, fraction XLI, and 373 of the Law of Insurance and Sureties Institutions (LISF) ; as well as articles
2, 4, fractions I and II, 6 and 9 of the Internal Regulations of the National Commission of Insurance and Sureties, issues the
present Resolutions in response to the following Background and Considerations:
BACKGROUND
FIRST.- Aseguradora Patrimonial Daños, S.A., was authorized by the Ministry of Treasury and
Public Credit to organize and function as an insurance institution through office 101.-01005 of August 24
2004, published in the Official Gazette of the Federation on December 17, 2004, in the practice of
damage operations, in the lines of civil liability and professional risks, fire,
automobiles, miscellaneous, as well as earthquake and other catastrophic risks.
SECOND.- By writings presented in the registry office of this Commission on June 19, September 19,
October 11 and 18, 2023, Aseguradora Patrimonial Daños, S.A., requested approval from
this Commission to modify clause sixth of its bylaws due to the increase in its fixed social capital
in the amount of $20,000,000.00 (Twenty million pesos 00/100 M.N.), so that it rises to
$80,000,000.00 (Eighty million pesos 00/100 M.N.), as well as to update the references to the
Ministry of Treasury and Public Credit by this decentralized body, in accordance with the agreement
established in its project of unanimous resolutions adopted outside the extraordinary general meeting of
shareholders, sent as an annex to its request writing.
THIRD.- By office 06-C00-41100-23288/2023 of November 14, 2023, this Commission approved the
modification to clause sixth of the bylaws of Aseguradora Patrimonial Daños, S.A., and
instructed the institution to send the first copy of the public instrument in which the
protocolization of the unanimous resolutions adopted on November 22, 2023, was recorded.
FOURTH.- Through a writing received by this Commission on January 22, 2024, Aseguradora
Patrimonial Daños, S.A., sent, among others, the first copy of public deed number 110,911 of
December 20, 2023, granted before the notary of Licenciado Roberto Garzón Jiménez, holder of Public Notary
number 242 of Mexico City, in which the protocolization of the unanimous resolutions
adopted outside the general meeting of shareholders of November 22, 2023, is recorded, through which it was
agreed to carry out the modification to clause sixth of the bylaws of the institution.
FIFTH.- By office 06-C00-41100-01496/2024 of February 16, 2024, this decentralized body
considered fulfilled what was instructed in resolution fourth of the indicated office
06-C00-41100- 23288/2023 of November 14, 2023, having presented the first original copy of the
cited public instrument and ordering its registration in the Public Registry of Commerce.
SIXTH.- By writing presented to this Commission on April 18, 2024, Aseguradora
Patrimonial Daños, S.A., sent the first copy of the aforementioned public deed number 110,911 of December 20,
2023, granted before the notary of Licenciado Roberto Garzón Jiménez, holder of the Public Notary
number 242 of Mexico City, as well as a copy, by notarial comparison, with registration data in the
Public Registry of Commerce, having fulfilled what was instructed in the aforementioned office
06-C00-41100-01496/ 2024, through office 06-C00-41100-11494/2024 of May 3, 2024.
SEVENTH.- Through office 06-C00-41100-23086/2024 of July 2, 2024, the insurance institution
was required to present a certified copy of its current bylaws, with the insertion of the
last modification to clause sixth of said bylaws, as well as an express request for this
Commission to be in a position to modify the authorization granted to organize, operate and
function as an insurance institution.
EIGHTH.- By writings presented to this Commission on July 31 and September 12, 2024,
Aseguradora Patrimonial Daños, S.A., in response to office 06-C00-41100-23086/2024 requested the
approval of this Commission for the integral modification of its bylaws, in accordance with
the project of minutes of unanimous resolutions of shareholders sent attached with its writing; likewise,
it requested that the authorization granted to said institution be modified through office 101.-01005 of August 24
NINTH.- By office 06-C00-41100-32522/2024 of September 27, 2024, this Commission approved the
integral modification of the bylaws of Aseguradora Patrimonial Daños, S.A., and instructed the
institution to send the first copy of the public instrument in which the protocolization of
the unanimous resolutions adopted outside the extraordinary general meeting of shareholders was recorded,
in which the integral reform of the bylaws of the institution was approved.
TENTH.- Through a writing received by this Commission on December 10, 2024, Aseguradora
Patrimonial Daños, S.A., sent the first copy of public deed number 113,929 of November 13,
2024, granted before the notary of Licenciado Roberto Garzón Jiménez, holder of Public Notary
number 242 of Mexico City, in which the protocolization of the unanimous resolutions
adopted outside the extraordinary general meeting of shareholders is recorded,
in which the integral reform of the bylaws of the institution was approved; through office 06-C00-41100-00440/2025 of January 16,
2025, this decentralized body considered fulfilled what was instructed in resolution fourth of office
06- C00-41100-32522/2024 of September 27, 2024, having presented the first original copy
of the public instrument in which the protocolization of the aforementioned minutes of resolutions is recorded and ordered its
registration in the Public Registry of Commerce.
ELEVENTH.- The Board of Directors of this Commission, in its Session 244, held on February 27,
2025, taking into consideration the favorable opinion issued by the Authorizations Committee,
agreed as follows:
SOLE. - THE AUTHORIZATION under which Aseguradora Patrimonial
Daños, S.A. operates, is modified, in order to reflect the reform carried out to its bylaws according
to the following:

Replace references to the "General Law of Insurance and Mutual Insurance Companies" with the "Law of Insurance and Sureties Institutions", and
those of the Ministry of Treasury and Public Credit with those of this Commission, in
accordance with the Decree by which the Law of Insurance and Sureties Institutions is issued
and various provisions of the Law on the Insurance Contract are reformed and added, published in the Official Gazette of the Federation on April 4 of

The elimination of the reference to "earthquake", in that in the line of
catastrophic risks, earthquake risks are included; the foregoing based on
articles 25, fraction III, subsection j), and 27, fraction XV, of the LISF.

Specify that the insurance institution must have the minimum paid capital
equivalent in national currency to the value of the Investment Units that
determine the National Commission of Insurance and Sureties, with the agreement of its Board of
Directors, through general provisions, as established in
article 49, first paragraph, of the Law of Insurance and Sureties Institutions.

The substitution of the words "Federal District" of its social domicile by "Mexico
City", in accordance with the "Decree by which various provisions of the Political Constitution of the United Mexican States are declared reformed
and repealed, in matters of the political reform of Mexico City", published in the Official Gazette of the Federation on January 29, 2016.
CONSIDERATIONS
FIRST.- That article 369, fraction II, of the Law of Insurance and Sureties Institutions provides that
it is the competence of the Board of Directors of this Commission to modify the authorizations to organize,
operate and function as an insurance institution.
SECOND.- That as a result of what was resolved in offices 06-C00-41100-23288/2023 of November 14,
2023 and 06-C00-41100-32522/2024 of September 27, 2024, described in Backgrounds Third
and Ninth, it is appropriate to modify the terms of the authorization granted to that insurance institution.
THIRD.- That as indicated in Background Eleventh, the Board of Directors of this
Commission in its Session 244, held on February 27, 2025, agreed to modify the authorization granted to
Aseguradora Patrimonial Daños, S.A.
In view of the foregoing, the following are issued:
RESOLUTIONS
FIRST.- The preamble, as well as articles one, two and three, bases II and III, of the
authorization granted to Aseguradora Patrimonial Daños, S.A., to organize, operate and function as
an insurance institution, are modified, to read as follows:
"AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT, THROUGH THE
NATIONAL COMMISSION OF INSURANCE AND SURETIES, TO ASEGURADORA PATRIMONIAL
DAÑOS, S.A., TO ORGANIZE, OPERATE AND FUNCTION AS AN INSURANCE
INSTITUTION, UNDER THE FOLLOWING TERMS:
ARTICLE FIRST.- In exercise of the power conferred on the Federal Government by
article 5° of the repealed General Law of Insurance and Mutual Insurance Companies
to the Ministry of Treasury and Public Credit, and which, as of April 4,
2015, is conferred by article 11 of the Law of Insurance and Sureties Institutions to the
National Commission of Insurance and Sureties, Aseguradora Patrimonial Daños,
S.A., is authorized to organize, operate and function as an insurance institution.
ARTICLE SECOND.- The insurance institution is authorized to practice in the
Mexican Republic the damage operation, in the lines of civil liability and
professional risks, fire, automobiles, miscellaneous, as well as catastrophic risks.
ARTICLE THIRD.- The insurance institution shall be subject to the provisions of the
Law of Insurance and Sureties Institutions, as well as those derived from it, to
the General Law of Commercial Companies, to the other laws applicable to it and,
in particular, to the following bases:
I.- ...
II.- The insurance institution must have the minimum paid capital equivalent in
national currency to the value of the Investment Units that the Commission
National of Insurance and Sureties determines, with the agreement of its Board of Directors, through
general provisions, as established in article 49, first paragraph,
of the Law of Insurance and Sureties Institutions.
III.- The social domicile of the insurance institution shall be Mexico City.
ARTICLE FOURTH. - ... "
SECOND. - The authorization granted to
Aseguradora Patrimonial Daños, S.A., to organize,
operate and function as an insurance institution, after the modification indicated in the previous operative clause,
remains in its entirety in the following terms:
"AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT, THROUGH THE
NATIONAL COMMISSION OF INSURANCE AND SURETIES, TO ASEGURADORA PATRIMONIAL
DAÑOS, S.A., TO ORGANIZE, OPERATE AND FUNCTION AS AN INSURANCE
INSTITUTION, UNDER THE FOLLOWING TERMS:
ARTICLE FIRST.- In exercise of the power conferred on the Federal Government by
article 5° of the repealed General Law of Insurance and Mutual Insurance Companies
to the Ministry of Treasury and Public Credit, and which, as of April 4,
2015, is conferred by article 11 of the Law of Insurance and Sureties Institutions to the
National Commission of Insurance and Sureties, Aseguradora Patrimonial Daños,
S.A., is authorized to organize, operate and function as an insurance institution.
ARTICLE SECOND.- The insurance institution is authorized to practice in the
Mexican Republic the damage operation, in the lines of civil liability and
professional risks, fire, automobiles, miscellaneous, as well as catastrophic risks.
ARTICLE THIRD.- The insurance institution to which this resolution refers
shall be subject to the provisions of the Law of Insurance and Sureties Institutions, as well
as those derived from it, to the General Law of Commercial Companies, to the
other laws applicable to it and, in particular, to the following bases:
I.- The denomination shall be Aseguradora Patrimonial Daños, Sociedad Anónima.
II.- The insurance institution must have the minimum paid capital equivalent in
national currency to the value of the Investment Units that the Commission
National of Insurance and Sureties determines, with the agreement of its Board of Directors, through
general provisions, as established in article 49, first paragraph,
of the Law of Insurance and Sureties Institutions.
III.- The social domicile of the insurance institution shall be Mexico City.
ARTICLE FOURTH. - By its very nature this authorization is non-transferable. "
THIRD.- This office must be published in the Official Gazette of the Federation and in two newspapers of
wide circulation from the social domicile of Aseguradora Patrimonial Daños, S.A., within one hundred twenty
calendar days following the date of its notification, in terms of what is established in article 11 of the Law
of Insurance and Sureties Institutions, at the expense of the interested parties.
This is issued based on the information provided by the petitioner contained in the
writings sent and are limited exclusively to the modification of the authorization granted to Aseguradora
Patrimonial Daños, S.A., in the terms described which, in accordance with the applicable provisions,
fall within the competence of this Commission to resolve, and do not prejudge any act that said company carries out and that
implies prior authorization or approval from other financial, administrative, tax or
of any other nature authorities, in terms of current regulations, nor do they validate the legality or validity of the
same in case said authorizations or approvals are not obtained.
