Office Letter Revoking the Authorization for Organization and Operation as a Multiple Banking Institution Subsidiary of American Express Bank (Mexico), S.A. Multiple Banking Institution

The authorization for American Express Bank (Mexico), S.A., Multiple Banking Institution, to organize and operate as a multiple banking institution subsidiary was revoked by the Board of Governors of the National Banking and Securities Commission, reversing the grant originally issued by the Ministry of Finance and Public Credit on January 3, 1996. This resolution follows a request submitted by the institution and considers favorable opinions from the Institute for Protection of Bank Savings and the Bank of Mexico. The institution is required to provide a copy of the public instrument formalizing the revocation, with inscription data in the Public Registry of Commerce, within 45 business days counted from the day following the inscription date.

With documents submitted to this Commission on the days 4 of October of 2022, 17 of March and 30 of May of

2023, through the email VPSupervisionGIFA@cnbv.gob.mx, American Express Bank ( Mexico ) ,

S.A., Multiple Banking Institution ( Amex Bank ), requested the revocation of its authorization to organize

and operate as a multiple banking institution subsidiary. The foregoing, in accordance with the provisions of articles

28, section II, 221, 222, 223 and 224 of the Credit Institutions Law.

As a background it should be noted that the Ministry of Finance and Public Credit through Office Letter Number

101.-3040 dated 3 of January of 1996, published in the Official Gazette of the Federation on 19 of January of

1996, issued the Resolution with which the constitution and operation of Amex Bank was authorized.

On the matter, the Board of Governors of this Commission, in extraordinary session held on 7 of July

of 2023, based on article 28, section II of the Credit Institutions Law, and taking

into consideration the favorable opinions of the Institute for Protection of Bank Savings through Office Letter

IPAB/SAPAB/DGSIA/218/2022 - IPAB/SAJ/DGJPA/1048/2022 dated 28 of November of 2022 and of the Bank

of Mexico through the Office Letter identified as OFI002-649 dated 13 of December of 2022; and

CONSIDERING

FIRST.

  • That as a result of the analysis carried out on the request to carry out the revocation of the

authorization for the organization and operation of Amex Bank as a multiple banking institution, it

was determined that it is duly integrated and formally complies with the legal requirements and

documentary requirements provided in the applicable regulations; and

SECOND.

  • That from the legal, operational, economic, financial and administrative point of view, it

is appropriate to resolve favorably the revocation of the authorization in question, in the terms of

the proposal presented, so it adopted, the following:

AGREEMENT

" Ninth.- The members of the Board of Governors of the National Banking and Securities Commission,

based on article 12, sections V and XV of the Law of the National Banking and Securities Commission, in relation with article 28 of the Credit Institutions Law, approve the revocation

of the authorization of American Express Bank Mexico, S.A., Multiple Banking Institution, to

organize and operate as a multiple banking institution subsidiary, granted by the Ministry of Finance

and Public Credit, through office letter number 101.-3040 dated 3 of January of 1996. "

The agreement that is communicated with the present office letter is issued based on the documentation and information

that was exhibited to this Commission and do not imply any pronouncement, regarding any other acts

that are not expressly provided for in it, so it does not validate or prejudge about the

legality or validity of these.

Finally, based on articles 97 of the Credit Institutions Law and 19 of the Law of the

National Banking and Securities Commission, it requires Amex Bank to provide to this Commission,

copy of the public instrument in which the revocation of the authorization in question is formalized, with the

inscription data in the Public Registry of Commerce, within a period of forty-five business days counted

from the day following the date of inscription of the referred deed. The foregoing, in the understanding that

the inscription must be processed within fifteen business days after the date on which the

protocolization of the referred revocation is formalized.

The present office letter is issued based on article 16, sections I and VI of the Law of the National Banking and Securities Commission; 13, 14 and 15 of the Internal Regulations of the National Banking and Securities Commission.
