Based on Article 9, penultimate paragraph of the Popular Savings and Credit Law (hereinafter "LACP") and due to the integral reform of the corporate statutes of Apoyo Múltiple, S.A. de C.V., S.F.P. (currently Fondea Technologies, S.A. de C.V., S.F.P.), approved by this National Banking and Securities Commission (hereinafter "Commission"), via Office Memorandum No. 311-96135/2023 dated August 2, 2023, hereby the bases of the authorization granted to that popular financial company to organize and function are modified via Office Memorandum No. 310-87138/2009 and 120-85317/2023 dated November 25, 2009, to remain in the following terms:
FIRST.- The name of the company is Fondea Technologies, which shall be used followed by the words Variable Capital Stock Corporation, Popular Financial Company or its abbreviation S.A. de C.V., S.F.P.
SECOND.- Its duration shall be indefinite.
THIRD.- Its corporate purpose shall comprise the realization of all operations indicated in Article 36, Section I of the Popular Savings and Credit Law.
FOURTH.- Its corporate domicile shall be located in Mexico City.
FIFTH.- The company shall have an Operation Level I.
SIXTH.- The authorization referred to in this office memorandum is, by its own nature, non-transferable.
SEVENTH.- The company shall be subject to the supervision of the National Banking and Securities Commission, as well as to the auxiliary supervision of a Federation authorized to exercise in an auxiliary manner the supervision of the popular financial company.
EIGHTH.- The operations that the company carries out by virtue of this authorization, as well as the other operations it carries out, as well as its organization and functioning in general, shall be subject, in what is not expressly indicated in this office memorandum, to the Political Constitution of the United Mexican States, to the international treaties or agreements to which the Mexican State is a party, to the Popular Savings and Credit Law, to the General Law of Commercial Companies, to the Rules and Provisions of a general nature applicable to Popular Financial Companies issued by the Ministry of Finance and Public Credit and the National Banking and Securities Commission, to the provisions regarding its operations issued by the Bank of Mexico and to the other norms and provisions in force and that are issued in the future by any competent authority, including those relative to operations with resources of illicit origin and terrorism financing, which by their nature are applicable to it.
This office memorandum is issued based on the invoked legal provisions, as well as in the exercise of the faculties conferred to this Commission by Articles 147, 155 and 158, Section IV of the LACP; 45, Section I, and 64, first and third paragraphs of the Internal Regulations of the National Banking and Securities Commission, published in the Official Gazette of the Federation on February 28, 2022.
