In accordance with Articles 1 and 2 of the Law of the National Banking and Securities Commission (hereinafter "LCNBV"), this National Banking and Securities Commission (hereinafter "Commission") is a decentralized body of the Ministry of Finance and Public Credit, whose purpose is to supervise and regulate, within its jurisdiction, the entities comprising the Mexican financial system, in order to ensure their stability and proper functioning, as well as to maintain and foster the healthy and balanced development of said system as a whole, in protection of the public's interests. Pursuant to Article 4, fractions XI and XXXVIII of said Law, the Commission is authorized to approve the establishment and operation of those entities specified by the laws, as well as to exercise the other powers attributed to it by the LCNBV.

In this regard, Article 16 of the Law to Regulate the Activities of Savings and Loan Cooperative Societies (hereinafter "LRASCAP") provides that Savings and Loan Cooperative Societies with a basic operations level that, subsequent to their establishment or registration, have exceeded the asset limit equivalent in national currency to 2,500,000 Units of Investment (hereinafter "UDIs") and that within the 150 days following the verification of such situation have submitted to the Auxiliary Supervision Committee of the Auxiliary Supervision Fund of Savings and Loan Cooperative Societies and Their Savings Protection (hereinafter "Auxiliary Supervision Committee") the request for authorization to operate with an operations level other than basic may continue to carry out the operations referred to in Article 14 of the LRASCAP until such time as the Commission resolves said request, provided that it has been accompanied by the favorable opinion issued by the Auxiliary Supervision Committee in accordance with the LRASCAP.

Considering the above, with a written submission presented on May 26, 2022, Sakatekapan, S.C. de A.P. de R.L. de C.V. (hereinafter "Sakatekapan") submitted to the Auxiliary Supervision Committee a request for authorization for said society to continue conducting savings and loan operations with an operations level other than basic, in accordance with the provisions of Articles 10 and 16, in relation to Article 11, all of the LRASCAP.

Likewise, in accordance with the provisions of Article 10 of the LRASCAP, Savings and Loan Cooperative Societies that have registered a total asset amount equal to or greater than the equivalent in national currency to 2,500,000 UDIs will require authorization to conduct or continue conducting savings and loan operations, which falls under the competence of the Commission, prior to the favorable opinion issued by the Auxiliary Supervision Committee, accompanied by the information and documentation referred to in Article 11 of the LRASCAP.

Through a written submission presented on November 14, 2022, the Auxiliary Supervision Committee, through its President, L.A.E. Jorge Sánchez Ramírez, forwarded to this Commission Sakatekapan's request for authorization to continue conducting savings and loan operations with an operations level other than basic, in accordance with the provisions of Articles 10 and 16, in relation to Article 11, all of the LRASCAP.

Through Official Letters 311-94994/2023, 311-95659/2023, and 311-96092/2023, dated January 26, May 17, and August 1, 2023, respectively, with the objective of being able to proceed with the study and processing of the authorization request for Sakatekapan to continue conducting savings and loan operations with a level other than basic, this Commission requested the Auxiliary Supervision Committee to address various observations and present the documentation and information related in said official letters.

In relation to the above, the Auxiliary Supervision Committee forwarded documentation and information on March 28, June 15, and September 12, 2023, in order to respond to the aforementioned official letters.

Having stated the above, we inform you that the Board of Directors of this Commission, in an ordinary session held on December 10, 2024, based on Article 12, fraction V of the LCNBV, and

CONSIDERING

FIRST. That on November 11, 2022, the Auxiliary Supervision Committee issued the favorable opinion referred to in Articles 10 and 16 of the LRASCAP.

SECOND. That the documentation and information presented in connection with the authorization request for Sakatekapan to continue conducting savings and loan operations meets the requirements established in Articles 10 and 11 of the LRASCAP and Article 2 of the General Provisions applicable to the activities of savings and loan cooperative societies, and

THIRD. That from the analysis of the received documentation and information, it was concluded that, from a legal, financial, administrative, and operational standpoint, it is appropriate to grant the requested authorization, so that, in accordance with the certification of the Secretary of the Board of Directors of the Commission, which is transcribed in the relevant part, the following was adopted:

AGREEMENT

"FIFTH.- The members of the Board of Directors of the National Banking and Securities Commission, based on Article 12, fraction XIV of the Law of the National Banking and Securities Commission, unanimously agreed to authorize Sakatekapan, S.C. de A.P. de R.L. de C.V., to conduct savings and loan operations at Level I, under its same denomination, since it exceeded the asset limit to operate as a savings and loan cooperative society at the basic level, in terms of the Law to Regulate the Activities of Savings and Loan Cooperative Societies."

The entity to which this authorization is granted to continue conducting savings and loan operations will be subject to the following:

BASES

FIRST. The society's name shall be Sakatekapan, Savings and Loan Cooperative Society of Limited Liability with Variable Capital or its acronym S.C. de A.P. de R.L. de C.V.

SECOND. Its social domicile will be located in Zacatecas, Zacatecas.

THIRD. Its corporate purpose will include carrying out all operations indicated in Article 19, fraction I of the Law to Regulate the Activities of Savings and Loan Cooperative Societies.

FOURTH. Its duration shall be indefinite.

FIFTH. Sakatekapan, S.C. de A.P. de R.L. de C.V. will have a Level I operations status.

SIXTH. The authorization referred to in this official letter is, by its nature, non-transferable.

SEVENTH. Sakatekapan, S.C. de A.P. de R.L. de C.V. will be subject to the supervision of the National Banking and Securities Commission, as well as to the auxiliary supervision of the Auxiliary Supervision Committee of the Auxiliary Supervision Fund of Savings and Loan Cooperative Societies and Their Savings Protection.

EIGHTH. The savings and loan operations that Sakatekapan, S.C. de A.P. de R.L. de C.V. enters into by virtue of this authorization, as well as the other operations it carries out, as well as its organization and general functioning, will be subject, in matters not expressly stated in this official letter, to the Political Constitution of the United Mexican States, to the General Law of Cooperative Societies, to the Law to Regulate the Activities of Savings and Loan Cooperative Societies, to the rules and general provisions applicable to savings and loan cooperative societies issued by the National Banking and Securities Commission, and to other current and future norms and provisions issued by any competent authority, including those related to the prevention of operations with resources of illicit origin and financing of terrorism that are applicable by their nature.

The foregoing is communicated based on Articles 120, fraction IV, 129, and 132, fraction IV of the LRASCAP; Articles 1, 2, 3, fraction IV, subsection b), 4, fractions I and XXXVIII, 10, and 16, fractions I and VI of the LCNBV; as well as Articles 1, 3, 9, 14, and 15 of the Internal Regulations of the National Banking and Securities Commission, published in the Official Gazette of the Federation on February 28, 2022.
