Official Letter Authorizing the Organization and Operation of Préstamo Empresarial Oportuno, S.A. de C.V., S.F.P.

The National Banking and Securities Commission authorizes the organization and operation of Préstamo Empresarial Oportuno, S.A. de C.V., S.F.P., as a popular financial society with an operations level of I. By a document submitted on December 19, 2018, FINE Servicio, S.C., through its legal representative, C.P. César Gustavo Loeza Serret, submitted to this National Banking and Securities Commission the authorization request formulated by the legal entity named Préstamo Empresarial Oportuno, S.A.P.I. de C.V., SOFOM, E.N.R. to organize and operate as a popular financial society, by changing its legal regime from a variable capital investment promotion company, a multiple-object financial company, unregulated entity, to a popular financial society, in terms of Article 11, in relation with Articles 9 and 10 of the Savings and Popular Credit Law.

With documents submitted before this Commission on January 21, April 22, September 6, and December 19, all of 2019, and February 27 and October 22, both of 2020, FINE Servicios, S.C., in extension of the request referred to in the previous paragraph, provided various information and complementary documentation, and

CONSIDERING

FIRST. - That on December 18, 2018, FINE Servicios, S.C. issued the favorable opinion referred to in Article 9, first paragraph of the Savings and Popular Credit Law regarding the authorization request in question;

SECOND. - That the information and documentation presented regarding the authorization request for the organization and operation of the popular financial society to be named Préstamo Empresarial Oportuno, S.A. de C.V., Popular Financial Society, complies with the requirements provided for in Articles 11, in relation with Articles 9 and 10 of the Savings and Popular Credit Law, as well as Articles 2 and 2 Bis of the "General Provisions Applicable to Savings and Credit Institutions, Integration Bodies, Community Financial Societies, and Rural Financial Integration Bodies, referred to in the Savings and Popular Credit Law"; and

THIRD. - That from the analysis of the received documentation and information, it was concluded that from a legal, financial, and operational standpoint, it is appropriate to grant the requested authorization, so the Board of Directors of the National Banking and Securities Commission, in its Twelfth Ordinary Session held on November 13, 2020, based on Article 11, in relation with Article 9 of the Savings and Popular Credit Law, adopted the following:

AGREEMENT

"THIRD. - The members of the Board of Directors, based on Article 12, fraction V of the Law of the National Banking and Securities Commission, in relation with Article 9 of the Savings and Popular Credit Law, unanimously authorized the organization and operation of a popular financial society to be named Préstamo Empresarial Oportuno, S.A. de C.V., S.F.P., with an operations level of I.".

The society to which this authorization is granted to organize and operate as a popular financial society will be subject to the following:

BASES

FIRST. -

The name of the society is Préstamo Empresarial Oportuno, which will be used followed by the words Variable Capital Anonymous Company, Popular Financial Society or its abbreviation S.A. de C.V., S.F.P.

SECOND. -

Its duration will be indefinite.

THIRD. -

Its corporate purpose will include carrying out all operations indicated in Article 36, fraction I of the Savings and Popular Credit Law.

FOURTH. -

Its corporate domicile will be located in the State of Guanajuato.

FIFTH. -

The society will have an operations level of I.

SIXTH.

The authorization referred to in this official letter is, by its very nature, intransmissible.

SEVENTH. -

The society will be subject to the supervision of the National Banking and Securities Commission, as well as to auxiliary supervision by a Federation authorized to exercise auxiliary supervision of the popular financial society.

EIGHTH.-

The operations that the society enters into by virtue of this authorization, as well as other operations it carries out, as well as its organization and operation in general, will be subject, in what is not expressly stated in this official letter, to the Political Constitution of the United Mexican States, to the treaties or international agreements of which the Mexican State is a party, to the Savings and Popular Credit Law, to the General Law of Commercial Societies, to the rules and general provisions applicable to popular financial societies issued by the Ministry of Finance and Public Credit and the National Banking and Securities Commission, to the provisions regarding its operations issued by the Bank of Mexico, and to the other current and future norms and provisions issued by any competent authority, including those related to operations with resources of illicit origin and terrorism financing, which by their nature are applicable to it.

Furthermore, and complementarily to the agreement adopted by the Board of Directors in the terms stated above, this Commission, based on the provisions of Article 19 of the Law of the National Banking and Securities Commission and Article 122 Bis of the Savings and Popular Credit Law, requires that society:

First:

Submit within ninety business days counted from the business day following the date of notification of this official letter, the first copy of the public instrument containing its bylaws in terms of what is provided in Article 10, penultimate paragraph of the Savings and Popular Credit Law, in order to obtain the corresponding approval.

For this effect, the draft of the bylaws of Préstamo Empresarial Oportuno, S.A. de C.V., S.F.P., which accompanied its authorization request, is attached, in terms of what is provided in Article 10, fraction I of the Savings and Popular Credit Law.

Second:

Submit its request to commence operations in terms provided in Article 32 Bis of the Savings and Popular Credit Law, within the term of one hundred eighty business days counted from the business day following the date on which this authorization was notified.

This official letter must be published, at the expense of the interested parties, in the Official Gazette of the Federation, in accordance with what is provided in Article 9, penultimate paragraph of the Savings and Popular Credit Law.

The foregoing is communicated based on Articles 147, 149, and 158 of the Savings and Popular Credit Law; Articles 16, fractions I and VI of the Law of the National Banking and Securities Commission; and Articles 9, 12, and 13 of the Internal Regulations of the National Banking and Securities Commission, published in the Official Gazette of the Federation on November 12, 2014.
