OFFICIAL LETTER communicating the Agreement of the Board of Directors of the National Commission of Insurance and Sureties, which modifies the authorization granted to Auna Seguros, S.A. (formerly Dentegra Seguros Dentales, S.A.)

SUBJECT:

Agreement of the Board of Directors of this Commission is communicated.

The Federal Government, through the National Commission of Insurance and Sureties, prior to the Agreement of its Board of Directors, based on articles 2, fraction I, 17, 26 and 31, fraction VIII, of the Organic Law of the Federal Public Administration; 4, section G, fraction III, 48 and 49 of the Internal Regulations of the Ministry of Treasury and Public Credit; 11, 366, fraction VIII, 367, fractions I and II, 369, fraction II, 370, last paragraph, 372, fraction XLI, and 373 of the Law of Insurance and Surety Companies; as well as articles 2, 4, fractions I and II, 6 and 9 of the Internal Regulations of the National Commission of Insurance and Sureties, issues the present Resolutions in response to the following Background and Considerations:

BACKGROUND

FIRST. - DENTEGRA SEGUROS DENTALES, S.A., was authorized by the Ministry of Treasury and Public Credit to organize, operate and function as an insurance institution, as evidenced in the official letter 101.-340.-7331.1/327175 of March 7, 2007, published in the Official Gazette of the Federation on July 20 of 2007. This authorization was last modified by this Commission through the official letter 06- C00-41100-06831/2019 of September 15, 2022, published in the aforementioned Official Gazette of the Federation on January 17 of 2023.

SECOND.- Through writings received in the registry office of this Commission on June 28, 17 and 24 of September 2024, the last two in response to the request for information contained in the official letter 06- C00-41100-2608/2024 of September 2 of the same year; as well as through the writings received in the said registry office on December 13 and 20, 2024, in response to the request for information and documentation formulated by this Decentralized Body through the official letters 06-C00-41100-39060/2024 and 06-C00-41100-43811/2024 of December 6 and 20, 2024, respectively, Alicia Domínguez Toledo, in her capacity as general director and representative of DENTEGRA SEGUROS DENTALES, S.A., requested approval from this Commission, to modify the first clause of its bylaws due to the change of its denomination to AUNA SEGUROS, S.A.

THIRD. - Through official letter 06-C00-41100-00459/2025 of January 17, 2025, this Commission, among other things, approved the modification of the first clause of the bylaws of DENTEGRA SEGUROS DENTALES, S.A., in terms of the draft of the Extraordinary General Shareholders' Meeting of June 27 of 2024.

FOURTH.- Through a writing received in the registry office of this Commission on March 21, 2025, the representative of the insurance institution presented, among other things:

The first copy of the public deed number 114,852 of February 27, 2025, granted before the notary of Lic. Roberto Garzón Jiménez, holder of Public Notary Number 229 of which is the holder Lic. Marco Antonio Ruíz Aguirre, in which the protocolization of the minutes of the Extraordinary General Shareholders' Meeting of June 27, 2024 is recorded, where it was approved, among other things, the change of denomination of such institution.

FIFTH. - Through official letter 06-C00-41100-10042/2025 of March 27, 2025, this decentralized body ordered the representative of the insurance institution to register the public deed 114,852 of February 27, 2025 in the Public Registry of Property and Commerce.

SIXTH.- Through the writing received in the registry office of this Commission on May 20, 2025, the representative of the insurance institution submitted the first copy of the public deed number 114,852 of June 27, 2025, granted before the notary of Lic. Marco Antonio Ruíz Aguirre, in which the protocolization of the minutes of the Extraordinary General Shareholders' Meeting of June 27, 2024 is recorded, where it was approved, among other things, the change of denomination of such institution, with registration in the Public Registry of Commerce under Electronic Commercial Folio 363,060 of May 12, 2025.

SEVENTH.- By official letter 06-C00-41100-26494/2025 of June 12, 2025, this decentralized body had fulfilled the order issued in the different 06-C00-41100-10042/2025 of March 27, 2025, consisting in the presentation of public deed 114,852 with registration data in the Public Registry of Property and Commerce corresponding.

EIGHTH. - The Board of Directors of this Commission in its Session 248, held on August 28, 2025, taking into consideration the favorable opinion issued by the Authorizations Committee, agreed as follows:

" UNIQUE. -

The authorization granted to DENTEGRA SEGUROS DENTALES, S.A., is MODIFIED, in order to reflect the reform carried out in its bylaws where they changed their denomination to AUNA SEGUROS, S.A.

" ... " .

CONSIDERATIONS

FIRST. - That article 369, fraction II, of the Law of Insurance and Surety Companies provides that it is the competence of the Board of Directors of this Commission to modify the authorizations to organize, operate and function as an insurance institution.

SECOND. - That as a result of what was resolved in official letter 06-C00-41100-00459/2025 of January 17, 2025, described in Background Third, it is appropriate to modify the terms of the authorization granted to that insurance institution.

THIRD. - That in accordance with what is stated in Background Eighth, the Board of Directors of this Commission in its Session 248 of August 28, 2025 agreed to modify the authorization granted to that insurance institution.

In view of the foregoing, the following are issued:

RESOLUTIONS

FIRST.- The preamble, as well as Articles First and Third, numeral I, of the authorization granted to DENTEGRA SEGUROS DENTALES, S.A., to organize, operate and function as an insurance institution, are modified, in the following terms:

" AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT, TO AUNA SEGUROS, S.A., TO ORGANIZE, OPERATE AND FUNCTION AS A SPECIALIZED HEALTH INSURANCE INSTITUTION, IN THE FOLLOWING TERMS:

" ARTICLE FIRST.- In exercise of the power conferred by the Federal Government by article 5 of the repealed General Law of Insurance and Mutual Insurance Companies to the Ministry of Treasury and Public Credit, and which from April 4, 2015 onwards is conferred by article 11 of the Law of Insurance and Surety Companies to the National Commission of Insurance and Sureties, AUNA SEGUROS, S.A. is authorized to organize, operate and function as a specialized health insurance institution.

" ...

" ARTICLE THIRD. - ...

" I.- The denomination shall be AUNA SEGUROS, SOCIEDAD ANÓNIMA.

" II and III.- ...

" ... " .

SECOND.- The authorization granted to AUNA SEGUROS, S.A., to organize, operate and function as an insurance institution, after the modification indicated in the previous Resolutive, remains entirely in the following terms:

" AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT, TO AUNA SEGUROS, S.A., TO ORGANIZE, OPERATE AND FUNCTION AS A SPECIALIZED HEALTH INSURANCE INSTITUTION, IN THE FOLLOWING TERMS:

" ARTICLE FIRST.- In exercise of the power conferred by the Federal Government by article 5 of the repealed General Law of Insurance and Mutual Insurance Companies to the Ministry of Treasury and Public Credit, and which from April 4, 2015 onwards is conferred by article 11 of the Law of Insurance and Surety Companies, to the National Commission of Insurance and Sureties, AUNA SEGUROS, S.A. is authorized to organize, operate and function as a specialized health insurance institution.

" ARTICLE SECOND. - The specialized health insurance institution to which this resolution refers is authorized to practice the operation of accident and illness insurance, in the lines of health and medical expenses.

" ARTICLE THIRD. - The specialized health insurance institution to which this resolution refers shall be subject to the provisions of the Law of Insurance and Surety Companies, as well as those derived from it, to the General Law of Commercial Companies, to the General Health Law, to the other laws applicable to it and, in particular, to the following bases:

" I.- The denomination shall be AUNA SEGUROS, SOCIEDAD ANÓNIMA.

" II.- The institution must have the minimum paid capital that is determined for the year in question, for each operation and lines for which it is authorized, which must be expressed in Investment Units and paid in national currency, in terms of article 49, first paragraph, of the Law of Insurance and Surety Companies.

" III.- Its corporate domicile shall be Mexico City.

" ARTICLE FOURTH. - By its very nature this authorization is non-transferable. " .

THIRD.- This official letter must be published in the Official Gazette of the Federation and in two newspapers of wide circulation from the corporate domicile of AUNA SEGUROS, S.A., within one hundred twenty natural days following the date of its notification, in terms of what is provided in article 11 of the Law of Insurance Companies and Sureties, at the expense of the interested parties.

This is issued based on the information provided by the petitioner contained in the writings sent and is limited exclusively to the modification of the authorization granted to AUNA SEGUROS, S.A., in the terms described which, in accordance with the applicable provisions, it is competent to resolve by this Commission, and does not prejudge any act that said society carries out and that implies the prior authorization or approval of other financial, administrative, tax or any other authorities, in terms of current regulations, nor does it validate the legality or validity of the same in case of not obtaining said authorizations or approvals.
