The Federal Government, through this Ministry of Finance and Public Credit, based on the provisions of Article 31, Fraction VIII of the Organic Law of the Federal Public Administration, Article 5 of the General Law of Insurance and Mutual Insurance Companies; and Article 36, Fraction VI of the Internal Regulations of the Ministry of Finance and Public Credit, issues the resolution indicated below, in consideration of the following background and considerations:

BACKGROUND

I.

Seguros Multiva, Sociedad Anónima, Grupo Financiero Multiva, is a company authorized by this Ministry to operate as an insurance institution to conduct life, accident, and health insurance operations, in the lines of personal accident and medical expenses, property damage, in the lines of civil liability and professional risks, maritime and transport, fire, automobiles, credit exclusively in reinsurance, miscellaneous, as well as earthquake and other catastrophic risks, as evidenced by resolution 366-IV-4100 of December 11, 1995, and last modified by Official Letter 366-073/12 of June 22, 2012.

II.

By Official Letter 366-III-0482/14 of June 18, 2014, the General Legal Directorate of Insurance, Sureties and Pensions, attached to the Insurance, Pensions and Social Security Unit:

a)

Approved the reform to Article 6 of the bylaws of Seguros Multiva, Sociedad Anónima, Grupo Financiero Multiva to reduce its authorized paid-in capital from $412,500,000.00 to $169,733,000.00, in the terms appearing in the extraordinary general meeting of shareholders of Seguros Multiva, S.A., Grupo Financiero Multiva of January 31, 2014, which accompanied its request.

b)

Requested to send within sixty business days following the date of notification of the aforementioned official letter, the first certified copy and three simple copies of the public deed with registration data in the Public Commerce Registry, in which the extraordinary general meeting of shareholders mentioned in the previous subsection was formalized, for the purpose of proceeding to the modification of its authorization to organize and operate as an insurance institution.

III.

With a writing dated October 16, 2014, Seguros Multiva, Sociedad Anónima, Grupo Financiero Multiva, submitted to this Insurance, Pensions and Social Security Unit, the first certified copy and three simple copies of Public Deed No. 64,729 of September 8, 2014, granted before the notary of Lic. Erik Namur Campesino, Public Notary No. 94 of the Federal District, in which the formalization of the minutes of the extraordinary general meeting of shareholders of Seguros Multiva, Sociedad Anónima, Grupo Financiero Multiva of January 31, 2014, is recorded, which resolved the modification to Article 6 of its bylaws, which was registered in the Public Commerce Registry on October 2, 2014, with commercial folio 388922*.

CONSIDERATIONS

I.

That as a result of the approval of Article 6 of the bylaws, as indicated in subsection a) of Background II, the terms of the authorization granted to that insurance institution must be modified.

II.

That they submitted to this Ministry the first certified copy and three simple copies of Public Deed 64,729 with registration data in the Public Commerce Registry.

RESOLUTION

First.- Article 3, Fraction II, of the authorization granted to Seguros Multiva, Sociedad Anónima, Grupo Financiero Multiva, to organize and operate as an insurance institution, is modified, to read as follows:

"ARTICLE THREE.- ...

I.- ...

II.- The social capital will be the amount of $169,733,000.00 (one hundred sixty-nine million seven hundred thirty-three thousand pesos 00/100 National Currency), which includes the amount of minimum paid-in capital indicated in Article 29, Fraction I, first paragraph of the General Law of Insurance and Mutual Insurance Companies.

III.- ... "

Second.- The authorization granted to Seguros Multiva, Sociedad Anónima, Grupo Financiero Multiva, to organize and operate as an insurance institution, after the modification indicated in the Resolutive section above, remains entirely in the following terms:

AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT, THROUGH THE MINISTRY OF FINANCE AND PUBLIC CREDIT, TO SEGUROS MULTIVA, S.A., GRUPO FINANCIERO MULTIVA, TO OPERATE AS AN INSURANCE INSTITUTION, UNDER THE FOLLOWING TERMS:

ARTICLE ONE.- In exercise of the power conferred to the Federal Government, through the Ministry of Finance and Public Credit, by Article 5 of the General Law of Insurance and Mutual Insurance Companies, Seguros Multiva, S.A., Grupo Financiero Multiva is authorized to operate as an insurance institution.

ARTICLE TWO.- The insurance institution is authorized to conduct life, accident, and health operations, in the lines of personal accident and medical expenses, property damage, in the lines of civil liability and professional risks; maritime and transport, fire, automobiles, credit exclusively in reinsurance, miscellaneous, as well as earthquake and other professional risks.

ARTICLE THREE.- The insurance institution will be subject to the provisions of the General Laws of Insurance and Mutual Insurance Companies, of Commercial Companies, and any others applicable to it, and in particular, to the following bases:

I.- The name will be "Seguros Multiva, Sociedad Anónima, Grupo Financiero Multiva".

II.- The social capital will be the amount of $169,733,000.00 (one hundred sixty-nine million seven hundred thirty-three thousand pesos 00/100 National Currency), which includes the amount of minimum paid-in capital indicated in Article 29, Fraction I, first paragraph of the General Law of Insurance and Mutual Insurance Companies.

III.- Its corporate domicile will be Mexico City, Federal District.

ARTICLE FOUR.- By its very nature, this authorization is non-transferable.

Third.- This resolution will be published in the Official Gazette of the Federation, at the expense of Seguros Multiva, Sociedad Anónima, Grupo Financiero Multiva, in accordance with what is established in Article 17 of the General Law of Insurance and Mutual Insurance Companies.
