Official Letter Modifying Authorization Terms for Banco Santander Mexico, S.A., Multiple Banking Institution, Santander Mexico Financial Group

The National Banking and Securities Commission modifies the capital social of Banco Santander Mexico, S.A., increasing it from $28,117,661,554.00 to $32,485,600,110.00 to support the issuance of perpetual and convertible subordinated debt instruments. OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Banco Santander Mexico, S.A., Multiple Banking Institution, Santander Mexico Financial Group.

The terms of the authorization for the organization and operation of that entity are modified.

Through official letter 312-3/15019/2021 dated August 17, 2021, this Commission approved the reform to Article Seventh of the bylaws of Banco Santander Mexico, S.A., Multiple Banking Institution, Santander Mexico Financial Group (Banco Santander), due to the increase in its social capital from the amount of $28,117,661,554.00 to the amount of $32,485,600,110.00, in order to back the issuance of capital instruments representing subordinated debt, perpetual and convertible into shares in certain cases, as well as the modification of Statutes Eighteenth and Nineteenth to update their content in accordance with current regulations, in terms of the minutes of the extraordinary general meeting of shareholders held on April 20, 2021.

Regarding this, in compliance with the requirement contained in the aforementioned official letter, with a document presented on September 13, 2021, through the email address VPSupervisionGIFA@cnbv.gob.mx, Banco Santander, sent to this Commission a certified copy of public deed 101,044 dated August 23, 2021, granted before Lic. Marco Antonio Ruiz Aguirre, public notary number 229 of Mexico City, and registered in the Public Registry of Property and Commerce of this same city on September 6, 2021, under commercial folio 63608-1, in which the statutory modification in question was formalized.

Therefore, this Commission, based on Article 8, last paragraph of the Credit Institutions Law, has resolved to modify the Fourth Base of the "Resolution authorizing the organization and operation of a subsidiary multiple banking institution named Banco Santander (Mexico), S.A., Multiple Banking Institution, Santander Financial Group", currently named Banco Santander Mexico, S.A., Multiple Banking Institution, Santander Mexico Financial Group, granted by the Ministry of Finance and Public Credit through official letter 101-374 dated May 27, 2008, published in the Official Gazette of the Federation on June 11, 2008, last modified by official letter 312-2/66597/2018 issued by this Commission on November 20, 2018, and published in said Gazette on December 6, 2018, to read as follows:

"...

FOURTH.- The social capital of Banco Santander Mexico, S.A., Multiple Banking Institution, Santander Mexico Financial Group amounts to $32,485,600,110.00 (thirty-two billion four hundred eighty-five million six hundred thousand one hundred ten pesos 00/100 M.N.).

..."

Likewise, based on Articles 8, last paragraph, and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, Banco Santander is required to inform this authority of the date of publication of this official letter, carried out in the Official Gazette of the Federation and in two widely circulated newspapers at its social address, within a period of fifteen business days counted from the date of publication. These publications must be processed within the fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, penultimate paragraph of the National Banking and Securities Commission Law; 12, 17, fraction X, 19, fractions I, subsection c), II and III and last paragraph, 40, fractions I and IV and 58 of the Internal Regulations of the National Banking and Securities Commission.
