OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Vifaru, S.A. de C.V., Casa de Bolsa.

The terms of the authorization for the organization and operation of said stock brokerage firm are modified.

We refer to Official Letter No.: 312-1/42101/2024 dated April 5, 2024, through which this Commission took note of the reform to article seventh of the bylaws of Vifaru, S.A. de C.V., Stock Brokerage Firm (Vifaru CB), due to the increase in the fixed portion without right of withdrawal of its social capital by the amount of $20,920,000.00 (twenty million nine hundred twenty thousand pesos 00/100 M.N.), to remain at the sum of $726,668,000.00 (seven hundred twenty-six million six hundred sixty-eight thousand pesos 00/100 M.N.), through the capitalization of the account for contributions for future capital increases, in terms of the Unanimous Resolutions Adopted outside of Shareholders' Meetings dated March 15, 2023 and April 18, 2024. The foregoing, based on article 115, last paragraph of the Securities Market Law (LMV).

Regarding this, and in compliance with the requirement contained in the official letter mentioned in the previous paragraph, Vifaru CB presented to this Commission on June 28, 2024, through the email VPSupervisionB@cnbv.gob.mx, an electronic copy of the first notarial deed containing public deed 103,771 dated June 24, 2024, granted before the notary public Lic. Roberto Núñez y Bandera, notary number one of Mexico City and registered in the Public Registry of Property and Commerce of this same city on June 26, 2024 under electronic commercial folio 529293, with which the statutory modification in question was formalized.

For the above, this Commission, based on article 114, last paragraph of the LMV, has resolved to modify Base Fifth of the "Authorization for the organization and operation of a stock brokerage firm Subsidiary to be named Itaú BBA México Stock Brokerage Firm, S.A. de C.V.", currently Vifaru, S.A. de C.V., Stock Brokerage Firm, contained in Official Letter No. P124/2014, issued by this authority on November 10, 2014, published in the Official Gazette of the Federation on December 3 of the same year, last modified by this Commission through Official Letter No.: 312-1/41882/2024 dated January 23, 2024, published in the aforementioned Gazette on February 26, 2024, to remain in the following terms:

FIFTH . -

The amount of its paid-in social capital shall be $ 726,668,000.00 (seven hundred twenty-six million six hundred sixty-eight thousand pesos 00/100 M.N.).

... "

Likewise, based on articles 114, last paragraph, 350 and 360 of the LMV and 19 of the Law of the National Banking and Securities Commission, this Commission requires Vifaru CB to inform this authority of the dates of the publications of this official letter carried out in the Official Gazette of the Federation and two widely circulated newspapers of its social domicile, within a period of ten business days counted from the date of the aforementioned publications, which must be processed within fifteen business days following the date of receipt of this official letter.

This official letter is issued based on articles 16, penultimate paragraph of the Law of the National Banking and Securities Commission; 14, 19, fraction X, 26, fractions I, subsection g), II, III and last paragraph, 44, fractions I and IV and 64, first paragraph of the Internal Regulations of the National Banking and Securities Commission.
