OFFICIAL LETTER modifying the Bases of the authorization for the organization and operation of Banco Forjadores, S.A., Multiple Banking Institution.

SUBJECT: THE BASES OF THE AUTHORIZATION FOR THE ORGANIZATION AND OPERATION OF SAID ENTITY ARE MODIFIED.

Through official letter 312-2/9766/2025 dated July 18, 2025, this Commission approved Banco Forjadores, S.A., Multiple Banking Institution (Banco Forjadores) the reform to articles 1st, 5th, 66th, and 67th of its bylaws, due to the change of its name and domicile, in accordance with the minutes of the extraordinary general shareholders' meeting held on April 28, 2025.

With writings presented to this Commission on August 28 and October 16, 2025, through the email address VPSupervisionGIFA@cnbv.gob.mx, in compliance with the requirement contained in the aforementioned official letter 312-2/9766/2025, Banco Forjadores presented public deed number 12,606 dated July 24, 2025, granted before the notary public José Martínez González, notary public No. 29 of Monterrey, Nuevo León, and registered in the Public Commerce Registry of Mexico City on October 8, 2025, under electronic commercial folio number 336038, in which the aforementioned bylaw modifications were formalized.

Therefore, based on article 8, last paragraph, of the Credit Institutions Law, this Commission deems it appropriate to modify the First and Fourth Bases of the "Authorization for the organization and operation of a multiple banking institution to be named Banco Forjadores, S.A., Multiple Banking Institution," contained in official letter 100/023/2012 dated September 18, 2012, published in the Official Gazette of the Federation on October 10, 2012, last modified by official letter 312-2/42941/2024 issued on November 21, 2024, and published in the same Gazette on December 3 of that year, to read as follows:

" ...

FIRST.- The name of the society shall be Banco Banfeliz, S.A., Multiple Banking Institution.

...

FOURTH.- Its social domicile shall be San Pedro Garza García, Nuevo León.

... "

Likewise, based on articles 8, last paragraph, 97 of the Credit Institutions Law, and 19 of the National Banking and Securities Commission Law, this entity is required to inform this authority of the date of publication of the text of this official letter in the Official Gazette of the Federation and in two widely circulated newspapers of its social domicile, within a period of fifteen business days counted from the date of the aforementioned publications. This is understood to mean that said publications must be processed within the fifteen business days following the date of receipt of this official letter.

This official letter is issued based on articles 16, penultimate paragraph, of the National Banking and Securities Commission Law; 14, 19, fraction X, 21, fractions I, subsection c), II and III, and last paragraph, 44, fractions I and IV, and 64, first paragraph, of the Internal Regulations of the National Banking and Securities Commission.
