OFFICIAL LETTER modifying the bases of the authorization for the organization and operation of Banco Bineo, S.A.

At the margin, a seal with the National Coat of Arms, which reads: United Mexican States.- Treasury.- Secretariat of

SUBJECT: THE BASES OF THE AUTHORIZATION FOR THE ORGANIZATION AND

OPERATION OF THAT ENTITY ARE MODIFIED.

By official letter 312-2/9177/2025 dated February 7, 2025, this Commission approved Banco Bineo,

S.A., Multiple Banking Institution, Banorte Financial Group ( Bineo ) the reform to article seven of

its bylaws, due to the increase in its social capital by the amount of $1,050 ' 000,000.00, for

said capital to remain at the sum of $4,175 ' 000,000.00.

With a written submission presented on March 14, 2025, through the email address

VPSupervisionGIFA@cnbv.gob.mx and, in compliance with the requirement contained in the

official letter referred to in the previous paragraph, Bineo sent to this Commission a certified copy of public deed 267,040 dated February 21

2025, granted before the notary public Licentiate Cecilio González Márquez, public notary number 151

of Mexico City and registered in the Public Commerce Registry of the same city on March 11, 2025,

in which the bylaw modification in question was formalized.

For the above reason and based on article 8, last paragraph of the Credit Institutions Law (LIC),

this Commission deems it appropriate to modify Base Fifth of the " Authorization for the organization and operation of

a multiple banking institution to be named Banco Bineo, S.A., Multiple Banking Institution, Banorte

Financial Group " , contained in official letter P242/2022 dated September 30, 2022 and published in the

Official Gazette of the Federation (DOF) on October 10, 2022, last modified by official letter

312- 2/9246/2025 issued by this Commission on February 13, 2025 and published in the same DOF on March 20

2025, to read as follows:

" ...

FIFTH . - The amount of its social capital shall be $4,175 ' 000,000.00 (four thousand one

hundred seventy-five million pesos 00/100) M.N.

... "

Likewise, based on articles 8, last paragraph and 97 of the LIC and 19 of the Law of the

National Banking and Securities Commission, Bineo is required to inform this authority of the date of

the publication carried out in the DOF and in two widely circulated newspapers of its registered office, of the present

official letter of modification, within a period of fifteen business days counted from the date of the said

publications, which must be processed within fifteen business days following the date of

receipt of this official letter.

This official letter is issued based on articles 16, penultimate paragraph of the Law of the

National Banking and Securities Commission, 14, 19, fraction X, 21, fractions I, subsection c), II and III and last paragraph,

44, fractions I and IV and 64, first paragraph of the Internal Regulations of the National Banking and Securities

Commission.
