The National Insurance and Sureties Commission modifies the authorization granted to General de Salud, Compañía de Seguros, S.A. to reflect statutory reforms, specifically updating the registered domicile to Mexico City and replacing references to the repealed General Law of Insurance and Mutual Insurance Companies with the current Insurance and Sureties Institutions Law. The resolution also updates the minimum paid-in capital requirement to be expressed in Investment Units as determined by the Commission. General de Salud is required to publish this official letter in the Official Gazette of the Federation and two widely circulated newspapers within 120 days of notification.

SUBJECT:
The authorization to organize, operate, and function as an insurance institution, granted to General de Salud, Compañía de Seguros, S.A. is modified.
The Federal Government, through the National Insurance and Sureties Commission, prior to the Agreement of its Board of Directors, based on articles 2, fraction I, 17, 26 and 31, fraction VIII, of the Organic Law of the Federal Public Administration; 4, section G, fraction III, 48 and 49 of the Internal Regulations of the Ministry of Finance and Public Credit; 11, 366, fraction VIII, 367, fractions I and II, 369, fraction II, 370, last paragraph, 372, fraction XLI, and 373 of the Law of Insurance and Sureties Institutions; as well as articles 4, fractions I and II, 6 and 9 of the Internal Regulations of the National Insurance and Sureties Commission, issues these Resolutions in response to the following Background and Considerations:
BACKGROUND
FIRST. -
General de Salud, Compañía de Seguros, S.A.
(General de Salud), was authorized by the Ministry of Finance and Public Credit (SHCP), to organize and operate as an insurance institution, in the operation of accidents and illnesses, in the health branch, through official letter 366-IV-5113 of January 27, 2003, published in the Official Gazette of the Federation on September 4, 2003. This authorization was last modified by the SHCP, through official letter 366-171/08 of September 23, 2008, in order to expand its corporate purpose to the practice of the medical expenses branch.
SECOND.- By written submission presented at the registry office of this Commission on June 22 and its addendum, of August 2, 2023, General de Salud requested the approval of this Commission to carry out the reform of the corporate statutes of that insurance institution. Likewise, it requested the modification to clause fifth due to the increase in its fixed social capital so that it amounted to $110,000,000.00 (One hundred ten million pesos 00/100 M.N.), in accordance with what was agreed in its ordinary and extraordinary general assembly of shareholders on April 28, 2023.
THIRD. - By official letter 06-C00-41100-16074/2023 of October 5, 2023, this Commission approved the comprehensive modification of its corporate statutes and instructed General de Salud to submit the first copy of the public instrument in which the protocolization of the minutes of the ordinary and extraordinary general assembly of shareholders of April 28, 2023 is recorded.
FOURTH. - Through a written submission received at the registry office of this Commission on November 29, 2023, General de Salud submitted the first copy of public deed number 134,087 of October 24, 2023, granted before the notary of Licenciado Francisco Javier Arce Gargollo, holder of Notary Office number 74 of Mexico City, in which the protocolization of the minutes of the ordinary and extraordinary general assembly of shareholders of April 28, 2023 is recorded.
FIFTH.- Through official letter 06-C00-41100-00141/2024 of January 9, 2023, this Decentralized Body considered fulfilled what was instructed in the fourth resolution of the indicated official letter 06-C00- 41100-16074/2023 of October 5, 2023; ordering the registration of the public instrument in the corresponding Public Registry of Commerce, as well as submitting the first copy of said deed with registration data in the corresponding registry.
SIXTH. - The Board of Directors of this Commission, in its Session 238 held on February 27, 2024, taking into consideration the favorable opinion issued by the Authorizations Committee, agreed as follows:
" UNIQUE. - MODIFY the authorization granted to General de Salud, Compañía de Seguros, S.A., in order to reflect the reform carried out in its corporate statutes; as well as to update the reference to its social capital, as follows:

The elimination of the words " Federal District " from its social domicile, in accordance with the " Decree by which various provisions of the Political Constitution of the United Mexican States are declared reformed and repealed, in matters of the political reform of Mexico City " , published in the Official Gazette of the Federation on January 29 of 2016.

It is specified that the minimum paid-in capital will be the equivalent in national currency to the value of the Investment Units determined by the Commission, with the agreement of its Board of Directors, through provisions of a general nature, as established in article 49, first paragraph, of the Law of Insurance and Sureties Institutions.

The substitution of references to the General Law of Insurance and Mutual Companies by the Law of Insurance and Sureties Institutions, in accordance with the Decree by which the Law of Insurance and Sureties Institutions is issued and various provisions of the Insurance Contract Law are reformed and added, published in the Official Gazette of the Federation on April 4 of 2013.
This is based on articles 11, 66 and 369, fraction II, of the LISF; in Provisions 2.3.1 to 2.3.3. and 2.3.7. of the CUSF. "
Once the above has been exposed, and:
CONSIDERATIONS
FIRST. - That article 369, fraction II, of the Law of Insurance and Sureties Institutions (LISF), provides that it is the competence of the Board of Directors of this Commission to modify the authorizations to organize, operate and function as an insurance institution.
SECOND. - That derived from official letter No. 06-C00-41100-16074/2023 of October 5, 2023, described in the Third Background of this official letter, it is appropriate to modify the terms of the authorization granted to that insurance institution.
THIRD. - That in accordance with what is indicated in the Sixth Background of this official letter, the Board of Directors of this Commission, in its Session 238 held on February 27, 2024, agreed to modify the authorization granted to that insurance institution.
In view of the foregoing, the following are issued:
RESOLUTIONS
FIRST.-
The preamble, as well as articles first and third, bases II and III, of the authorization granted to General de Salud, Compañía de Seguros, S.A., to organize, operate and function as an insurance institution, are modified, to remain in the following terms:
" AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT TO GENERAL DE SALUD, COMPAÑÍA DE SEGUROS, S.A., TO ORGANIZE, OPERATE AND FUNCTION AS A SPECIALIZED INSURANCE INSTITUTION IN HEALTH INSURANCE, IN THE FOLLOWING TERMS:
" ARTICLE FIRST. - In exercise of the power conferred by article 5 of the repealed General Law of Insurance and Mutual Insurance Companies, to the Ministry of Finance and Public Credit, and that, from April 4, 2015, it confers article 11 of the Law of Insurance and Sureties Institutions, to the National Insurance and Sureties Commission, General de Salud, Compañía de Seguros, S.A. is authorized to operate as an insurance institution specialized in health insurance.
" ARTICLE SECOND. - ... "
" ARTICLE THIRD. - The insurance institution shall be subject to the Law of Insurance and Sureties Institutions, as well as to the provisions of a general nature derived from it, to the General Law of Commercial Companies, to the General Health Law, as well as to the other laws applicable to it and, in particular, to the following bases:
" I.- ...
" II.- The insurance institution must have the minimum paid-in capital that is determined for the year in question, for each operation or branch, that it has authorized, expressed in Investment Units and which must be covered in national currency, as ordered by article 49, first paragraph, of the Law of Insurance and Sureties Institutions.
" III.- The social domicile of the insurance institution shall be Mexico City.
" ARTICLE FOURTH. - ... "
SECOND. - The authorization granted to General de Salud, Compañía de Seguros, S.A., to organize, operate and function as an insurance institution, after the modification indicated in the previous operative part, remains entirely in the following terms:
" AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT TO GENERAL DE SALUD, COMPAÑÍA DE SEGUROS, S.A., TO ORGANIZE, OPERATE AND FUNCTION AS A SPECIALIZED INSURANCE INSTITUTION IN HEALTH INSURANCE, IN THE FOLLOWING TERMS:
" ARTICLE FIRST. - In exercise of the power conferred by article 5 of the repealed General Law of Insurance and Mutual Insurance Companies, to the Ministry of Finance and Public Credit, and that, from April 4, 2015, it confers article 11 of the Law of Insurance and Sureties Institutions, to the National Insurance and Sureties Commission, General de Salud, Compañía de Seguros, S.A. is authorized to operate as an insurance institution specialized in health insurance.
" ARTICLE SECOND. - The insurance institution is authorized to practice the operation of accident and illness insurance, in the branches of health and medical expenses.
" ARTICLE THIRD. - The insurance institution shall be subject to the Law of Insurance and Sureties Institutions, as well as to the provisions of a general nature derived from it, to the General Law of Commercial Companies, to the General Health Law, as well as to the other laws applicable to it and, in particular, to the following bases:
" I.- The denomination shall be General de Salud, Compañía de Seguros, Sociedad Anónima.
" II.- The insurance institution must have the minimum paid-in capital that is determined for the year in question, for each operation or branch, that it has authorized, expressed in Investment Units and which must be covered in national currency, as ordered by article 49, first paragraph, of the Law of Insurance and Sureties Institutions.
" III.- The social domicile of the insurance institution shall be Mexico City.
" ARTICLE FOURTH. - By its very nature, this authorization is non-transferable. "
THIRD. -
This official letter must be published in the Official Gazette of the Federation and in two newspapers of wide circulation in the social domicile of General de Salud , within one hundred twenty days following the date of its notification, in terms of what is established in article 11 of the Law of Insurance and Sureties Institutions, at the expense of the interested parties.
This is issued based on the information provided by the petitioner contained in the written submissions sent and is limited exclusively to the modification of the authorization granted to General de Salud, Compañía de Seguros, S.A., in the terms indicated above, which in accordance with the applicable provisions competes to resolve this Commission, and does not prejudge any act that said society carries out and that implies prior authorization or approval from other financial, administrative, tax or any other authorities, in terms of current regulations, nor does it validate the legality or validity of the same in case said authorizations or approvals are not obtained.
