The National Commission of Insurance and Sureties modifies the authorization granted to Thona Seguros, S.A. de C.V. to include the medical expenses line of business within its accident and sickness insurance operations. OFFICIAL LETTER modifying the authorization to organize and operate as an insurance institution, granted to Thona Seguros, S.A. de C.V.

SUBJECT:
The authorization to organize and operate as an insurance institution, granted to Thona Seguros, S.A. de C.V., is modified.

The Federal Government, through the National Commission of Insurance and Sureties, and after agreement by its Board of Directors, based on Article 90 of the Political Constitution of the United Mexican States; Articles 17 and 31, section VIII, of the Organic Law of the Federal Public Administration; Article 2, subsection D, section III, of the Internal Regulations of the Ministry of Finance and Public Credit; Articles 11, 45, 66, 366 section VIII, 367 sections I and II, 369 section II, 370 last paragraph, and 372 section XLI, of the Law of Insurance and Surety Institutions; in relation to Provisions 2.3.1 to 2.3.7, and Chapters 39.1 and 39.6 of the Unified Circular of Insurance and Sureties; as well as Articles 4, sections I and II, 6 and 9 of the Internal Regulations of the National Commission of Insurance and Sureties, issues the resolutions indicated below, in attention to the following:
Background and Considerations:
BACKGROUND
I. By resolution 101.-493 of October 30, 2012, published in the Official Gazette of the Federation (DOF) on May 20, 2013, the Ministry of Finance and Public Credit authorized Thona Seguros, S.A. de C.V. to organize and function as an insurance institution. This authorization was last modified by this Commission through Official Letter 06-C00-41100/36577 of June 29, 2018, published in the DOF on August 3, 2018.
II. By written document dated May 2, 2018, Mr. Álvaro Ambrosi Cortes, General Director and Attorney-in-Fact of Thona Seguros, S.A. de C.V., requested this Commission to modify the authorization of said institution in order to expand its corporate purpose to carry out the medical expenses line of business in the operation of accidents and sickness.
III. In view of the foregoing, the modification of the authorization of Thona Seguros, S.A. de C.V. to expand the corporate purpose of said insurance institution, in order to carry out the medical expenses line of business in the operation of accidents and sickness, was submitted for consideration to the Board of Directors of this Commission, which, taking into account the favorable opinion of its Authorizations Committee, agreed at its session held on August 27, 2019, as follows:
"SOLE.- THE authorization granted to Thona Seguros, S.A. de C.V. is modified, in order to expand the medical expenses line of business, in the operation of accidents and sickness, in its corporate purpose."
IV. By Official Letter 06-C00-41100-52979/2019 of October 2, 2019, this Decentralized Body notified said institution of the aforementioned agreement of the Board of Directors, by virtue of what was resolved through Official Letter 06-C00-41100-46294/2019 of September 9, 2019, by which the reform to the second clause of its corporate bylaws was approved.
V. By official letter 06-C00-41000-04548/2020 of March 5, 2020, this Commission deemed presented public instrument number 17,195 passed before the notary public of Licenciado Francisco Castellanos Guzmán, Public Broker number twenty of Mexico City, and instructed said insurance institution to register said policy in the Public Registry of Commerce of this City.
CONSIDERATIONS
FIRST.- That Article 369, section II, of the Law of Insurance and Surety Institutions, provides that it is the competence of the Board of Directors of this Commission to modify the authorizations to organize, operate and function as an insurance institution.
SECOND.- That as a result of the resolution contained in the aforementioned official letter 06-C00-41100-46294/2019 of September 9, 2019, it is appropriate to modify the terms of the authorization granted to said insurance institution.
THIRD.- That in terms of what is stated in Backgrounds III and IV of this Official Letter, the Board of Directors of this Commission, in its session 209 of August 27, 2019, agreed to modify the bases of the authorization granted to said insurance institution.
In view of the foregoing, the following are issued:
RESOLUTIONS
FIRST.- Article Two of the authorization granted to Thona Seguros, S.A. de C.V. to organize and function as an insurance institution is modified, to read as follows:
« ... « ... «ARTICLE TWO.- The insurance institution is authorized to practice life insurance operations and the operation of accident and sickness insurance, in the line of personal accidents and medical expenses. « ... «I.- ... «II.- ... «a) ... «b) ... «III ... « ... « ... »
SECOND.- The authorization granted to Thona Seguros, S.A. de C.V. to organize and function as an insurance institution, after the modification indicated in the previous resolutive clause, remains entirely in the following terms:
" AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT, TO THONA SEGUROS, S.A. DE C.V., TO ORGANIZE AND FUNCTION AS AN INSURANCE INSTITUTION, IN THE FOLLOWING TERMS:
" ARTICLE ONE.- In exercise of the power conferred on the Federal Government by Article 5 of the repealed General Law of Insurance and Mutual Societies by the Ministry of Finance and Public Credit, and which from April 4, 2015, is conferred by Article 11 of the Law of Insurance and Surety Institutions on the National Commission of Insurance and Sureties, Thona Seguros, S.A. de C.V. is authorized to organize and function as an insurance institution.
" ARTICLE TWO.- The insurance institution is authorized to practice life insurance operations and the operation of accident and sickness insurance, in the line of personal accidents and medical expenses.
" ARTICLE THREE.- The insurance institution shall be subject to the provisions of the Law of Insurance and Surety Institutions, as well as those derived from it, the General Law of Commercial Societies and the other norms applicable by their nature, and in particular, the following bases:
«I.- Its name shall be " THONA SEGUROS, VARIABLE CAPITAL ANONYMOUS COMPANY ".
«II. The social capital shall be variable, as follows:
«a) The institution must have the minimum paid capital determined for the year in question, for each operation or line of business authorized, which shall be expressed in Investment Units and must be covered in national currency, in terms of Article 49, first paragraph, of the Law of Insurance and Surety Institutions.
«b) The variable capital with right to withdrawal in no case may exceed the paid capital without right to withdrawal.
«III.- Its corporate domicile shall be Mexico City.
«ARTICLE FOUR.- Thona Seguros, S.A. de C.V. shall be subject to the inspection and surveillance of the National Commission of Insurance and Sureties in terms of Article 11 of the Law of Insurance and Surety Institutions.
«ARTICLE FIVE.- By its very nature, this authorization is non-transferable. ».
THIRD.- This Official Letter shall be published in the Official Gazette of the Federation and in two widely circulated newspapers from the corporate domicile of the institution, within the one hundred and twenty days following the date of notification of this Official Letter to said institution, in terms of what is provided in Article 11 of the Law of Insurance and Surety Institutions, at the expense of the interested parties.
The resolutions of this Official Letter are issued based on the information provided by the applicant contained in the submitted writings and are limited exclusively to the modification of the authorization granted to Thona Seguros, S.A. de C.V. to organize and operate as an insurance institution, in the terms described which, in accordance with the applicable provisions, it is the competence of this Commission to resolve, and do not prejudge any act that said society carries out that implies the prior authorization or approval of other financial, administrative, tax or any other authorities, in terms of current regulations, nor do they validate the legality or validity of the same in case such authorization or approval is not obtained.
