The National Insurance and Bonds Commission modifies the authorization for Allianz Mexico, S.A., Insurance Company to reflect statutory changes, specifically updating its registered address from the Federal District to Mexico City and renaming the catastrophic risks line of business. The authorization is also amended to replace the fixed capital amount with a requirement to maintain the minimum paid-in capital determined annually for each authorized operation and line of business, expressed in Investment Units. SUBJECT: MODIFICATION OF THE AUTHORIZATION GRANTED TO ALLIANZ MEXICO, S.A., INSURANCE COMPANY.

The Federal Government, through the National Insurance and Bonds Commission, and with prior agreement of its Board of Directors, based on articles 11, 66, 74, 75, 369 section II and 370, last paragraph, of the Law of Insurance Institutions and Sureties, as well as articles 6 and 9 of the Internal Regulations of the National Insurance and Bonds Commission, issues the following resolutions in attention to the following Background and Considerations:
BACKGROUND
Allianz Mexico, S.A., Insurance Company was authorized by the Ministry of Finance and Public Credit to function and operate as an insurance institution, through Official Letter 102-E-366-DGSV-I-B-a-780 of February 20, 1991. Such authorization was last modified by said Dependency through Official Letter 366-IV-7023 of December 4, 1997, published in the Official Gazette of the Federation on November 26, 1998.
With a writing dated April 15, 2015, Lic. Mauro A. Cándano Álvarez del Castillo, on behalf of Allianz Mexico, S.A., Insurance Company, submitted for approval by this Commission the reform of the social statutes of said institution due to the entry into force of the Law of Insurance Institutions and Sureties, attaching for this purpose a copy of the Minutes of the Extraordinary General Shareholders' Meeting of March 30, 2015; from this modification, the elimination of the words "Federal District" from its social domicile, in accordance with the "Decree declaring reformed and repealed various provisions of the Political Constitution of the United Mexican States, in matters of the political reform of Mexico City", published in the Official Gazette of the Federation on January 29, 2016, stands out, as well as the adjustment to its corporate purpose, due to the "adjustment of Catastrophic Risks".
Through Official Letters 06-C00-41100/10819 of April 21, 2016, 06-C00-41100/22653 of July 29, 2016 and 06-C00-41100/35149 of December 7, 2016, this Commission approved the integral modification to the social statutes carried out by that institution, in accordance with what is provided in article 66 of the Law of Insurance Institutions and Sureties, contained in deed No. 36,601 of June 1, 2016, granted before the faith of Lic. Mario Garciadiego González Cos, Holder of Public Notary No. 184 in Mexico City, registered in the Public Registry of Property and Commerce of Mexico City on August 23, 2016, under commercial folio No. 16488*.
In that context, modifications to the authorization of Allianz Mexico, S.A., Insurance Company to operate as an insurance institution were submitted for consideration to the Board of Directors of the National Insurance and Bonds Commission in its session 193 of February 21, 2017, which agreed, with the favorable opinion of the Authorizations Committee of said Commission, the following:
"FIRST.- MODIFY the authorization of "Allianz Mexico, S.A. de C.V., Insurance Company", in order to reflect the modifications made in the social statutes of said institution described below:
a) Substitute in its social domicile the reference to the "Federal District" by "Mexico City", and
b) Substitute in its corporate purpose the reference to the line of insurance identified as "Earthquake and other catastrophic risks" by "Catastrophic risks".
SECOND.- MODIFY the authorization of Allianz Mexico, S.A. de C.V., Insurance Company, in order to eliminate the reference to the capital amount of said insurance institution by replacing it with a wording that establishes that the institution must have the minimum paid-in capital determined for the year in question, for each operation and line of business it has authorized, which must be expressed in Investment Units and covered in national currency, in terms of article 49, first paragraph, of the Law of Insurance Institutions and Sureties."
CONSIDERATIONS
FIRST.- That article 369, section II, of the Law of Insurance Institutions and Sureties, provides that it is the competence of the Board of Directors of this Commission to modify the authorizations to organize, operate and function as an insurance institution.
SECOND.- That as a result of the resolution contained in said Official Letter No. 06-C00-41100/35149 of December 7, 2016, the terms of the authorization granted to that insurance institution must be modified.
In view of the foregoing, the following are issued:
RESOLUTIONS
FIRST.- The Preamble and Articles First, Second and Third, first paragraph, bases II and III, of the authorization granted to Allianz Mexico, S.A., Insurance Company, are modified, in the following terms:
AUTHORIZATION GRANTED BY THE NATIONAL INSURANCE AND BONDS COMMISSION, ON BEHALF OF THE FEDERAL GOVERNMENT, TO ALLIANZ MEXICO, S.A., INSURANCE COMPANY, TO CONTINUE OPERATING AS AN INSURANCE INSTITUTION SUBSIDIARY OF ALLIANZ OF AMERICA, INC., OF DELAWARE, UNITED STATES OF AMERICA, UNDER THE FOLLOWING TERMS:
ARTICLE FIRST.- In exercise of the faculty conferred on the Federal Government by articles 5 and 33-C of the repealed General Law of Insurance Mutual Institutions and Societies, to the Ministry of Finance and Public Credit, and which from April 4, 2015, are conferred by articles 11 and 75 of the Law of Insurance Institutions and Sureties, to the National Insurance and Bonds Commission, Allianz Mexico, S.A., Insurance Company is authorized to organize and function as an insurance institution subsidiary of Allianz of America, Inc., of Delaware, United States of America.
ARTICLE SECOND.- The subsidiary insurance institution is authorized to practice in the Mexican Republic life, accident and disease insurance operations, in the lines of personal accidents and medical expenses, of damages, in the lines of civil liability and professional risks, maritime and transports, fire, automobiles, credit exclusively in reinsurance, miscellaneous, as well as catastrophic risks.
ARTICLE THIRD.- The subsidiary insurance institution will be subject to the provisions of the Law of Insurance Institutions and Sureties, as well as those derived from it, to the General Law of Commercial Societies, and to the other laws applicable to it and, in particular, to the following bases:

II.- The institution must have the minimum paid-in capital determined for the year in question, for each operation or line of business it has authorized, which must be expressed in Investment Units and must be covered in national currency, in terms of article 49, first paragraph, of the Law of Insurance Institutions and Sureties.
III.- Its social domicile will be Mexico City.
...
SECOND.- The authorization granted to Allianz Mexico, S.A., Insurance Company, to organize and operate as a subsidiary insurance institution, after the modification indicated in the previous Resolutive, remains entirely in the following terms:
AUTHORIZATION GRANTED BY THE NATIONAL INSURANCE AND BONDS COMMISSION, ON BEHALF OF THE FEDERAL GOVERNMENT, TO ALLIANZ MEXICO, S.A., INSURANCE COMPANY, TO CONTINUE OPERATING AS AN INSURANCE INSTITUTION SUBSIDIARY OF ALLIANZ OF AMERICA, INC., OF DELAWARE, UNITED STATES OF AMERICA, UNDER THE FOLLOWING TERMS:

I.- The denomination will be Allianz Mexico, Sociedad Anónima, Insurance Company.
II.- The institution must have the minimum paid-in capital determined for the year in question, for each operation or line of business it has authorized, which must be expressed in Investment Units and must be covered in national currency, in terms of article 49, first paragraph, of the Law of Insurance Institutions and Sureties.
III.- Its social domicile will be Mexico City.
ARTICLE FOURTH.- By its very nature, this authorization is non-transferable.
THIRD.- These resolutions must be published in the Official Gazette of the Federation and in two widely circulated newspapers from the social domicile of the institution, within the one hundred twenty days following the date of their notification to Allianz Mexico, S.A., Insurance Company, in terms of what is provided in article 11, in relation with article 75, both of the Law of Insurance Institutions and Sureties, at the expense of the interested parties.
These resolutions are issued based on the information provided by the petitioner contained in the writings sent and are limited exclusively to the modification of the authorization granted to that insurance institution under the terms described that, in accordance with the applicable provisions, it is competent for this Commission to resolve, and does not prejudge any act that said society carries out that implies prior authorization or approval from other financial, administrative, tax or any other authorities, in terms of current regulations, nor does it validate the legality or validity of the same in case said authorizations or approvals are not obtained.
This is made known to you, based on articles 11, 66, 74, 75, 369, section II and 370, last paragraph, of the Law of Insurance Institutions and Sureties, as well as articles 6 and 9 of the Internal Regulations of the National Insurance and Bonds Commission.
