The Federal Government through the National Commission of Insurance and Sureties, and prior Agreement of its Board of Directors, based on articles 11, 369, section II, 370, last paragraph, and 372, section XLI, of the Law of Insurance and Surety Institutions, as well as articles 6 and 9 of the Internal Regulations of the National Commission of Insurance and Sureties, issues these Resolutions in response to the following
Background and Considerations:
BACKGROUND
I.
HIR Compañía de Seguros, S.A. de C.V., was authorized by the Ministry of Finance and Public Credit to operate as an insurance institution, through Official Letter 366-IV-6083 of
November 14, 1997, published in the Official Federal Diary on November 27,
This authorization was last modified by said Department through
Official Letter 366- 175/10 of September 29, 2010.
II.
With writings dated August 14 and another received by this Commission on September 23, 2015,
the C.P.
Luis Cuauhtémoc Prado Rojas, in his capacity as Director of Finance and Administration of HIR
Compañía de Seguros, S.A. de C.V.,
requested the approval of this Commission regarding the reform
of the corporate bylaws of said institution with the aim of adapting them to the Law of Insurance Institutions
and Sureties, as well as for the decrease in the variable part and increase in the fixed part of the
social capital of said company, to be established at $100 ' 000,000.00 M.N., for which
they sent various information and documentation, among others, a copy with autograph signatures of the Minutes of the Extraordinary General Shareholders' Meeting of said institution dated July 30, 2015.
III.
Through the writing of December 15, 2015, the C.P. Luis Cuauhtémoc Prado Rojas, in his
capacity as Director of Finance and Administration of HIR Compañía de Seguros, S.A. de C.V.,
requested the approval of this Commission to modify Article Eight of the corporate bylaws of
such institution due to a new adjustment in the social capital, sending in effect a copy with autograph
signatures of the Minutes of the Extraordinary General Shareholders' Meeting of December 10, 2015,
from which it is evident the decrease in its variable capital and the increase in its minimum fixed social capital, so that the latter was established in the amount of $148 ' 000,102.00 M.N.
IV.
Through Official Letter 06-C00-41100/59439 of October 19, 2017, this Commission resolved to approve the
comprehensive reform of the corporate bylaws of HIR Compañía de Seguros, S.A. de C.V., due to its
adaptation to the Law of Insurance Institutions and Sureties, from which stands out the modification of
Article Two of such bylaws to eliminate the words " Federal District " from its social
domicile, as well as the reform of Article Eight derived from the reduction of its variable social capital
and increase of its minimum paid social capital to be established in the amount of
$100 ' 000,000.00 M.N, in terms of public deed number
55,356 of August 21, 2017,
granted before the notary of Lic. Paloma Villalba Ortíz, holder of Public Notary Office number 64 of
Naucalpan de Juárez, State of Mexico, as evidenced in the protocolization of the Minutes of the Extraordinary General Shareholders' Meeting of July 30, 2015.
Likewise, in the aforementioned Official Letter, it was resolved to approve the reform to Article Eight of the
corporate bylaws of the same institution due to the decrease in its variable capital and increase of its
minimum fixed capital without right of withdrawal, so that it would be established in the amount of
$148 ' 000,102.00 M.N., as evidenced in public deed number 55,357 of August 21, 2017,
granted before the notary of Lic. Paloma Villalba Ortíz, holder of Public Notary Office number 64 of
Naucalpan de Juárez, State of Mexico, as evidenced in the protocolization of the Minutes of the Extraordinary General Shareholders' Meeting of December 10, 2015.
V.
It was submitted to the consideration of the Board of Directors of this National Commission of Insurance and
Sureties in its Session 199 of February 20, 2018, the modification to the bases of the authorization of
HIR Compañía de Seguros, S.A. de C.V., to operate as an insurance institution, which agreed,
prior favorable opinion of the Authorizations Committee of the same Commission, the following:
" UNIQUE.- MODIFY the bases of the authorization granted to HIR Compañía de
Seguros, S.A. de C.V., in order to reflect the reforms made in the corporate
bylaws of said institution which are described below.
" a) Eliminate the reference to the amount of its social capital, substituting it with a
wording that establishes that the institution must have the minimum
paid capital that is determined for the year in question, for each operation or line of business
that it has authorized, which must be expressed in Investment Units and covered
in national currency, in terms of article 49, first paragraph, of the Law of
Insurance and Surety Institutions.
" b) Eliminate the words " Federal District " from its social domicile, in accordance with the
" Decree by which various provisions of the
Political Constitution of the United Mexican States are reformed and repealed, in matters of the political
reform of Mexico City ", published in the Official Federal Diary of January 29
" This is based on articles 11 and 369, section II, of the Law of Insurance Institutions
and Sureties. "
CONSIDERATIONS
FIRST.- That article 369, section II, of the Law of Insurance and Surety Institutions, provides that
it is the competence of the Board of Directors of this Commission to modify the authorizations to organize,
operate and function as an insurance institution.
SECOND.- That in terms of what is stated in the Background IV and V of this Official Letter, the Board of
Directors of this Commission in its Session 199 of February 20, 2018, agreed to modify the bases of the
authorization granted to that insurance institution.
In view of the above, the following are issued:
RESOLUTIONS
FIRST.- The Preamble, as well as Articles One and Three, first paragraph and
sections II, subsection a), and III, of the authorization granted to HIR Compañía de Seguros, S.A. de C.V., are modified,
to remain in the following terms:
" AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT TO HIR COMPAÑÍA DE
SEGUROS, S.A. DE C.V., TO CONTINUE OPERATING AS AN INSURANCE
INSTITUTION, UNDER THE FOLLOWING TERMS:
" ARTICLE ONE.- In exercise of the power conferred by the Federal Government by article 5
of the repealed General Law of Insurance and Mutual Insurance Institutions, to the
Ministry of Finance and Public Credit, and which from April 4, 2015, confers it by
article 11 of the Law of Insurance and Surety Institutions, to the National Commission of
Insurance and Sureties, HIR Compañía de Seguros, S.A. de C.V. is authorized to organize
and operate as an insurance institution.
" ...
" ARTICLE THREE.- The insurance institution shall be subject to the provisions of the Law
of Insurance and Surety Institutions, as well as those derived from it, to the
General Law of Commercial Companies, and to the other laws applicable to it and, in
particular to the following bases:
" ...
" II.- ...
" a) The institution must have the minimum paid capital that is determined for the year
in question, for each operation or line of business it has authorized, which must be
expressed in Investment Units and must be covered in national currency, in terms
of article 49, first paragraph, of the Law of Insurance and Surety Institutions.
" ...
" III.- The domicile of the insurance institution shall be Mexico City.
" ... " .
SECOND.- The authorization granted to HIR Compañía de Seguros, S.A. de C.V., to organize and
operate as an insurance institution, after the modification indicated in the previous Resolutive, remains
entirely in the following terms:
" AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT TO HIR COMPAÑÍA DE
SEGUROS, S.A. DE C.V., TO CONTINUE OPERATING AS AN INSURANCE
INSTITUTION, UNDER THE FOLLOWING TERMS:
" ARTICLE ONE.- In exercise of the power conferred by the Federal Government by article 5
of the repealed General Law of Insurance and Mutual Insurance Institutions, to the
Ministry of Finance and Public Credit, and which from April 4, 2015, confers it by
article 11 of the Law of Insurance and Surety Institutions, to the National Commission of
Insurance and Sureties, HIR Compañía de Seguros, S.A. de C.V. is authorized to organize
and operate as an insurance institution.
" ARTICLE TWO.- The insurance institution is authorized to practice the
operation of life insurance, as well as the operation of accident and
illness insurance, in the personal accident line.
" ARTICLE THREE.- The insurance institution shall be subject to the provisions of the Law
of Insurance and Surety Institutions, as well as those derived from it, to the
General Law of Commercial Companies, and to the other laws applicable to it and, in
particular to the following bases:
" I.- The denomination shall be HIR Compañía de Seguros, Variable Capital Anonymous Society.
" II.- The social capital shall be variable according to the following:
" a) The institution must have the minimum paid capital that is determined for the year
in question, for each operation or line of business it has authorized, which must be
expressed in Investment Units and must be covered in national currency, in terms
of article 49, first paragraph, of the Law of Insurance and Surety Institutions.
" b) The variable capital with right of withdrawal in no case may be greater than the capital
paid without right of withdrawal.
" III.- The domicile of the insurance institution shall be Mexico City.
" ARTICLE FOUR.- By its very nature this authorization is non-transferable. "
THIRD.- These resolutions must be published in the Official Federal Diary and in two
newspapers of wide circulation from the social domicile of the institution, within one hundred twenty days
following the date of their notification to HIR Compañía de Seguros, S.A. de C.V., in terms of what is provided
in article 11 of the Law of Insurance and Surety Institutions, at the expense of the interested parties.
These resolutions are issued based on the information provided by the petitioner contained in the
writings sent and are limited exclusively to the modification of the authorization granted to
HIR Compañía de Seguros, S.A. de C.V., in the terms described which, in accordance with the applicable provisions,
fall within the competence of this Commission to resolve, and do not prejudge any act that said company carries
out and which implies prior authorization or approval from other financial, administrative,
tax or any other nature authorities, in terms of current regulations, nor do they validate the legality or validity
of the same in case such authorizations or approvals are not obtained.
This is based on articles 11, 369, section II, 370, last paragraph, and 372, section XLI, of
the Law of Insurance and Surety Institutions, as well as articles 6 and 9 of the Internal Regulations of the
National Commission of Insurance and Sureties.
