Official Letter Modifying the Authorization Granted to Thona Seguros, S.A. de C.V. to Organize and Operate as an Insurance Institution

The Federal Government through the National Insurance and Bonds Commission, and after agreement by its Board of Directors, based on articles 11, 369, section II, 370, last paragraph, and 372, section XLI, of the Law of Insurance and Bonds Institutions, as well as articles 6 and 9 of the Internal Regulations of the National Insurance and Bonds Commission, issues the following resolutions in response to the following:

Background and Considerations:

BACKGROUND

I.

Thona Seguros, S.A. de C.V., was authorized by the Ministry of Finance and Public Credit to function and operate as an insurance institution to conduct accident and health insurance operations, in the personal accidents branch, through Official Letter 101.-493 of October 30, 2012, published in the Official Federal Diary on May 20, 2013. This authorization was last modified by official letter 366-III-484/13 of August 15, 2013, so that the aforementioned institution could additionally conduct life insurance operations.

Through letters dated March 14 and June 3, 2016, and August 16, 2017, Thona Seguros, S.A. de C.V., requested approval from this Commission to carry out a modification to the second paragraph of Clause Sixth of the social statutes of that Institution, by increasing its minimum fixed capital without right to withdrawal in the amount of $40,000,000.00 M.N., through the conversion of "B" series shares to "A" series shares, leaving the minimum fixed capital without right to withdrawal at $90,000,000.00 M.N., and variable capital at $9,148,460.00 M.N.

With Official Letter 06-C00-41100/55045 of September 26, 2017, this Commission approved the modification to Clause Sixth of the social statutes of Thona Seguros, S.A. de C.V., in the terms of the draft Minutes of the Extraordinary General Shareholders' Meeting.

IV.

Through Official Letter No. 06-C00-41100/22276 of April 24, 2018, this Commission deemed fulfilled the Resolutive by which the protocolization of the aforementioned Meeting Minutes was instructed, and ordered its registration in the Public Commerce Registry, in attention to the letter of February 15, 2018, by which the institution in question exhibited the first testimony and copy by notarial comparison of Policy No. 14,350

of December 20, 2017, granted before the notary of Lic. Francisco Castellanos Guzmán,

Public Broker No. 20 of this Mexico City, where the protocolization of the Minutes of the Ordinary and Extraordinary General Shareholders' Meeting of the aforementioned institution of November 30, 2017, is recorded.

V.

In that context, the modification to the authorization of

Thona Seguros, S.A. de C.V. to operate as an insurance institution was submitted for consideration to the Board of Directors of the National Insurance and Bonds Commission, in its session 201 of June 26, 2018, which agreed, after a favorable opinion from the Authorizations Committee of the same Commission, the following:

"SINGLE.- The bases of the authorization granted to Thona Seguros, S.A. de

C.V., are MODIFIED, in order to reflect the modification (...) regarding the amount of social capital it has, so that it states that its capital must be expressed in Investment Units and be covered in national currency as ordered by article 49, first paragraph, of the Law of Insurance and Bonds Institutions."

CONSIDERATIONS

FIRST.- That article 369, section II, of the Law of Insurance and Bonds Institutions, provides that it is the competence of the Board of Directors of this Commission to modify the authorizations to organize, operate and function as an insurance institution.

SECOND.- That as a result of the resolution contained in the aforementioned Official Letter 06-C00-41100/55045 of September 26, 2017, the terms of the authorization granted to that insurance institution must be modified.

In view of the foregoing, the following are issued:

RESOLUTIONS

FIRST.- The Preamble and Articles First, Second, Third, first paragraph,

section II,

subsection a, and Article Fourth, of the authorization granted to Thona Seguros, S.A. de C.V., are modified, in the following

terms:

"AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT, TO THONA SEGUROS, S.A.

DE C.V., TO ORGANIZE AND FUNCTION AS AN INSURANCE INSTITUTION, IN

THE FOLLOWING TERMS:

"ARTICLE FIRST.- In exercise of the power conferred on the Federal Government by article

5 of the repealed General Law of Insurance and Mutual Societies, to the

Ministry of Finance and Public Credit, and which from April 4, 2015, onwards, is conferred by

article 11 of the Law of Insurance and Bonds Institutions, to the National Commission of

Insurance and Bonds, Thona Seguros, S.A. de C.V., is authorized to organize and function

as an insurance institution.

"ARTICLE SECOND.- The insurance institution is authorized to conduct

life insurance operations and accident and health insurance operations,

in the personal accidents branch.

"ARTICLE THIRD.- The insurance institution will be subject to the provisions of the Law

of Insurance and Institutions

and Bonds, as well as those derived from it, to the

Law

General of Commercial Societies and to the other norms that by their nature,

are applicable to it and, in particular, to the following bases:

" ...

"II.- The social capital will be variable, according to the following:

"a) The institution must have the minimum paid capital that is determined for the year

in question, for each operation or branch that it has authorized, which must be

expressed in Investment Units and which must be covered in national currency, in terms

of article 49, first paragraph, of the Law of Insurance and Bonds Institutions.

" ...

" ...

"ARTICLE FOURTH.- Thona Seguros, S.A. de C.V., will be subject to inspection and

surveillance by the National Commission of Insurance and Bonds in terms of article 11 of the

Law of Insurance and Bonds Institutions.

" ... ".

SECOND.- The authorization granted to Thona Seguros, S.A. de C.V., to organize and operate as a

subsidiary insurance institution, after the modification indicated in the previous Resolutive, remains

entirely in the following terms:

"AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT, TO THONA SEGUROS, S.A.

DE C.V., TO ORGANIZE AND FUNCTION AS AN INSURANCE INSTITUTION, IN

THE FOLLOWING TERMS:

"ARTICLE FIRST.- In exercise of the power conferred on the Federal Government by article

5 of the repealed General Law of Insurance and Mutual Societies, to the

Ministry of Finance and Public Credit, and which from April 4, 2015, onwards, is conferred by

article 11 of the Law of Insurance and Bonds Institutions, to the National Commission of

Insurance and Bonds, Thona Seguros, S.A. de C.V., is authorized to organize and function

as an insurance institution.

"ARTICLE SECOND.- The insurance institution is authorized to conduct

life insurance operations and accident and health insurance operations, in

the personal accidents branch.

"ARTICLE THIRD.- The insurance institution will be subject to the provisions of the Law

of Insurance and Institutions

and Bonds, as well as those derived from it, to the

Law

General of Commercial Societies and to the other norms that by their nature, are applicable

to it and, in particular, to the following bases:

"I.- Its denomination will be " THONA SEGUROS, VARIABLE CAPITAL ANONYMOUS COMPANY

" .

"II.- The social capital will be variable, according to the following:

"a) The institution must have the minimum paid capital that is determined for the year

in question, for each operation or branch that it has authorized, which must be

expressed in Investment Units and which must be covered in national currency, in terms

of article 49, first paragraph, of the Law of Insurance and Bonds Institutions.

"b) The variable capital with right to withdrawal in no case may be greater than the capital

paid without right to withdrawal.

"III.- Its social domicile will be Mexico City, Federal District.

"ARTICLE FOURTH.- Thona Seguros, S.A. de C.V., will be subject to inspection and

surveillance by the National Commission of Insurance and Bonds in terms of article 11 of the

Law of Insurance and Bonds Institutions.

"ARTICLE FIFTH.- By its very nature, this authorization is non-transferable. "

THIRD.- These resolutions must be published in the Official Federal Diary and in two

newspapers of wide circulation from the social domicile of the institution, within one hundred twenty days

following the date of their notification to Thona Seguros, S.A. de C.V., in terms of what is provided in the

article 11 of the Law of Insurance and Bonds Institutions, at the expense of the interested party.

These resolutions are issued based on the information provided by

Thona Seguros, S.A.

de C.V., contained in the letters sent and are limited exclusively to the modification of the authorization

granted to that insurance institution, in the terms described that in accordance with the provisions

applicable compete to resolve this Commission, and does not prejudge the carrying out of any other act that the

cited institution carries out and implies prior authorization or approval of other financial authorities,

administrative, tax or of any other nature, in terms of current regulations, nor validates the

legality or validity of the same in case said authorizations or approvals are not obtained.

You are hereby informed of the foregoing, based on articles 11, 369, section II, 370, last

paragraph, and 372, section XLI, of the Law of Insurance and Bonds Institutions, as well as articles 6 and

9 of the Internal Regulations of the National Insurance and Bonds Commission.
