OFFICIAL LETTER modifying the authorization granted to Zurich Santander Seguros Mexico, S.A. due to change of the related entity.

AUTHORIZATIONS TO INSURANCE INSTITUTIONS

SUBSIDIARIES.- The authorization granted to your institution is modified due to change of the related entity.

ZURICH SANTANDER INSURANCE MEXICO, S.A.

In view of the fact that through official letter 366-II-042/13 of this same date, approval was granted for the reform agreed upon in Article One of its bylaws, with the aim of stating that the related entity will be Zurich Santander Holding Dos (Spain), S.L., Single-Shareholder Company, of the Kingdom of Spain, which is contained in the testimony of Deed No. 42,474 granted on January 22, 2013, before the notary of Lic. Uriel Oliva Sanchez, Public Notary No. 215, with practice in this City, this Ministry, based on articles 31, fractions VIII and XXV of the Organic Law of the Federal Public Administration, 5th, 33-A, 33-B and 33-C of the General Law of Insurance and Mutual Societies, and 32, fraction VIII, of the Internal Regulations of the Ministry of Finance and Public Credit, has resolved the following:

AGREEMENT

The proemium, as well as Article ONE and THREE, first paragraph, of the authorization granted through official letter 102-E-366-DGSV-I-B-a-872 of March 27, 1991, modified with the various 102-E-366-DGSV-I-B-a-4286 of November 18 of the same year, 102-E-366-DGSV-I-B-a-3381 of June 29, 1992, 102-E-366-DGSV-I-B-a-877 of July 19, 1993, 102-E-366-DGSV-I-B-a-2642 of July 4, 1995, 366-IV-1033, 101.-778 and 366-IV-6033 of January 31, June 17 and October 14, 1997, respectively, 366-IV-6440 of November 19, 1999, 366-IV-302 of October 12, 2001, 366-IV- 2670 and 366-IV-5162 of June 4 and October 7, 2002, respectively, 366-IV-3640 of July 31, 2003, 366-IV-DG-193/06 of July 10, 2006 and 366-001/12 of January 6, 2012, to Zurich Santander Seguros Mexico, S.A., subsidiary of Zurich Vida, Insurance and Reinsurance Company, S.A., Single-Shareholder Company, foreign financial institution, through ZS Insurance America, S.L., related entity, both of the Kingdom of Spain, to organize and function as an insurance institution, in order to carry out the life insurance operation, the accident and illness insurance operation, in the lines of personal accidents and medical expenses, and the damage insurance operation, in the lines of civil liability and professional risks, maritime and transport, fire, agricultural and animals, automobiles, credit in reinsurance, diverse and earthquake and other catastrophic risks, to remain in the following form:

"AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT, THROUGH THE MINISTRY OF FINANCE AND PUBLIC CREDIT, TO ZURICH SANTANDER INSURANCE MEXICO, S.A., TO ORGANIZE AND FUNCTION AS A SUBSIDIARY INSURANCE INSTITUTION OF ZURICH VIDA, INSURANCE AND REINSURANCE COMPANY, S.A., SINGLE-SHAREHOLDER COMPANY, FOREIGN FINANCIAL INSTITUTION, THROUGH ZURICH SANTANDER HOLDING DOS (SPAIN), S.L., SINGLE-SHAREHOLDER COMPANY, RELATED ENTITY, BOTH OF THE KINGDOM OF SPAIN, UNDER THE FOLLOWING TERMS:

ARTICLE ONE.- In exercise of the power conferred upon the Federal Government, through the Ministry of Finance and Public Credit, by articles 5th and 33-C of the General Law of Insurance and Mutual Societies, Zurich Santander Seguros Mexico, S.A. is authorized to organize and function as an insurance institution subsidiary of Zurich Vida, Insurance and Reinsurance Company, S.A., Single-Shareholder Company, foreign financial institution, through Zurich Santander Holding Dos (Spain), S.L., Single-Shareholder Company, related entity, both of the Kingdom of Spain.

ARTICLE THREE.- The subsidiary insurance institution shall be subject to the General Law of Insurance and Mutual Societies, as well as to the provisions derived from it, to the Insurance Contract Law, to the General Law of Commercial Societies, as well as to the other norms applicable to it by their very nature, and in particular, to the following bases:

That these copies are a faithful and exact reproduction of the original acknowledgment that was seen and which is in the file formed in the archive of the Unit of Insurance, Pensions and Social Security, corresponding to official letter 366-II-043/13 of February 8, 2013, through which the authorization of Zurich Santander Seguros, Mexico, S.A. to organize and function as an insurance institution was modified.

THIS CERTIFICATION IS ISSUED IN THE CITY OF MEXICO, ON THE SIXTEENTH DAY OF THE MONTH OF JANUARY OF THE YEAR TWO THOUSAND TWENTY-FOUR; IT COMPRISES THREE USEFUL SHEETS WRITTEN ON ONE SIDE ONLY, PROPERLY SEALED AND VERIFIED, WITH THIS CERTIFICATION BEING SET ON THE REVERSE OF THE LAST SHEET.
