OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Banca Afirme, S.A., Multiple Banking Institution, Afirme Financial Group.

The terms of the authorization for the organization and operation of that entity are modified.

By official letter 312-3/14743/2021 dated May 4, 2021, this Commission approved the reform to Article Seventh of the bylaws of Banca Afirme, S.A., Multiple Banking Institution, Afirme Financial Group (Banca Afirme), due to the increase in its social capital from the amount of $3,024,424,083.00 to the amount of $3,552,424,083.00, as well as Articles Thirteenth, Seventeenth, and Twenty-Third, relating to "Right of Preference," "Notices," and "Minutes," respectively, in terms of the draft minutes of the extraordinary general shareholders' meeting that they submitted for that purpose.

With a document presented to this Commission on June 9, 2021, through the email address VPSupervisionGIFB@cnbv.gob.mx, and in compliance with the requirement contained in the aforementioned official letter 312-3/14743/2021, Banca Afirme submits a certified copy of public deed 49,282 dated May 21, 2021, granted before Licenciado Gilberto Federico Allen de León, public notary number 33 of the City of Monterrey, Nuevo León, and registered in the Public Registry of Commerce of that same city on May 26, 2021, under commercial folio 52110, in which the statutory modification in question was formalized.

Therefore, based on Article 8, last paragraph of the Credit Institutions Law, this Commission deems it appropriate to modify point Third of the "Resolution authorizing the constitution and operation of a multiple banking institution to be named Banca Afirme, S.A.," currently Banca Afirme, S.A., Multiple Banking Institution, Afirme Financial Group, contained in official letter 101.-2497 issued by the Ministry of Finance and Public Credit on May 29, 1994, and published in the Official Federal Diary on December 12, 1994, last modified by official letter 312-2/69964/2019 dated February 12, 2019, published in said Diary on March 11, 2019, to read as follows:

"...

THIRD.- The social capital of Banca Afirme, S.A., Multiple Banking Institution, Afirme Financial Group shall be $3,552,424,083.00 (three billion five hundred fifty-two million four hundred twenty-four thousand eighty-three pesos 00/100 M.N.).

..."

Likewise, based on Articles 8, last paragraph, and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, Banca Afirme is required to inform this authority of the date of publication of the text of this modification letter, carried out in the Official Federal Diary and in two widely circulated newspapers at its social address, within a period of fifteen business days counted from the date of publication. These publications must be processed within the fifteen business days following the date of receipt of this letter.

This official letter is issued based on Articles 16, penultimate paragraph of the National Banking and Securities Commission Law; 12, 17, fraction X, 19, fractions I, subsection c), II and III, and last paragraph, 40, fractions I and IV, and 58 of the Internal Regulations of the National Banking and Securities Commission.
