Official Letter Modifying the Authorization Terms for Banca Afirme, S.A., Multiple Banking Institution, Afirme Financial Group

Through official letter 312-3/2511137/2022 dated February 14, 2022, this Commission approved the reform to Article Seventh of the bylaws of Banca Afirme, S.A., Institución de Banca Múltiple, Afirme Grupo Financiero (Banca Afirme), due to the increase in its social capital from the amount of $3,552,424,083.00 to $4,181,805,255.00, which was agreed upon in an extraordinary general meeting of shareholders held on February 22, 2022.

With a submission presented to this Commission on April 11, 2022, through the email address VPSupervisionGIFB@cnbv.gob.mx, in compliance with the requirement contained in our aforementioned official letter 312-3/2511137/2022, Banca Afirme submitted a certified copy of public deed 50,106 dated March 1, 2022, granted before the notary Gilberto Federico Allen de León, public notary number 33 of the City of Monterrey, Nuevo León, and registered in the Public Registry of Commerce of that same city on March 7, 2022, under electronic commercial folio number 52110, in which the aforementioned statutory modification was formalized.

For the above reason, based on Article 8, last paragraph of the Credit Institutions Law, this Commission deems it appropriate to modify point Third of the "Resolution authorizing the constitution and operation of a multiple banking institution to be named Banca Afirme, S.A.", currently Banca Afirme, Institución de Banca Múltiple, Afirme Grupo Financiero, contained in official letter 101-2497 issued by the Ministry of Finance and Public Credit on November 29, 1994 and published in the Official Gazette of the Federation on December 12, 1994, last modified by official letter 312-3/10039136/2021 issued by this Commission on December 9, 2021 and published in said Gazette on January 4, 2022, to read as follows:

"...

THIRD.- The social capital of Banca Afirme, S.A., Institución de Banca Múltiple, Afirme Grupo Financiero shall be $4,181,805,255.00 (four billion one hundred eighty-one million eight hundred five thousand two hundred fifty-five pesos 00/100 M.N.).

..."

Likewise, based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, Banca Afirme is required to inform this Authority of the date of publication of the text of this modification official letter, carried out in the Official Gazette of the Federation and in two widely circulated newspapers at its social address, within a period of fifteen business days counted from the date of publication. This is understood to mean that such publications must be processed within the fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, antepenultimate paragraph of the National Banking and Securities Commission Law; 14, 19, fraction X, 21, fractions I, subsection c), II and III and last paragraph, 44, fractions I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
