Official Letter Modifying the Authorization Terms for Banco S3 Caceis Mexico, S.A., Multiple Banking Institution

The National Banking and Securities Commission modifies the Eighth Base of the authorization for Banco S3 Caceis Mexico, S.A., to reflect the entity's name change following the elimination of its subsidiary regime. The institution is required to publish the modification text in the Official Federal Diary and two widely circulated newspapers within fifteen business days of receiving the letter, and to report the publication date to the authority within fifteen business days of the publication.

OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Banco S3 Caceis Mexico, S.A., Multiple Banking Institution.

SUBJECT: THE TERMS OF THE AUTHORIZATION FOR THE ORGANIZATION AND OPERATION OF SAID ENTITY ARE MODIFIED.

Through official letter 312-3/9736/2025 dated July 3, 2025, this Commission approved the reform to the bylaws of Banco S3 Caceis Mexico, S.A., Multiple Banking Institution (Banco S3), due to the elimination of the subsidiary regime, in accordance with the minutes of the extraordinary general shareholders' meeting held on July 4, 2025.

With a written submission received by this Commission on August 8, 2025, through the email address VPSupervisionGIFA@cnbv.gob.mx and in compliance with the requirement contained in the aforementioned official letter 312-3/9736/2025, Banco S3 submitted a certified copy of public deed number 104,196 dated July 18, 2025, granted before the notary public Lic. Benito Iván Guerra Silla, Notary Public No. 7 of Mexico City, and registered in the Public Commerce Registry of this same city on July 24, 2025, under electronic commercial folio N-2017062112, in which the aforementioned statutory modification was formalized.

For the above reason, based on Article 8, last paragraph of the Credit Institutions Law, this Commission deems it appropriate to modify the Eighth Base of the "Authorization for the organization and operation of a multiple banking institution Subsidiary to be named Banco S3 Mexico, S.A., Multiple Banking Institution" - currently named "Banco S3 Caceis Mexico, S.A., Multiple Banking Institution" - contained in official letter P063/2016 issued by this Commission on August 25, 2016 and published in the Official Federal Diary on September 14, 2016, last modified by official letter 312-3/0325/2020 issued by this Commission on November 20, 2020 and published in the same Diary on December 11 of that year, to read as follows:

" ...

EIGHTH.- The banking and credit services that the institution provides by virtue of this authorization, as well as the other operations it carries out, as well as its organization and functioning in general, shall be subject, in matters not expressly stated in this official letter, to the Political Constitution of the United Mexican States, to international treaties or agreements, to the Credit Institutions Law, to the general rules and provisions applicable to credit institutions issued by the National Banking and Securities Commission, to the provisions regarding its operations issued by the Bank of Mexico, and to the other current and future norms and provisions issued by any competent authority, including those related to operations with resources of illicit origin and financing of terrorism, which by their nature are applicable to it.

Likewise, based on Articles 8, last paragraph, and 97 of the Credit Institutions Law and Article 19 of the National Banking and Securities Commission Law, Banco S3 is required to inform this authority of the date of publication of the text of this modification official letter, carried out in the Official Federal Diary and in two widely circulated newspapers of its registered office, within a period of fifteen business days counted from the date of publication. This is understood to mean that said publications must be processed within fifteen business days following the date of receipt of this official letter.

The above is communicated based on Articles 16, third-to-last paragraph of the National Banking and Securities Commission Law; and 14, 19, fraction X, 21, fractions I, subsection c), II and III and last paragraph, 44, fractions I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
