We refer to Official Letter No.: 312-1/41970/2024 dated February 14, 2024, through which this Commission took note of the reform to Article Six of the bylaws of BTG Pactual Casa de Bolsa, S.A. de C.V. (BTG CB), due to the increase in its paid-in social capital by the amount of $400,000,000.00 (four hundred million pesos 00/100 M.N.), of which $190,000,000.00 (one hundred ninety million pesos 00/100 M.N.) correspond to the fixed portion and $210,000,000.00 (two hundred ten million pesos 00/100 M.N.) to the variable portion, bringing the total amount to $680,000,000.00 (six hundred eighty million pesos 00/100 M.N.), in accordance with the minutes of the extraordinary general shareholders' meeting held on October 30, 2023. This is done in accordance with the last paragraph of Article 115 of the Securities Market Law.
Regarding this matter, and in compliance with the requirement contained in the aforementioned letter, BTG CB presented to this Commission on March 14, 2024, via the email VPSupervisionB@cnbv.gob.mx, an electronic copy of the notarial testimony containing public deed number 118,713 dated February 29, 2024, granted before the authority of Licentiate Gonzalo M. Ortíz Blanco, Notary Number Ninety-Eight of Mexico City, and registered in the Public Property and Commerce Registry of this same city on March 8, 2024, under electronic commercial folio 503825, which formalized the statutory modification in question.
For the above reasons, this Commission, based on the last paragraph of Article 114 of the Securities Market Law, has resolved to modify the Fifth Base of the "Authorization for the organization and operation of the entity to be named BTG Pactual Casa de Bolsa, S.A. de C.V.", contained in Official Letter 100-063-2013, issued by this authority on October 7, 2013, and published in the Official Gazette of the Federation on October 28 of the same year, last modified by this Commission through Official Letter No.: 312-3/13661/2015 dated January 19, 2015, published in the aforementioned Gazette on September 9, 2015, to read as follows:

The amount of its authorized social capital is $680,000,000.00 (six hundred eighty million pesos 00/100 M.N.), with a minimum fixed capital of $403,666,667.00 (four hundred three million six hundred sixty-six thousand six hundred sixty-seven pesos 00/100 M.N.).

Likewise, based on Articles 114 (last paragraph), 350, and 360 of the Securities Market Law and Article 19 of the National Banking and Securities Commission Law, this Commission requires BTG CB to inform this authority of the dates of publication of this official letter carried out in the Official Gazette of the Federation and two widely circulated newspapers at its social address, within a period of ten business days counted from the date of said publications, which must be processed within fifteen business days following the date of receipt of this official letter.
This official letter is issued based on Articles 16 (third-to-last paragraph) of the National Banking and Securities Commission Law; Articles 14, 19 (fraction X), 26 (fractions I, subsection g), II, III, and last paragraph), 44 (fractions I and IV), and 64 (first paragraph) of the Internal Regulations of the National Banking and Securities Commission.
