OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Evercore Casa de Bolsa, S.A. de C.V.

We refer to Official Letter No.: 312-1/14623/2021 dated February 22, 2021 (Official Letter), through which this Commission approved the reform to the first article of the bylaws of Evercore Casa de Bolsa, S.A. de C.V. (Evercore CB), due to the change of its corporate name to "Tactiv Casa de Bolsa, S.A. de C.V.", in accordance with the minutes of the extraordinary general shareholders' meeting held on March 1, 2021.

Regarding this, and in compliance with the requirement contained in the Official Letter, Evercore CB presented to this Commission on May 14, 2021, through the email address VPSupervisionB@cnbv.gob.mx, a certified copy of public deed number 130,265 dated March 19, 2021, granted before the notary public Lic. Francisco Javier Arce Gargollo, notary public number 74 of Mexico City, registered in the Public Registry of Property and Commerce of this same city on May 12, 2021, under electronic commercial folio 327417-1, which contains the protocolization of the name change referred to in the previous paragraph and the consequent modification to the first article of the bylaws of Evercore CB.

For the above reason, this Commission, based on Article 114, last paragraph of the Securities Market Law, has resolved to modify Term FIRST of the "RESOLUTION authorizing the organization and operation of a brokerage firm that will be named Protego Casa de Bolsa, S.A. de C.V.", issued by the Ministry of Finance and Public Credit through Official Letter No.: 101.-1291 dated October 13, 2004, published in the Official Gazette of the Federation on March 1, 2005, which was last modified by this Commission through Official Letter No.: 312-1/70205/2019 dated August 29, 2019, published in the Official Gazette of the Federation on September 27, 2019, to read as follows:

The name of the company shall be Tactiv Casa de Bolsa, S.A. de C.V.

... "

Likewise, based on Articles 350 and 360 of the Securities Market Law, and Article 19 of the National Banking and Securities Commission Law, Evercore CB is required to inform this authority of the dates of the publications of this official letter made in the Official Gazette of the Federation and in two widely circulated newspapers at its social address, within a period of ten business days counted from the date of said publications, which must be processed within fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, penultimate paragraph of the National Banking and Securities Commission Law; 12, 17 fraction X, 24, fractions I, subsection (e), II, III and last paragraph, and 40, fractions I and IV, first paragraph of the Internal Regulations of the National Banking and Securities Commission.
