Official Letter Modifying the Authorization Terms for Masari, Casa de Bolsa, S.A.

OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Masari, Brokerage House, S.A.

SUBJECT: THE TERMS OF THE AUTHORIZATION FOR THE ORGANIZATION AND OPERATION OF THAT ENTITY ARE MODIFIED.

We refer to Official Letter No.: 312-1/42779/2024 dated October 7, 2024, through which this Commission took note of the reform to the seventh clause of the bylaws of Masari, Brokerage House, S.A. (Masari CB), due to the increase in the fixed portion of its share capital by the amount of $109,408,800.00, to remain at the sum of $447,208,470.00, through the capitalization of accounting equity accounts based on the audited financial statements as of December 31, 2023, in terms of the minutes of the extraordinary general meeting of shareholders, held on June 7, 2024. The foregoing, based on Article 115, last paragraph of the Securities Market Law (LMV).

Regarding this, and in compliance with the requirement contained in the aforementioned letter, Masari CB presented to this Commission on April 24, 2025, through the email address VPSupervisionB@cnbv.gob.mx, an electronic copy of the first notarial testimony containing public deed 73,747 dated November 19, 2024, granted before the notary public Lic. Carlos A. Sotelo Regil Hernández, notary number 165 of Mexico City, and registered in the Public Commerce Registry of this same city on November 27, 2024, under electronic commercial folio 91236, with which the aforementioned statutory modification was formalized.

For the above, this Commission, based on Article 114, last paragraph of the LMV, has resolved to modify Base First of the "Authorization for the organization and operation of the brokerage house to be named Masari, Brokerage House, S.A.", contained in Official Letter 312-3/852609/2007, issued by this authority on December 11, 2007, published in the Official Gazette of the Federation on January 25, 2008, last modified by this Commission through Official Letter No.: 312-1/69954/2019 dated February 14, 2019, to remain in the following terms:

The minimum fixed capital shall be $447,208,470.00 (four hundred forty-seven million two hundred eight thousand four hundred seventy pesos 00/100 M.N.).

Likewise, based on Articles 114, last paragraph, 350 and 360 of the LMV and 19 of the Law of the National Banking and Securities Commission, this Commission requires Masari CB to inform this authority of the dates of the publications of this official letter made in the Official Gazette of the Federation and two widely circulated newspapers of its social address, within a period of ten business days counted from the date of the aforementioned publications, which must be processed within the fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, penultimate paragraph of the Law of the National Banking and Securities Commission; 14, 19, fraction X, 26, fractions I, subsection g), II, III and last paragraph, 44, fractions I and IV and 64, first paragraph of the Internal Regulations of the National Banking and Securities Commission.
