SUBJECT: THE TERMS OF THE AUTHORIZATION FOR THE ORGANIZATION AND OPERATION OF THAT ENTITY ARE MODIFIED.

By official letter 312-3/42117/2024 dated May 22, 2024, this Commission approved the reform to the first paragraph of Article Sixth of the bylaws of Openbank Mexico, S.A., Multiple Banking Institution, Santander Mexico Financial Group (Openbank), due to the increase in its social capital in the amount of $256,000,000.00, to go from $699,420,220.00 to $955,420,220.00, in terms of the unanimous resolutions adopted outside the ordinary general shareholders' meeting adopted on December 29, 2023.
By official letter 312-3/42383/2024 dated July 8, 2024, this Commission approved the reform to the first paragraph of Article Sixth of the bylaws of Openbank, due to the increase in its social capital in the amount of $1,953,000,000.00, to go from $955,420,220.00 to $2,908,420,220.00, in terms of the unanimous resolutions adopted outside the extraordinary general shareholders' meeting adopted on April 5, 2024.
Through writings received by this Commission on July 8 and August 20, 2024, via the email address VPSupervisionA@cnbv.gob.mx, and in compliance with the requirements contained in the aforementioned official letters 312-3/42117/2024 and 312-3/42383/2024, Openbank submitted certified copies of public deeds 332,072 and 333,733 dated February 19 and May 22, 2024, respectively, granted before the notary public Lic. Claudio Juan Ramón Hernández de Rubín, public notary number 6 of Mexico City and registered in the Public Commerce Registry of this same City on June 10 and July 30, 2024, respectively, under electronic commercial folio number N-2021025303, in which the aforementioned bylaw modifications were formalized.
For the above reason, based on Article 8, last paragraph of the Credit Institutions Law, this Commission deems it appropriate to modify the Fifth Base of the "Authorization for the organization and operation of a multiple banking institution subsidiary to be named Openbank Mexico, S.A., Multiple Banking Institution, Santander Mexico Financial Group", contained in official letter P225/2023 dated July 12, 2023, issued by this Commission, published in the Official Federal Diary on July 26, 2023, to read as follows:

FIFTH.-
The amount of its paid-in social capital shall be $2,908,420,220.00 (two billion nine hundred eight million four hundred twenty thousand two hundred twenty pesos 00/100 M.N.).

Likewise, based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, Openbank is required to inform this authority of the date of publication of the text of this official letter in the Official Federal Diary and in two widely circulated newspapers in its social domicile, within a period of fifteen business days counted from the date of publication. This is understood to mean that said publications must be processed within the fifteen business days following the date of receipt of this official letter.
This official letter is issued based on Articles 16, penultimate paragraph of the National Banking and Securities Commission Law; and 14, 19, fraction X, 21, fractions I, subsection c), II and III and last paragraph, 44, fractions I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
