Official Letter Modifying the Authorization Terms for the Organization and Operation of Banco Multiva, S.A. Multiple Banking Institution, Multiva Financial Group

OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Banco Multiva, S.A.

By official letter 312-2/94379/2023 dated September 21, 2023, this Commission approved Banco

Multiva, S.A. Multiple Banking Institution, Multiva Financial Group (Banco

Multiva), the reform to

article seven of its bylaws, due to the increase in its social capital by the amount of

$458,000,000.00, to remain at the sum of $3,733,291,000.00. This, in terms of the minutes of the

extraordinary general shareholders' meeting of Banco Multiva, held on July 14, 2023.

With a submission presented on October 18, 2023, through the email address

VPSupervisionGIFB@cnbv.gob.mx and, in compliance with the requirement contained in the

official letter referred to in the

previous paragraph, Banco

Multiva submitted a certified copy of public deed 100,483 dated October 9,

2023, granted before the notary public Erik Namur Campesino, public notary number 94 of the

City of Mexico and registered in the Public Commerce Registry of this same city on October 12,

2023, in which the statutory modification in question was formalized.

For the above, based on article 8, last paragraph of the Credit Institutions Law (LIC),

this Commission deems it appropriate to modify point Third of the "Resolution authorizing the organization

and operation of a multiple banking institution named Banco Multiva, S.A., Multiple Banking

Institution, Multivalores Financial Group"

(currently Banco Multiva), contained in official letter 101-624 issued

by the Ministry of Finance and Public Credit on October 31, 2006, published in the Official Gazette of the

Federations on November 17, 2006, last modified by official letter 312-1/16813/2017,

published in the aforementioned Gazette on August 11, 2017, to read as follows:

"...

THIRD.- The social capital of Banco Multiva, S.A., Multiple Banking Institution, Financial

Group Multiva shall be the amount of $3,733,291,000.00 (three billion seven hundred thirty-three

million two hundred ninety-one thousand pesos 00/100, national currency).

..."

Likewise, based on articles 8, last paragraph and 97 of the LIC and 19 of the Law of the

National Banking and Securities Commission, Banco Multiva is required to inform this authority of the date

of the publications carried out in the Official Gazette of the Federations and in two widely circulated newspapers of

its social domicile, of this modification official letter, within a term of fifteen business days counted from

the date of the aforementioned publications, which must be processed within fifteen business days

following the date of receipt of this official letter.

This official letter is issued based on articles 16, penultimate paragraph of the Law of the

National Banking and Securities Commission; 14, 19, fraction X, 21, fractions I, subsection c), II and III and last paragraph,

44, fractions I and IV and 64, first paragraph of the Internal Regulations of the National Banking and Securities

Commission.
